Article1:Recitals

Article2:SaleandPurchase

Article5:Warranties

Article6:Confidentiality

Article7:Indemnification

7.1EachPartyshallindemnifyandholdharmlesstheotherPartyagainstanyclaims,losses,damages,liabilities,andexpensesarisingoutoforrelatedtoanybreachofthisAgreementbytheindemnifyingParty.

Article8:GoverningLawandDisputeResolution

8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].

8.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

Article9:GeneralProvisions

9.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

9.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.
