英文版購銷合同評論合同編號：__________EffectiveDate:[InsertEffectiveDate]CONFIDENTIALITYAGREEMENTThisConfidentialityAgreement(the“Agreement”)ismadeandenteredintoasof[InsertEffectiveDate],andbetween[InsertCompanyAName](“CompanyA”),a[InsertCompanyAIncorporationJurisdiction]corporationwithaprincipaladdressat[InsertCompanyAAddress],and[InsertCompanyBName](“CompanyB”),a[InsertCompanyBIncorporationJurisdiction]corporationwithaprincipaladdressat[InsertCompanyBAddress].RECITALS:WHEREAS,CompanyAandCompanyB(eacha“Party”andcollectivelythe“Parties”)arecontemplatingenteringinto[InsertNatureofTransaction](the“Transaction”);WHEREAS,inconnectionwiththeTransaction,thePartiesmaydisclosecertainconfidentialinformation(asdefinedbelow)toeachother;andWHEREAS,thePartiesdesiretosetforththetermsandconditionsregardingtheconfidentialityofsuchinformation.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesagreeasfollows:1.ConfidentialInformation.AsusedinthisAgreement,“ConfidentialInformation”meansallinformationdisclosedaPartytotheotherParty,whetherorally,inwriting,orinanyotherform,thatismarkedoridentifiedas“confidential”or“proprietary”orthatareasonablepersonwouldunderstandtobeconfidentialorproprietary,including,withoutlimitation,businessplans,strategies,forecasts,financialdata,customerlists,supplierlists,manufacturingprocesses,researchanddevelopmentactivities,andanyintellectualproperty.2.ProtectionofConfidentialInformation.EachPartyagreesthatitwillholdtheConfidentialInformationoftheotherPartyinconfidenceandwillnotdisclosesuchConfidentialInformationtoanythirdpartyorusesuchConfidentialInformationforanypurposeotherthantheTransaction,exceptasmayberequiredlaworregulation.3.Exceptions.NotwithstandingSection2,thePartiesmaydiscloseConfidentialInformationtotheextentsuchdisclosureisrequiredlaworregulation,providedthatthedisclosingPartyprovidestheotherPartywithreasonablenoticepriortosuchdisclosureandtakesreasonablestepstolimitthedisclosure.4.ReturnofConfidentialInformation.UpontherequestoftheotherParty,orintheeventthattheTransactiondoesnotproceed,eachPartywillreturnallcopiesoftheConfidentialInformationoftheotherPartyinitspossessionorcontrol,includingalldocuments,media,andothertangibleembodimentsofsuchConfidentialInformation.5.LimitationonLiability.EXCEPTFORBREACHOFSECTION2,NOPARTYSHALLBELIABLETOTHEOTHERPARTYFORANYINDIRECT,CONSEQUENTIAL,EXEMPLARY,INCIDENTAL,ORPUNITIVEDAMAGESARISINGOUTOFORRELATINGTOTHISAGREEMENT,ANDTHEAGGREGATELIABILITYOFALLPARTIESUNDERTHISAGREEMENTSHALLNOTEXCEED[InsertLimitofLiability].6.GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthe[InsertGoverningJurisdiction],withoutregardtoitsconflictoflawsprinciples.7.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.INWITNESSWHEREOF,thePartieshaveexecutedthisConfidentialityAgreementasoftheEffectiveDatefirstabovewritten.[SignatureBlockforCompanyA]Name:Title:[SignatureBlockforCompanyB]Name:Title:一、附件列表：1.1有效日期：[InsertEffectiveDate]1.2保密協(xié)議1.3公司A的詳細信息1.4公司B的詳細信息1.5交易性質(zhì)說明二、違約行為及認定：2.1違反保密義務(wù)：未按約定泄露或使用對方保密信息。2.2未履行通知義務(wù)：在需要通知的情況下未能及時通知對方。2.3未按約定返回信息：在約定條件下，未能返回所有保密信息。2.4超出約定用途：將保密信息用于除Transaction以外的目的。三、法律名詞及解釋：3.1保密信息：指被標記或識別為“機密”或“專有”的信息，或一個合理人認為應(yīng)保密或?qū)Ｓ械男畔ⅰ?.2有效日期：協(xié)議生效的日期。3.3沖突法原則：用于確定跨國法律關(guān)系中適用法律的規(guī)則。四、執(zhí)行中遇到的問題及解決辦法：4.1信息泄露：如發(fā)生信息泄露，立即啟動應(yīng)急預案，評估損失，采取補救措施。4.2無法履行通知義務(wù)：
