2025年外貿(mào)英文合同合同編號(hào)：__________CONTRACTAGREEMENTThisContractAgreement(the"Agreement")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:and(Eacha"Party"andcollectivelythe"Parties")BACKGROUND:WHEREAS,PartyAisengagedinthebusinessofexportingandimportinggoodsandservices;WHEREAS,PartyBdesirestopurchasecertaingoodsandservicesfromPartyA,andPartyAiswillingtosellsuchgoodsandservicestoPartyB,subjecttothetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thePartiesagreeasfollows:Article1:GoodsandServices1.1PurchaseandSale.PartyBagreestopurchasefromPartyA,andPartyAagreestoselltoPartyB,thegoodsandservicesdescribedinExhibitAattachedhereto(the"GoodsandServices").1.2Delivery.PartyAshalldelivertheGoodsandServicestoPartyBatthelocationspecifiedinExhibitBattachedhereto(the"DeliveryLocation")onorbeforethedeliverydatespecifiedinExhibitCattachedhereto(the"DeliveryDate").1.3Warranty.PartyAwarrantsthattheGoodsandServicesconformtothespecificationssetforthinExhibitDattachedheretoandarefreefromdefectsinmaterialsandworkmanship.Article2:PriceandPaymentTerms2.1Price.ThepurchasepricefortheGoodsandServicesshallbeassetforthinExhibitEattachedhereto(the"PurchasePrice").2.2PaymentTerms.PartyBshallmakepaymentfortheGoodsandServiceswiretransfertoanaccountdesignatedPartyAinaccordancewiththepaymentinstructionssetforthinExhibitFattachedhereto(the"PaymentInstructions").Article3:DeliveryandInspection3.1Delivery.PartyAshalldelivertheGoodsandServicestotheDeliveryLocationonorbeforetheDeliveryDate.3.2Inspection.PartyBshallhavetherighttoinspectandtesttheGoodsandServiceswithin[InsertNumberofDays]daysafterdelivery.IftheGoodsandServicesdonotconformtothespecificationssetforthinExhibitDattachedhereto,PartyBmay,atitssolediscretion,either:(a)requestthatPartyAreplacethenonconformingGoodsandServicesatnoadditionalcosttoPartyB;or(b)requestarefundofthePurchasePriceforthenonconformingGoodsandServices.Article4:IntellectualProperty4.1Ownership.PartyAshallretainallright,,andinterestinandtoanyintellectualpropertyusedordevelopedinconnectionwiththeGoodsandServices,includingwithoutlimitationallpatents,copyrights,trademarks,andtradesecrets.4.2License.PartyBisgrantedanonexclusive,nonsublicensablelicensetousetheintellectualpropertyassociatedwiththeGoodsandServicesforthepurposeofusing,selling,anddistributingtheGoodsandServicesinaccordancewiththetermsofthisAgreement.Article5:Confidentiality5.1ConfidentialInformation.EachParty(the"DisclosingParty")mayfromtimetotimedisclosetotheotherParty(the"ReceivingParty")certainconfidentialandproprietaryinformation(the"ConfidentialInformation").5.2ProtectionofConfidentialInformation.TheReceivingPartyagreesto:(a)maintaintheconfidentialityoftheConfidentialInformation;(b)notusetheConfidentialInformationforanypurposeotherthanperformingitsobligationsunderthisAgreement;and(c)notdisclosetheConfidentialInformationtoanythirdparty.Article6:RepresentationsandWarranties6.1PartyARepresentationsandWarranties.PartyArepresentsandwarrantsthat:(a)ithasthefullright,power,andauthoritytoenterintothisAgreementandtoperformitsobligationshereunder;(b)theexecutionanddeliveryofthisAgreementandtheperformanceofitsobligationshereunderdonotandwillnotconflictwithanylaw,rule,regulation,order,judgment,ordecreetowhichitissubject,oranyagreementorinstrumentbindinguponit;and(c)theGoodsandServicesconformto一、附件列表：1.ExhibitADescriptionofGoodsandServices2.ExhibitBDeliveryLocation3.ExhibitCDeliveryDate4.ExhibitDSpecificationsforGoodsandServices5.ExhibitEPurchasePrice6.ExhibitFPaymentInstructions二、違約行為及認(rèn)定：1.FailureofPartyAtodelivertheGoodsandServicesonorbeforetheDeliveryDateasspecifiedinExhibitC.2.FailureofPartyAtoprovideGoodsandServicesthatconformtothespecificationssetforthinExhibitD.3.FailureofPartyBtomakepaymentfortheGoodsandServicesinaccordancewiththePaymentInstructionssetforthinExhibitF.4.FailureofPartyBtoinspectandtesttheGoodsandServiceswithinthespecifiednumberofdaysafterdelivery.5.UseoftheintellectualpropertyassociatedwiththeGoodsandServicesforpurposesotherthanthosepermittedunderthisAgreement.6.BreachofconfidentialityobligationseitherParty,assetforthinArticle5ofthisAgreement.三、法律名詞及解釋?zhuān)?.ContractAgreementAlegallybindingagreemententeredintotwopartiesthatoutlinesthetermsandconditionsoftheiragreement.3.PartyAindividualorentitythatisasignatorytotheContractAgreement.4.DeliveryLocationThelocationwherePartyAisrequiredtodelivertheGoodsandServicestoPartyB.5.DeliveryDateThedatewhichPartyAmustdelivertheGoodsandServicestoPartyB.6.PurchasePriceThetotalpricetobepaidPartyBfortheGoodsandServices.7.PaymentInstructionsTheinstructionsprovidedPartyAtoPartyBdetailinghowandwheretomakethepaymentfortheGoodsandServices.9.InspectionTheprocesswhichPartyBexaminestheGoodsandServicestoensuretheymeetthespecifiedrequirements.10.ConfidentialInformationInformationthatisprivate,sensitive,orlegallyprotectedandisnottobedisclosedtounauthorizedparties.四、執(zhí)行中遇到的問(wèn)題及解決辦法：1.Deliverydelays:IfPartyAisunabletodelivertheGoodsandServicestheagree
