?合同編號（ContractNo.）：________________甲方（Buyer）：________________地址（Address）：________________電話（Tel）：________________法定代表人（Legalrepresentative）：________________乙方（Seller）：________________地址（Address）：________________電話（Tel）：________________法定代表人（Legalrepresentative）：________________根據(jù)《中華人民共和國民法典》及相關(guān)法律法規(guī)的規(guī)定，甲乙雙方本著平等、自愿、公平和誠實(shí)信用的原則，經(jīng)充分協(xié)商，就甲方購買乙方貨物事宜達(dá)成如下協(xié)議：Article1.DefinitionsInthisAgreement,thefollowingtermsshallhavethefollowingmeanings:1."Goods"meanstheproductstobepurchasedbyPartyAfromPartyBasspecifiedinthisAgreement.2."Price"meansthepricefortheGoodsasspecifiedinthisAgreement.3."Quality"meansthequalitystandardsoftheGoodsasspecifiedinthisAgreement.4."Delivery"meansthetimeandmannerofdeliveryoftheGoodsasspecifiedinthisAgreement.Article2.SubjectMatterThesubjectmatterofthisAgreementisthepurchaseandsaleoftheGoodsbyPartyAfromPartyB.Article3.Quantity,QualityandPackaging1.Thequantity,qualityandpackagingoftheGoodsshallbeinaccordancewiththespecifications,standardsandrequirementsstipulatedinthisAgreementandtherelevantappendices.2.IftheGoodsdonotmeetthequalityrequirementsstipulatedinthisAgreement,PartyBshallreplacethemwithconformingGoodsfreeofchargeorreducethepriceaccordingly.Article4.PriceandPayment1.ThepriceoftheGoodsshallbe[price]perunit,andthetotalpriceis[totalprice].2.Thepaymenttermis[paymentterm],andthepaymentmethodis[paymentmethod].Article5.DeliveryandInspection1.Thedeliverytimeand地點(diǎn)oftheGoodsshallbeinaccordancewiththeprovisionsofthisAgreementandtherelevantappendices.2.TheinspectionoftheGoodsshallbecarriedoutinaccordancewiththerelevantnationalorindustrystandardsandtheprovisionsofthisAgreement.IftheinspectionrevealsthattheGoodsdonotmeetthequalityrequirementsstipulatedinthisAgreement,PartyBshallreplacethemwithconformingGoodsfreeofchargeorreducethepriceaccordingly.Article6.LiabilityforBreachofContract1.IfeitherPartyfailstoperformitsobligationsunderthisAgreement,itshallberesponsiblefortheresultinglossesandexpenses.2.IfPartyAfailstopaythepurchasepriceinaccordancewiththeprovisionsofthisAgreement,PartyBshallhavetherighttosuspendthedeliveryoftheGoodsuntilPartyApaysthefullpurchaseprice.3.IfPartyBfailstodelivertheGoodsinaccordancewiththeprovisionsofthisAgreement,PartyAshallhavetherighttoclaimdamages.Article7.ForceMajeure1.IfeitherPartyisunabletoperformitsobligationsunderthisAgreementduetoforcemajeure,suchasnaturaldisasters,warorotherextraordinaryeventsbeyondthecontrolofbothParties,itshallnotbeheldresponsibleforsuchfailuretoperform.2.Intheeventofforcemajeure,theaffectedPartyshallpromptlynotifytheotherPartyinwritingandprovidesupportingdocuments.3.Aftertheforcemajeureeventends,thePartiesshallnegotiatetodeterminetheextentoftheirrespectiveobligationsandresponsibilitiesandtakeappropriatemeasurestomitigatethelossescausedbytheforcemajeureevent.Article8.AmendmentandTermination1.ThisAgreementmaybeamendedorsupplementedbyawrittenagreementsignedbybothParties.2.ThisAgreementshallbeterminateduponthefullperformanceofbothParties'obligationsunderthisAgreement.Article9.ApplicableLawandDisputeResolution1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[applicablejurisdiction].2.AnydisputesarisingfromorinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiation.Ifnegotiationfails,eitherPartymaysubmitthedisputetoarbitrationorbringalawsuitinthePeople'sCourt.Article10.Confidentiality1.BothPartiesshallkeepthecontentsofthisAgreementconfidentialandshallnotdisclosethemtothirdpartieswithoutthepriorwrittenconsentoftheotherParty.2.TheconfidentialityobligationofthePartiesshallsurvivetheterminationofthisAgreement.Article11.OtherProvisions1.ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororalorwrittenagreements,understandingsandarrangementsbetweentheParties.2.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallconstituteanoriginalbutallofwhichtogethershallconstituteoneandthesameinstrument.Article12.Signature1.ThisAgreementismadein[number]originalcopies,eachPartyholdingoneoriginalcopy,andtheremainingoriginalcopiesbeingheldby[relevantauthorities].2.BothPartiesconfirmthattheyhavereadandunderstoodthec
