?#中英文對照合同11##合同編號（ContractNo.）：________________##甲方（PartyA）：________________##地址（Address）：________________##電話（Tel）：________________##傳真（Fax）：________________##乙方（PartyB）：________________##地址（Address）：________________##電話（Tel）：________________##傳真（Fax）：________________鑒于甲方擁有一定的技術(shù)資源，并愿意將其許可給乙方使用，乙方希望獲得上述許可，并愿意為此支付相應(yīng)的費(fèi)用。雙方經(jīng)友好協(xié)商，達(dá)成如下協(xié)議：Article1Definitions1."Agreement"meansthisLicenseAgreement,includingtheExhibitsattachedhereto,andallamendmentsandsupplementshereto.2."EffectiveDate"meansthedateonwhichalltheconditionsprecedentsetforthinthisAgreementhavebeensatisfiedorwaivedinwritingbytheParties.3."IntellectualPropertyRights"meansallpatents,patentapplications,copyrights,copyrightapplications,tradesecrets,know-how,tradenames,trademarks(whetherregisteredorunregistered),servicemarks,andotherintellectualandindustrialpropertyrights,andallapplications,renewals,extensions,andrestorationsofthesamethroughouttheworld.4."LicensedTechnology"meansthetechnologyandknow-howownedorcontrolledbyPartyAandspecificallyidentifiedinExhibitAhereto,andallimprovementsandmodificationsthereof.5."LicensedProducts"meansanyproductsdeveloped,produced,orsoldby乙方usingtheLicensedTechnology.6."Party"or"Parties"meansPartyAandPartyBcollectively.7."Territory"meanstheworld.Article2GrantofLicense1.SubjecttothetermsandconditionsofthisAgreement,PartyAherebygrantsto乙方anon-exclusive,worldwide,royalty-freelicensetousetheLicensedTechnologysolelyinconnectionwiththedevelopment,manufacture,andsaleoftheLicensedProducts.2.乙方shallhavetherighttosublicensetheLicensedTechnologytoitsAffiliatesandsublicensees,providedthat乙方shallremainfullyresponsiblefortheperformanceofsuchsublicensees'obligationsunderthisAgreement.3.PartyAreservesallrightsnotexpresslygrantedto乙方hereunder,includingallIntellectualPropertyRightsinandtotheLicensedTechnology.Article3RoyaltyandPayments1.乙方shallpaytoPartyAaroyaltyof[royaltyamount]%of乙方'snetsalesoftheLicensedProductsduringeachcalendaryear,mencingontheEffectiveDateandcontinuingforaperiodof[royaltyterm]years.乙方shallpaysuchroyaltieswithin[paymentterm]daysaftertheendofeachcalendaryear.2.乙方shallalsopaytoPartyAaone-timelicensefeeof[licensefeeamount]uponexecutionofthisAgreement.3.乙方shallpayalltaxes,duties,andotherchargesimposedon乙方'spaymentofroyaltiesandlicensefeesunderthisAgreement,exceptfortaxesonPartyA'sie.Article4DevelopmentandSupport1.PartyAshallprovide乙方withreasonabletechnicalsupportandassistanceduringthetermofthisAgreementtoassist乙方inthedevelopment,manufacture,andsaleoftheLicensedProducts.2.乙方shallpromptlynotifyPartyAofanyproblemsordifficulties乙方encountersinusingtheLicensedTechnology,andPartyAshallusemerciallyreasonableeffortstoassist乙方inresolvingsuchproblemsordifficulties.Article5Confidentiality1.乙方shallkeepconfidentialalltechnicalandbusinessinformationdisclosedto乙方byPartyAunderthisAgreementandshallnotdiscloseorusesuchinformationforanypurposeotherthanaspermittedunderthisAgreement.2.乙方shallensurethatitspersonnelwhohaveaccesstosuchinformationalsoagreetokeepsuchinformationconfidential.乙方shallremainresponsibleforanybreachofthisobligationbyitspersonnel.3.TheobligationsofconfidentialitysetforthinthisArticleshallsurvivetheexpirationorterminationofthisAgreement.Article6RepresentationsandWarranties1.EachPartyrepresentsandwarrantstotheotherPartythat:-ithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder;-theexecutionanddeliveryofthisAgreementbyitandtheperformanceofitsobligationshereunderdonotviolateanyagreementorotherinstrumenttowhichitisapartyorbywhichitisbound;and-ithasobtainedallnecessaryconsents,approvals,andauthorizationsfromthirdpartiesrequiredfortheexecutionanddeliveryofthisAgreementandtheperformanceofitsobligationshereunder.2.EachPartywarrantsthattheLicensedTechnologydoesnotinfringeupontheIntellectualPropertyRightsofanythirdparty.Article7Indemnification1.乙方shallindemnify,defend,andholdharmlessPartyAanditsofficers,directors,employees,andagentsfromandagainstanyclaims,suits,actions,demands,damages,losses,costs,andexpenses(includingreasonableattorneys'fees)arisingoutof乙方'suseoftheLicensedTechnologyor乙方'smanufacture,sale,ordistributionoftheLicensedProductsinbreachofthisAgreement.2.PartyAshallindemnify,defend,andholdharmless乙方anditsofficers,directors,employees,andagentsfromandagainstanyclaims,suits,actions,demands,damages,losses,costs,andexpenses(includingreasonableattorneys'fees)arisingoutofathirdparty'sclaimthattheLicensedTechnologyinfringesuponsuchthirdparty'sIntellectualPropertyRights,providedthat:-乙方shallpromptlynotifyPartyAinwritingofsuchclaim;-乙方shallgivePartyAsolecontrolofthedefenseandsettlementofsuchclaim;and-乙方shallreasonablycooperatewithPartyAinthedefenseandsettlementofsuchclaim.Article8TermandTermination1.ThisAgreementshallmenceontheEffectiveDateandshallcontinueforaperiodof[termlength]years,unlessearlierterminatedasprovidedinthisAgreement.2.EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyiftheotherPartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[cureperiod]daysafterreceiptofwrittennoticethereof.3.UpontheexpirationorterminationofthisAgreementforanyreason:-乙方shallceaseusingtheLicensedTechnologyandshalldestroyorreturntoPartyAallcopiesoftheLicensedTechnologyin乙方'spossessionorcontrol;and-乙方shallpaytoPartyAallamountsowedtoPartyAhereunderasofthedateoftermination,includinganyunpaidroyaltiesandlicensefees.Article9GoverningLawandJurisdiction1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictioninwhich乙方islocated.2.EachPartyherebyconsentstotheexclusivejurisdictionofthecourtslocatedinthejurisdictioninwhich乙方islocatedforanyactionorproceedingarisingoutoforrelatingtothisAgreement.Article10EntireAgreement1.ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,andrepresentations,bothwrittenandoral,betweenthePartieswithrespecttosuchsubjectmatter.2.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothParties.Article11SeverabilityIfanyprovisionofthisAgreementisheldbyacourtofpetentjurisdictiontobeinvalidorunenforceable,suchprovisionshallbelimitedoreliminatedtotheminimumextentnecessarysothatthisAgreementshallotherwiseremaininfullforceandeffectandenforceable.Article12NoticesAllnotices,requests,demands,andothermunicationshereundershallbeinwritingandshallbedeliveredbypersonaldelivery,nationallyrecognizedovernightcourier,orcertifiedorregisteredmail,postageprepaid,returnreceiptrequested,addressedtothePartiesatthefollowingaddresses(oratsuchotheraddressforaPartyasshallbespecifiedbylikenotice):PartyA:[PartyA'saddress]Attn:[PartyA'scontactperson]Tel:[PartyA'scontactnumber]Fax:[PartyA'scontactnumber]PartyB:[PartyB'saddress]Attn:[PartyB'scontactperson]Tel:[PartyB'scontactnumber]Fax:[PartyB'scontactnumber]Anynoticesodeliveredshallbedeemedgivenuponreceipt.Article13CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.Article14HeadingsTheheadingsinthisAgreementareforreferencepurposesonlyandshallnotaffecttheinterpretationofthisAgreement.Article15SurvivalTheprovisionsofSections4,5,6,7,8,9,10,and11shallsurvivetheexpirationorterminationofthisAgreement.Article16RelationshipofthePartiesThePartiesareindependentcontractors,andnothinginthisAgreementshallcreateapartnership,jointventure,agency,orfiduciaryrelationshipbetweentheParties.Article17NoThird-PartyBeneficiariesThisAgreementisforthebenefitofthePartiesheretoandtheirrespectivesuccessorsandpermittedassigns,andnothingherein,expressorimplied,isintendedtoorshallconferuponanyotherpersonorentityanylegalorequitableright,benefit,orremedyofanynaturewhatsoeverunderorbyreasonofthisAgreement.Article18NoWaiverThefailureofeitherPartytoinsistuponstrictperformanceofanyprovisionofthisAgreementortoexerciseanyrightunderthisAgreementshallnotpreventasubsequentenforcementofsuchprovisionortheexerciseofsuchright.NowaiverofanyprovisionofthisAgreementshallbedeemedawaiverofanyotherprovisionorofanysubsequentbreachofsuchprovision.Article19InterpretationInconstruingthisAgreement,thefollowingrulesofinterpretationshallapply:1.Wheneverthecontextrequires,wordsinthesingularshallincludethepluralandviceversa.2.Theterms"include"and"including"shallbedeemedtobefollowedbythewords"withoutlimitation."3.Theword"or"isnotexclusive.Article20ConstructionThisAgreementshallbeconstruedaccordingtothelawsofthejurisdictioninwhich乙方islocatedwithoutregardtoitsconflictsoflawprinciples.Article21SeverabilityIfanytermorprovisionofthisAgreementisheldbyacourtofpetentjurisdictiontobeinvalidorunenforceable,suchtermorprovisionshallbelimitedoreliminatedtotheminimumextentnecessarysothatthisAgreementshallotherwiseremaininfullforceandeffectandenforceable.Article22NoThird-PartyBeneficiariesThisAgreementisforthebenefitofthePartiesheretoandtheirrespectivesuccessorsandpermittedassigns,andnothingher
