ForeignEnterpriseEnglishVersionLaborContractTemplate

ThisLaborContract(hereinafterreferredtoas"Contract")isenteredintoandbecomeseffectiveasof[Date],between[CompanyName],acompanylegallyregisteredandexistingunderthelawsof[Country],withitsprincipalofficeat[CompanyAddress](hereinafterreferredtoas"Employer"),and[EmployeeName],acitizenof[Country],withtheidentificationnumber[IDNumber]andresidingat[EmployeeAddress](hereinafterreferredtoas"Employee").

WHEREAS,EmployerdesirestoemployEmployee,andEmployeedesirestobeemployedbyEmployer,onthetermsandconditionssetforthinthisContract.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

Article1:EmploymentTerms

1.1Position:EmployerherebyemploysEmployeeinthepositionof[JobTitle],andEmployeeacceptssuchemployment.

1.2Reporting:Employeeshallreportto[SupervisorName],whoisthedirectsupervisorofEmployee.

1.3Location:EmployeeshallperformworkattheEmployer'sprincipalofficelocatedat[CompanyAddress],oratsuchotherlocationsasEmployermaydesignatefromtimetotime.

Article2:CommencementandDurationofEmployment

2.1StartDate:TheemploymentofEmployeeunderthisContractshallcommenceon[StartDate].

2.2Duration:ThisContractshallbeforafixedtermof[Duration],unlessearlierterminatedinaccordancewiththeprovisionsofthisContract.

Article3:WorkScheduleandHours

3.1RegularWorkSchedule:Employee'sregularworkscheduleshallbe[Hours]perweek,withworkdaysbeing[DaysoftheWeek].

3.2Overtime:EmployeemayberequiredtoworkovertimeasnecessarytofulfillEmployer'sbusinessneeds.Overtimeworkshallbecompensatedinaccordancewiththelawsof[Country].

Article4:Compensation

4.1BaseSalary:Employeeshallreceiveabasesalaryof[Amount]per[PayPeriod],payableinaccordancewithEmployer'sregularpayrollschedule.

4.2PerformanceBonus:EmployeemaybeeligibleforaperformancebonusbasedonEmployer'sdiscretionandtheachievementofcertainperformancemetrics.

4.3Benefits:EmployeeshallbeentitledtobenefitsassetforthinEmployer'semployeehandbook,acopyofwhichisattachedheretoasExhibitA.

Article5:DutiesandResponsibilities

5.1PrimaryDuties:Employee'sprimarydutiesshallinclude,butnotbelimitedto,[ListofPrimaryDuties].

5.2AdditionalDuties:EmployeemayberequiredtoperformadditionaldutiesasassignedbyEmployerfromtimetotime.

Article6:ConfidentialityandIntellectualProperty

6.1ConfidentialInformation:Employeeacknowledgesthatduringthecourseofemployment,EmployeemayhaveaccesstoconfidentialandproprietaryinformationofEmployer.EmployeeagreestomaintaintheconfidentialityofsuchinformationandnottodiscloseittoanythirdpartywithoutEmployer'spriorwrittenconsent.

6.2IntellectualProperty:Allinventions,discoveries,improvements,designs,developments,ortradesecretsmadeorconceivedbyEmployeeduringthecourseofemploymentandrelatedtoEmployer'sbusinessshallbethesolepropertyofEmployer.

Article7:Non-CompetitionandNon-Solicitation

7.1Non-Competition:Employeeagreesthatduringthetermofemploymentandforaperiodof[Duration]afterterminationofemployment,EmployeewillnotengageinanybusinessthatcompeteswithEmployer.

7.2Non-Solicitation:EmployeeagreesnottosolicitorhireanyemployeeofEmployerforaperiodof[Duration]afterterminationofemployment.

Article8:Termination

8.1TerminationbyEmployer:EmployermayterminatethisContractatanytime,withorwithoutcause,upon[NoticePeriod]days'writtennoticetoEmployee.

8.2TerminationbyEmployee:EmployeemayterminatethisContractatanytime,withorwithoutcause,upon[NoticePeriod]days'writtennoticetoEmployer.

8.3CauseforTermination:EitherpartymayterminatethisContractimmediatelyuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisContractbytheotherparty,providedthatthebreachingpartyhasnotcuredthebreachwithin[CurePeriod]daysafterreceivingwrittennoticeofthebreach.

Article9:SeveranceandPost-TerminationObligations

9.1SeverancePay:IntheeventofterminationwithoutcausebyEmployer,Employeeshallbeentitledtoreceiveseverancepayinanamountequalto[Amount],payableinalumpsumwithin[Days]daysoftermination.

9.2Post-TerminationObligations:Uponterminationofemployment,EmployeeshallpromptlyreturnallEmployer'sproperty,includingbutnotlimitedto,documents,equipment,andkeys.

Article10:Indemnification

10.1EmployeeshallindemnifyandholdharmlessEmployerfromanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwithEmployee'sbreachofthisContractorEmployee'snegligenceorwillfulmisconduct.

Article11:GoverningLaw

11.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country],withoutregardtoitsconflictoflawsprinciples.

Article12:DisputeResolution

12.1AnydisputearisingoutoforinconnectionwiththisContractshallbesubmittedtoarbitrationin[City],[Country],inaccordancewiththerulesof[ArbitrationInstitution]thenineffect.

Article13:AmendmentsandWaivers

13.1ThisContractmaybeamendedonlybyawrittenagreementsignedbybothparties.

13.2NowaiverofanyprovisionofthisContractshallbeeffectiveunlessitisinwritingandsignedbythepartytobechargedwiththewaiver.

Article14:EntireAgreement

14.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriorandcontemporaneousagreements,inducements,orconditions,whetheroralorwritten.

Article15:Assignment

15.1EmployeemaynotassignanyofEmployee'srightsordelegateanyofEmployee'sdutiesunderthisContractwithoutthepriorwrittenconsentofEmployer.

Article16:Notices

16.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonallyorsentbycertifiedmail,returnreceiptrequested,totheaddressessetforthbelowortosuchotheraddressesaseitherpartymayspecifyinwriting.
