英文運(yùn)輸合同范本合同編號(hào)：__________本運(yùn)輸合同（以下簡稱“合同”）由以下雙方于合同簽訂日期簽訂：托運(yùn)人（以下簡稱“托運(yùn)方”）：托運(yùn)方名稱：托運(yùn)方地址：托運(yùn)方聯(lián)系方式：托運(yùn)方電子郵箱：承運(yùn)人（以下簡稱“承運(yùn)方”）：承運(yùn)方名稱：承運(yùn)方地址：承運(yùn)方聯(lián)系方式：承運(yùn)方電子郵箱：1.DefinitionsandInterpretations1.1Definitions“Goods”shallmeantheitemsorproductsthattheShipperentruststotheCarrierfortransportation.“Carriage”referstothetransportationoftheGoodsfromthepickuppointtothedeliverypointasspecifiedinthisContract.“ForceMajeureEvent”meansanyeventorcircumstancebeyondthereasonablecontroloftheparties,includingbutnotlimitedtonaturaldisasters,war,strikes,lockouts,andgovernmentactions.1.2InterpretationsHeadingsareforconvenienceonlyandshallnotaffecttheinterpretationofthisContract.Referencestosingularincludepluralandviceversa,andreferencestoonegenderincludeallgenders.2.ServicestobeProvided2.1ScopeofServicesTheCarriershallprovidetransportationservicesfortheGoodsasspecifiedtheShipper.TheCarriershallensurethattheGoodsaretransportedsafelyandtimelytothedestination.TheCarriershallberesponsibleforloading,unloading,andhandlingtheGoodswithcare.2.2PerformanceStandardsTheCarriershalladheretotheindustrystandardsfortransportationservices.TheCarriershallensurethattheGoodsaretransportedinamannerthatpreventsdamage,loss,ordelay.TheCarriershallkeeptheShipperinformedoftheprogressofthetransportationandanyissuesthatmayarise.3.Carrier'sObligations3.1GeneralObligationsTheCarriershallperformthetransportationserviceswithduediligenceandinaccordancewiththetermsofthisContract.TheCarriershallensurethatthevehicleormeansoftransportationusedisingoodconditionandsuitableforthecarriageoftheGoods.3.2SafetyandSecurityTheCarriershalltakeallnecessarymeasurestoensurethesafetyandsecurityoftheGoodsduringtransportation.Thisincludesbutisnotlimitedtoproperpackaging,loading,andsecuringmentoftheGoods.TheCarriershallplywithallapplicablesafetyandsecurityregulations.3.3RouteandScheduleTheCarriershallfollowtheagreedrouteandscheduleforthetransportationoftheGoods.AnydeviationfromtheagreedrouteorscheduleshallbemunicatedtotheShipperinadvanceandwithavalidreason.4.Shipper'sObligations4.1PackagingandMarkingTheShippershallensurethattheGoodsareproperlypackagedandmarkedfortransportation.ThepackagingshallbesufficienttoprotecttheGoodsfromdamageduringtransit.ThemarkingontheGoodsshallincludetheconsignee'sname,address,andotherrelevantinformation.4.2DeliveryofGoodsTheShippershalldelivertheGoodstotheCarrierattheagreedtimeandplace.TheShippershallprovideallnecessarydocumentsandinformationrelatedtotheGoods.4.3InformationandDocumentationTheShippershallprovideaccurateandpleteinformationabouttheGoods,includingtheirnature,weight,dimensions,andvalue.TheShippershallalsoprovideanynecessarydocumentation,suchasinvoices,packinglists,andcertificates.5.FreightandCharges5.1RateandPaymentTermsThefreightrateforthetransportationoftheGoodsshallbeasagreedbetweenthepartiesandspecifiedinthisContract.TheShippershallpaythefreightandotherchargeswithintheagreedpaymentperiod.PaymentshallbemadeinthecurrencyspecifiedintheContract.5.2AdditionalChargesInadditiontothefreightrate,theShippershallbeliableforanyadditionalchargesthatmayariseduringthetransportationoftheGoods.Thesechargesmayincludebutarenotlimitedtodetentioncharges,demurragecharges,andchargesforspecialhandling.5.3InvoicingandPaymentTheCarriershallissueaninvoicetotheShipperforthefreightandothercharges.Theinvoiceshallincludedetailsoftheservicesprovided,thecharges,andthepaymentduedate.TheShippershallmakethepaymenttotheCarrier'sdesignatedbankaccountasindicatedontheinvoice.6.Insurance6.1InsuranceCoverageTheCarriershallberesponsibleforobtaininginsurancecoveragefortheGoodsduringtransportation.TheinsurancecoverageshallbeatleastequaltothevalueoftheGoods.Theinsurancepolicyshallcoverriskssuchasloss,damage,andtheftoftheGoods.6.2ClaimsProcedureIntheeventoflossordamagetotheGoods,theShipperortheCarriershallnotifytheinsurancepanyassoonaspossible.Thenotificationshallincludedetailsofthelossordamage,thecircumstancessurroundingtheincident,andanyrelevantdocumentation.TheShipperandtheCarriershallcooperatewiththeinsurancepanyintheinvestigationandsettlementoftheclaim.7.LiabilityandIndemnity7.1Carrier'sLiabilityTheCarriershallbeliableforanyloss,damage,ordelaytotheGoodsthatoccursduringthetransportation,excepttotheextentthatsuchloss,damage,ordelayiscausedaForceMajeureEventortheShipper'sfault.TheCarrier'sliabilityforlossordamagetotheGoodsshallbelimitedtothevalueoftheGoodsasdeclaredtheShipperortheactualvalueoftheGoods,whicheverislower.7.2Shipper'sLiabilityTheShippershallbeliableforanydamageorlosscausedtotheCarrierortothirdpartiesasaresultofthenature,packaging,ormarkingoftheGoods.TheShippershallalsobeliableforanypenalties,fines,orotherchargesimposedontheCarrierasaresultoftheShipper'sfailuretoplywithapplicablelaws,regulations,orthisContract.7.3IndemnificationEachpartyshallindemnifytheotherpartyagainstanyclaims,damages,losses,orexpensesarisingoutoforinconnectionwiththebreachofthisContracttheindemnifyingparty.8.ForceMajeure8.1DefinitionofForceMajeureAForceMajeureEventisaneventorcircumstancethatisbeyondthereasonablecontrolofapartyandthatpreventsordelaystheperformanceofthatparty'sobligationsunderthisContract.Sucheventsorcircumstancesmayinclude,butarenotlimitedto,naturaldisasters,actsofGod,war,terrorism,riots,civilmotion,strikes,lockouts,labordisputes,governmentactions,andunforeseencircumstances.8.2NoticeandMitigationIfapartyisaffectedaForceMajeureEvent,thatpartyshallpromptlynotifytheotherpartyinwritingofthenature,extent,andexpecteddurationoftheForceMajeureEvent.TheaffectedpartyshallalsousereasonableeffortstomitigatetheeffectsoftheForceMajeureEventandtoresumetheperformanceofitsobligationsassoonaspossible.8.3ConsequencesofForceMajeureIftheperformanceofaparty'sobligationsunderthisContractispreventedordelayedaForceMajeureEventforaperiodofmorethan[X]days,eitherpartymayterminatethisContractgivingwrittennoticetotheotherparty.Insuchacase,neitherpartyshallbeliabletotheotherpartyforanydamagesorlossesarisingoutofthetermination,exceptforanyobligationsthataccruedpriortothetermination.9.Notices9.1MannerofGivingNoticesAllnoticesrequiredorpermittedunderthisContractshallbeinwritingandshallbedeliveredhand,registered,oretotheaddressesspecifiedinthisContract.Anoticeshallbedeemedtohavebeenreceivedtheaddresseeifitisdeliveredhand,atthetimeofdelivery;ifitissentregistered,within[X]daysafterthedateofposting;andifitissente,within[X]hoursaftertheeissent,providedthatnoerrormessageisreceivedindicatingthattheehasnotbeendelivered.9.2AddressesforNoticesTheaddressesfornoticesfortheShipperareasfollows:Name:[Shipper'sName]Address:[Shipper'sAddress]E:[Shipper'sE]TheaddressesfornoticesfortheCarrierareasfollows:Name:[Carrier'sName]Address:[Carrier'sAddress]E:[Carrier'sE]10.Confidentiality10.1ObligationofConfidentialityBothpartiesundertaketokeepconfidentialallinformationanddocumentsrelatingtothisContractandthetransportationservices.ThisobligationshallsurvivetheterminationofthisContract.Thepartiesshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredlaworasnecessaryfortheperformanceofthisContract.10.2ExceptionsTheobligationofconfidentialityshallnotapplytoinformationthatisalreadyinthepublicdomainorbeespubliclyknownthroughnofaultofthedisclosingparty.Theobligationofconfidentialityshallalsonotapplytoinformationthatisrequiredtobedisclosedlaworacourtorregulatoryauthority.11.GoverningLawandJurisdiction11.1GoverningLawThisContractshallbegovernedandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction].11.2JurisdictionAnydisputearisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].12.DisputeResolution12.1NegotiationIntheeventofadisputeordifferencearisingbetweenthepartiesinconnectionwiththisContract,thepartiesshallattempttoresolvethedisputethroughfriendlynegotiation.Thepartiesshallappointarepresentativewithin[X]daysofthenoticeofthedisputetoengageinthenegotiation.Thenegotiationshallmencewithin[X]daysoftheappointmentoftherepresentatives.12.2MediationIfthenegotiationfailstoresolvethedisputewithin[X]days,thepartiesmayagreetoreferthedisputetomediation.Themediationshallbeconductedamediatormutuallyagreedupontheparties.Ifthepartiescannotagreeonamediatorwithin[X]days,themediatorshallbeappointedthe[AppointingAuthority].12.3ArbitrationIfthemediationfailstoresolvethedisputewithin[X]days,orifthepartiesdonotagreetomediation,thedisputeshallbereferredtoarbitration.Thearbitrationshallbeconductedinaccordancewiththerulesofthe[ArbitrationInstitution].Theplaceofarbitrationshallbe[ArbitrationPlace].Thelanguageofthearbitrationshallbe[ArbitrationLanguage].13.EntireAgreement13.1IntegrationofTermsThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsuperse
