àn)、無(wú)法避免且無(wú)法克服的客觀情況，如自然災(zāi)害、戰(zhàn)爭(zhēng)、政府行為等，這些情況可以免除違約方的責(zé)任。質(zhì)量保證（Warranty）：賣方對(duì)產(chǎn)品的質(zhì)量或特定性能的承諾，如果產(chǎn)品不符合保證，買方有權(quán)要求補(bǔ)救。仲裁（Arbitration）：一種非司法的爭(zhēng)議解決方式，由一名或多名仲裁員作出具有約束力的裁決。機(jī)密性（Confidentiality）：合同方之間對(duì)交換的敏感信息的保密義務(wù)，除非法律要求否則不得對(duì)外泄露。違約（BreachofContract）：指合同方未能履行合同中的義務(wù)或違反了合同的條款。交貨（Delivery）：指賣方將產(chǎn)品移交給買方的行為，通常在合同規(guī)定的地點(diǎn)和時(shí)間完成。合同（Contract）：指兩方或多方之間設(shè)立、變更或終止民事權(quán)利義務(wù)關(guān)系的協(xié)議。場(chǎng)合一：跨國(guó)農(nóng)業(yè)合作項(xiàng)目補(bǔ)充條款：考慮到跨國(guó)合作可能涉及到的文化差異和語(yǔ)言障礙，我們可以增加一條：“為促進(jìn)雙方更好地溝通和理解，賣方和買方同意定期通過(guò)視頻會(huì)議進(jìn)行交流，并盡可能提供實(shí)時(shí)翻譯服務(wù)?！眻?chǎng)合二：長(zhǎng)期合作伙伴關(guān)系場(chǎng)合三：有機(jī)農(nóng)產(chǎn)品出口補(bǔ)充條款：針對(duì)有機(jī)農(nóng)產(chǎn)品，我們可以特別增加：“賣方保證所有出口的農(nóng)產(chǎn)品均符合國(guó)際有機(jī)認(rèn)證標(biāo)準(zhǔn)，買方有權(quán)要求提供相應(yīng)的認(rèn)證文件。如發(fā)現(xiàn)產(chǎn)品不符合有機(jī)標(biāo)準(zhǔn)，買方有權(quán)退貨并獲得全額退款?！眻?chǎng)合四：緊急災(zāi)害應(yīng)對(duì)補(bǔ)充條款：考慮到自然災(zāi)害等因素可能影響農(nóng)產(chǎn)品供應(yīng)，我們可以增加：“如賣方所在地區(qū)發(fā)生不可抗力的自然災(zāi)害，導(dǎo)致無(wú)法按時(shí)交付農(nóng)產(chǎn)品，雙方應(yīng)立即協(xié)商，尋求替代方案或合理推遲交貨日期。”
