2.FeesandPayment:TheClientshallpaythePrinterthefollowingfeesfortheprintingservices:

b.Thepaymenttermsshallbe[PaymentSchedule,e.g.,50%uponexecutionofthisContract,theremaining50%uponcompletionoftheprintingservicesanddeliveryofthematerialstotheClient);

c.ThePrintershallprovidetheClientwithaninvoicefortheprintingservicesrendered,whichshallbepayablewithin[NumberofDays]daysfromthedateoftheinvoice.

3.DeliveryofMaterials:ThePrintershalldelivertheprintedmaterialstotheClientattheaddressspecifiedinExhibitAwithin[NumberofDays]daysfromthedateofcompletionoftheprintingservices.

4.OwnershipandCopyright:TheClientshallretainownershipoftheprintedmaterials,andthePrintershallnotclaimanyrightsorinterestinthematerialsortheircontent.ThePrintershallnotreproduce,distribute,orotherwiseusethematerialswithoutthepriorwrittenconsentoftheClient.

5.Confidentiality:Thepartiesagreetomaintaintheconfidentialityofanyproprietaryinformation,tradesecrets,orotherconfidentialinformationthatmaybedisclosedtotheminconnectionwiththisContract.Thepartiesshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

6.Indemnification:ThePrinteragreestoindemnifyandholdtheClientharmlessfromandagainstanyandallclaims,actions,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththePrinter'sbreachofanytermorconditionofthisContract.

7.GoverningLawandJurisdiction:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Country/State].

8.EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

8.ThirdParty'sLimitationsandObligations:

10.EntireAgreement:

7.Printer'sLimitationsandObligations:
