八、不可抗力（ForceMajeure）

1.本合同所稱不可抗力是指不能預見、不能避免并不能克服的客觀情況，包括但不限于自然災害、戰(zhàn)爭、罷工、政府行為等。2.一方因不可抗力事件不能履行本合同項下的義務時，應在不可抗力事件發(fā)生后的[X]天內(nèi)書面通知對方，并提供有關機構出具的證明文件。在不可抗力事件持續(xù)期間，雙方應協(xié)商解決合同的履行問題。如因不可抗力事件導致合同無法繼續(xù)履行，雙方互不承擔違約責任。

九、爭議解決（SettlementofDisputes）

凡因本合同引起的或與本合同有關的任何爭議，雙方應首先通過友好協(xié)商解決；協(xié)商不成的，任何一方均有權向有管轄權的人民法院提起訴訟。

十、其他條款（MiscellaneousProvisions）

1.本合同自雙方簽字（或蓋章）之日起生效，有效期至合同項下貨物全部交付并付清所有款項之日止。2.本合同一式兩份，雙方各執(zhí)一份，具有同等法律效力。3.本合同未盡事宜，雙方可另行協(xié)商并簽訂補充協(xié)議，補充協(xié)議與本合同具有同等法律效力。

7.Claims

1.IfthegoodsprovidedbytheSellerhavequalityproblems,donotconformtothespecificationsorareshortinquantity,etc.,theBuyerhastherighttolodgeaclaimwithinthespecifiedinspectionperiod.2.TheSellershallreplywithin[X]daysafterreceivingtheBuyer'sclaimnotice.IftheSelleragreestotheBuyer'sclaimrequest,theSellershallberesponsibleforreplacingthegoods,makinguptheshortquantityorrefundingthecorrespondingpayment,andshallbearalltheexpensesarisingtherefrom,includingbutnotlimitedtoinspectionfees,freight,insurancepremiums,etc.

8.ForceMajeure

1.ForceMajeureasreferredtointhiscontractmeansobjectivecircumstancesthatareunforeseeable,unavoidableandinsurmountable,includingbutnotlimitedtonaturaldisasters,wars,strikes,governmentactions,etc.2.Ifapartyisunabletoperformitsobligationsunderthiscontractduetoaforcemajeureevent,itshallnotifytheotherpartyinwritingwithin[X]daysaftertheoccurrenceoftheforcemajeureeventandprovideacertificateissuedbyarelevantagency.Duringtheperiodofcontinuanceoftheforcemajeureevent,thetwopartiesshallconsulttoresolvetheissueoftheperformanceofthecontract.Ifthecontractcannotbecontinuedduetoaforcemajeureevent,neitherpartyshallbeartheliabilityforbreachofcontract.

9.SettlementofDisputes

Alldisputesarisingoutoforinconnectionwiththiscontractshallbefirstresolvedthroughfriendlyconsultationsbetweenthetwoparties;iftheconsultationsfail,eitherpartyshallhavetherighttobringalawsuittothepeople'scourtwithjurisdiction.
