2025商務(wù)英語合同用語2025BusinessContractTemplateContractNumber:DateofExecution:PlaceofSigning:PartyA(hereinafterreferredtoas"甲方"or"PartyA")Name:Address:ContactPerson:Email:Phone:PartyB(hereinafterreferredtoas"乙方"or"PartyB")Name:Address:ContactPerson:Email:Phone:WHEREASPartyAandPartyB(hereinaftercollectivelyreferredtoasthe"Parties")wishtoestablishalawfulandmutuallybeneficialbusinessrelationship,andinaccordancewiththerelevantChineselawsandregulations,includingbutnotlimitedtotheChineseCivilCodeandotherapplicablelaws,thePartiesherebyagreetothefollowingtermsandconditions:1.PurposeoftheContractThepurposeofthiscontractistoestablishthetermsandconditionsunderwhichPartyAandPartyBwillcollaborateinthefieldof.Thescopeofthiscollaborationincludesbutisnotlimitedtothefollowing:Providingservices/productsrelatedtoConductingjointactivitiesorprojectsrelatedtoExchangingresourcesandprofessionalknowledgetoachievemutualgoals2.DefinitionsThefollowingtermsshallhavethemeaningsascribedtotheminthiscontract:"Services"referstotheservicesprovidedbyPartyBasperthetermsofthisagreement."Products"referstothegoodsdeliveredbyPartyAorPartyBasspecifiedinthiscontract."ConfidentialInformation"includesallnon-public,proprietaryinformationdisclosedbyonePartytotheotherduringthecourseofthiscontract."Term"referstothedurationofthiscontract,whichisspecifiedinSection6below.3.ResponsibilitiesandObligationsoftheParties3.1ResponsibilitiesofPartyAPartyAshallprovidePartyBwithallnecessaryinformationandsupportasreasonablyrequestedfortheperformanceofthiscontract.PartyAagreestousereasonableeffortstomarketandpromotetheservices/productsprovidedbyPartyBwithinitsbusinessnetwork.PartyAshallensurecompliancewithallapplicablelawsandregulationsintheexecutionofthiscontract.3.2ResponsibilitiesofPartyBPartyBshalldelivertheagreed-uponservices/productstoPartyAwithinthetimeframespecifiedinthiscontract.PartyBshallmaintaintheconfidentialityofallinformationdisclosedbyPartyAduringthecourseofthiscontract.PartyBagreestoprovidetechnicalsupportorassistanceifanyissuesariseduringtheimplementationoftheservices/products.4.TermandDurationThiscontractshallbeeffectivefromto,unlessterminatedearlierinaccordancewiththetermsofthiscontract.Uponexpirationoftheinitialterm,thiscontractmayberenewedbymutualagreementofbothParties,subjecttothesigningofawrittenamendment.5.PaymentTermsThetotalamountpayableunderthiscontractis(RMByuan).Paymentshallbemadeininstallmentsasfollows:Firstpayment:(RMByuan)uponsigningofthiscontract.Secondpayment:(RMByuan)upondeliveryoftheservices/products.AllpaymentsshallbemadeviabanktransfertotheaccountspecifiedbythereceivingParty.6.ReleaseConditionsThereleaseoffundsshallbecontingentuponthefollowingconditions:Deliveryoftheagreed-uponservices/products.WrittenconfirmationofsatisfactionbyPartyA.SubmissionofallrequiredinvoicesanddocumentationbyPartyB.7.IntellectualPropertyRightsAllintellectualpropertyrightswithrespecttotheservices/productsprovidedunderthiscontractshallremainwiththerespectiveownerunlessotherwiseagreedinwriting.PartyBgrantsPartyAanon-exclusivelicensetousetheservices/productsforthedurationofthiscontract,subjecttothetermsandconditionsofthisagreement.BothPartiesagreetorespecteachother'sintellectualpropertyrightsandnottouseanytrademarks,logos,orotherintellectualpropertywithoutpriorwrittenconsent.8.ConfidentialityBothPartiesagreetomaintaintheconfidentialityofanyConfidentialInformationdisclosedbytheotherPartyduringthetermofthiscontractandforaperiodofyearsaftertermination.EitherPartymaydiscloseConfidentialInformationtotheextentrequiredbyanyapplicablelaw,regulation,orlegalprocess,providedthatsuchdisclosureispromptlycommunicatedtotheotherParty.AnybreachofthisconfidentialityclauseshallentitletheinjuredPartytoseekdamagesorotherremediesasprovidedbylaw.9.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformanceduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,wars,governmentalactions,orothereventsofforcemajeure.TheaffectedPartyshallpromptlynotifytheotherPartyinwritingofthenatureandextentoftheforcemajeureeventandshallmakereasonableeffortstomitigatetheeffectsthereof.10.BreachofContractAnymaterialbreachofthiscontractbyeitherPartyshallentitletheotherPartytoterminatethiscontractuponwrittennoticeifthebreachisnotremediedwithindaysofnotification.Remediesforbreachshallinclude,butarenotlimitedto,compensationforanydirectdamages,losses,orexpensesincurredasaresultofthebreach.11.DisputeResolutionAnydisputesarisingoutoforrelatedtothiscontractshallbesettledthrough友好協(xié)商(friendlynegotiations)betweentheParties.Ifthedisputescannotberesolvedthroughnegotiation,eitherPartymaysubmitthemattertoarbitrationinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC).Arbitrationshallbeconductedin,andthearbitrationawardshallbefinalandbindingonbothParties.12.AmendmentsandWaiversAnyamendmentormodificationtothiscontractshallbevalidonlyifmadeinwritingandsignedbybothParties.Anywaiverofbreachorfailuretoenforceanyprovisionofthiscontractshallnotbeconstruedasawaiverofanysubsequentbreachofthesameoranyotherprovision.13.GoverningLawThiscontractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.14.EntireAgreementThiscontractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten,unlessotherwisespecifiedinthiscontract.15.SeverabilityIfanyprovisionofthiscontractisfoundtobeinvalidorunenforceable,suchinvalidityorunenforceabilityshallnotaffecttheremainingprovisionsofthiscontract,whichshallremaininfullforceandeffect.16.NoticesAllnotice
