2.CommissionStructure

5.Indemnification

ThePartiesshallindemnifyandholdtheotherPartyharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeperformanceornon-performanceofthisAgreement.

6.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
