5.DelayandLiquidatedDamages

a.IntheeventofanydelayintheProject'scompletion,PartyAshallpaytoPartyBliquidateddamagesintheamountof[LiquidatedDamagesAmount]perday,subjecttoamaximumof[MaximumLiquidatedDamagesAmount].

b.PartyBshallprovidewrittennoticetoPartyAofanydelayintheProject'scompletion,andPartyAshallusereasonableeffortstomitigatethedelay.

6.ForceMajeure

a.NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,governmentactions,oranyotherunforeseeableevents.

b.Intheeventofaforcemajeure,thepartiesshallpromptlynotifyeachotherandshallusereasonableeffortstomitigatetheimpactofsucheventontheProject.

7.GoverningLawandDisputeResolution
