8、hipper as SHAANXI QINYUAN TEXTILE CO.,LTD on the bill of lading ， buyer need provide a certificate to prove its buyers requirement. 9、 數(shù)量、質(zhì)量異議期 Terms of objection for quantity & quality: 買方自貨物到港之后起十五(15)個(gè)工作日內(nèi)提出數(shù)量和質(zhì)量異議，經(jīng)賣方確認(rèn)對(duì)貨物的質(zhì)量負(fù)有 責(zé)任時(shí)，由買賣雙方協(xié)商處理此問(wèn)題。逾期未提出的視為產(chǎn)品數(shù)量、質(zhì)量符合本合同要求。 The Buyer may, in case of a

11、ided seller the accurate process ing in struct ions in the con tract day 13、付款條款 Terms of payment 13.1 賣方與買方在簽訂合同之日，買方按照規(guī)定提供訂單的詳細(xì)信息之后，賣方按照買方要求，根據(jù) 實(shí)際情況安排生產(chǎn)。如出現(xiàn)突發(fā)情況需要取消訂單，買方必須在3個(gè)工作日之內(nèi)，通知賣方，確保雙方利 益不受損失。 After the seller and buyer signed the contract,the buyer needs to offer the detailed information of

12、the order and the seller needs to arrange the order according to the the requirements of the buyer.The buyer must to inform seller within three(3) working days in advance if the buyer needs to cancel the order emergency to ensure the ben efits of the buyer and seller will not be loss. 13.2 買方應(yīng)預(yù)付10%定

13、金安排生產(chǎn)，該貨款應(yīng)在合同簽訂十(10)日之內(nèi)以TT (電匯)方式匯入賣方指 定的銀行賬戶。如若延期付款，造成的訂單延期的話，責(zé)任由買方承擔(dān)，且賣方有權(quán)終止本合同。等最終 訂單生產(chǎn)完畢之后，由賣方通知買方支付尾款，且買方應(yīng)按照合同中的交付條款，以T/T(電匯)方式將剩 余全部貨款支付給賣方指定賬戶。 The buyer pay 10% deposit for produci ng the goods,it should be remitted to the buyer bank acco unt by TT with in ten (10) days once sig ned the con

15、payment to the seller bank acco unt by TT. 13.3.1合同簽署后十(10)日內(nèi)，買方應(yīng)以賣方為受益人開具可接受的全額的不可撤消信用證。若上 述信用證延遲發(fā)出超過(guò)二十一(21)日，則賣方將有權(quán)終止本合同。賣方在收到買方開出的不可撤消信用 證之后，根據(jù)實(shí)際情況安排訂單生產(chǎn)，買方在生產(chǎn)前不得撤銷訂單，否則賣方有權(quán)保留索賠權(quán)。 The Buyer shall issue an acceptable and irrevocable L/C at sight in favor of the Seller of the total amount of Con tr

And all after that the buyer could do the payment, otherwise all payment risks are borne by the buyer. 14、超期庫(kù)存規(guī)定 Regulations for overdue inventory : 買賣雙方經(jīng)充分協(xié)商對(duì)超期庫(kù)存管理約定如下： 14.1超期庫(kù)存的概念：自賣方通知買方貨物準(zhǔn)備完畢且入庫(kù)之日起超過(guò)十五(15)天未發(fā)的貨物 14.2正常庫(kù)存時(shí)間：自賣方通知入庫(kù)之日起不超過(guò)十五(15

21、)天 14.3超正常庫(kù)存時(shí)間的，每超一天，買方自愿承擔(dān)合同總金額的2%作為違約金，違約金從買方支付 的訂金中直接扣除，超正常庫(kù)存時(shí)間二十五(25)天的，買方構(gòu)成違約，賣方可單方面解除合同，自賣 方解除合同的通知到達(dá)買方時(shí)本合同終止，買方貨款不予返還。 The two parties have reached the following agreement regarding overdue inventory management upon sufficie nt con sultati on: 14.1 Con cept of the overdue inven tory man ageme

22、 nt: cargoes not shipped over _fifteen(15)_days since the day the Seller no tifies the Buyer that the cargoes have bee n prepared and warehoused. 14.2 Normal inventory time: not exceed fifteen(15) days since the Seller s notification of warehousing. 14.3 The Buyer shall volun tarily un dertake liqui

23、dated damages of 2% of the total Con tract value for each overdue day over the normal inventory time, which shall be deducted from the payment made by the Buyer. If the overdue time exceeds twenty-five(25) days, it shall be deemed as the breach of Con tract by the Buyer, and the Seller thereby can u

24、n laterally resci nd the Con tract. T he Con tract shall term in ate whe n the Seller s no tificati on f resci nd is received by the Buyer whose payme nt shall not be retur ned. 15、裝運(yùn)條款 Terms of shipment 15.1買方應(yīng)在賣方指定的時(shí)間內(nèi)提供其貨代聯(lián)系方式，若因買方提供的貨代信息延遲，則對(duì)因此所導(dǎo) 致的任何發(fā)運(yùn)延遲情形貨產(chǎn)生任何費(fèi)用，賣方概不負(fù)責(zé)。 The Buyer should provid

25、e the means of con tact of its forwarder within the Sellero anydesig nated time charge. The Seller shall not take any resp on sibility for the delay of shipme nt resulted from the Buyer provision of the forwarder s information. 15.2賣方應(yīng)當(dāng)于貨物裝運(yùn)完成后五(5)日內(nèi)，并通知買方貨物已經(jīng)發(fā)運(yùn)。發(fā)運(yùn)通知中應(yīng)載明合同編 號(hào)、貨物名稱、數(shù)量及發(fā)票金額。 The Selle

26、r shall inform the buyer with in five (5) days upon the completi on of the loadi ng of the goods, give a shipp ing advice to the Buyer by Fax.The shipp ing advice in cludes the Con tract nu mber, n ame of goods, qua ntity, and in voiced value. 15.3 轉(zhuǎn)運(yùn) / Transshipment: allowed 15.4 分運(yùn) / Partial shipm

27、ent: allowed 16、不可抗力 Force Majeure 16.1在履行本合同過(guò)程中，若其中一方發(fā)生了無(wú)法預(yù)見、無(wú)法避免并不能克服的客觀情況(以下稱 “不可抗力事件”)。而導(dǎo)致不能履行或延遲履行本合同，則依據(jù)不可抗力的影響，可部份或全部免除責(zé) 任，但法律另有規(guī)定除外。 16.2 如果一方由于導(dǎo)致不能履行或延遲履行本合同，其應(yīng)在“不可抗力事件”發(fā)生后立即通知對(duì)方， 以減輕可能給對(duì)方造成的損失，并應(yīng)當(dāng)在“不可抗力事件”停止五(5)日起，向另一方提供由相關(guān)主管 機(jī)構(gòu)出具的關(guān)于“不可抗力事件”及其影響的相關(guān)證明。 16.1n case of a party cannot perform t

If a party is un able to perform this con tract or performs it in delay because of force majeure, it shall promptly notify the other party so as to mitigate losses that might be inflicted on that other party and provide the other party the releva nt certificates with respect to the existe ne

30、e of force majeure and its effect issued by compete nt authorities within five(5) days upon term in ati on of force majeure. 17、仲裁 Arbitration 凡由于執(zhí)行本合同而發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)通過(guò)友好協(xié)商解決。如不能解決，則可訴諸仲裁。仲裁應(yīng)提 交中國(guó)北京中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按照其程序仲裁。仲裁機(jī)構(gòu)的裁決具有最終效力，雙方必須遵 照?qǐng)?zhí)行。仲裁費(fèi)用由敗訴一方承擔(dān)。仲裁機(jī)構(gòu)另有裁定的除外。仲裁期間，合同中除仲裁部分外，其他條 款仍應(yīng)繼續(xù)履行。本合同的澄清、解釋、

31、簽署及爭(zhēng)議處理都將適用中華人民共和國(guó)法律。 Any and all disputes aris ing from the performa nee of the Con tract shall be subject to frien dly n egotiati on for resolution. Either party hereto may appeal to arbitration in case no resolution would be reached through n egotiati on. Appeal, if any, shall be submitted to Chi

32、na Intern ati onal Econo mic and Trade Arbitrati on Commissi on (CIETAC) for arbitration subject to rules thereof. The arbitration award shall be final and binding upon both parties, which shall be followed and executed by both parties. The arbitratio n fee shall be borne by the los ing party, uni e

33、ss otherwise ruled by the arbitrati on in stituti on. 34、n tract. 18、違約責(zé)任 Liability for breach of Con tract 18.1買賣雙方應(yīng)嚴(yán)格按照合同約定履行，一方違約給對(duì)方造成損失的，違約方應(yīng)承擔(dān)相應(yīng)的違約責(zé)任， 違約責(zé)任范圍包括但不限于違約金、倉(cāng)儲(chǔ)費(fèi)、維護(hù)管理費(fèi)、二次銷售的差價(jià)、實(shí)際損失、實(shí)現(xiàn)債權(quán)的費(fèi)用 (仲裁費(fèi)、律師費(fèi)、差旅費(fèi))及相關(guān)費(fèi)用。如出現(xiàn)買賣雙方之間出現(xiàn)不可協(xié)調(diào)爭(zhēng)議之后，由賣方當(dāng)?shù)胤ㄔ?進(jìn)行裁決。 The Seller and the Buyer shall perform the Con tract strictly by complyi ng with provisi ons hereof.
