It is understood that the seller shall not be liable for any discrepancy of the commodity shipped due to cau

8、ses for which the insurance company, other transportation organization or post office are liable. The settlement of such claims is restricted to replacement of the non-conforming commodity on a on e-to-one basis or devaluation of the commodity according to the degree of inferiority and extent of dam

9、age in case of quality discrepancy or supply for the sliertage case of quantity discrepancy after the seller has received an inspection report on the commodity by sampling issued by a reputable commodity inspection organization or chamber of commerce at the place where the buyer is located, certifyi

10、ng the non-conformity thereof. In no event shall the seller be held liable for the merchantability or fitness for any purpose, nor shall it have any liability or responsibility for damages of any kind whatsoever, including but not limited to any direc indirect or collateral damages. (13) 不可抗力: 如遇戰(zhàn)爭，

11、內(nèi)亂或罷工，地震，臺風(fēng)或火災(zāi)以及其他不可抗力的原因?qū)е沦u方就本合同所述的全部 或部分貨物不能按期裝運(yùn)或交貨 ,賣方概不負(fù)責(zé)。 Force majeure: In case of war, riot or strike, earthquake, typhoon or fire and in other cases of force majeure preventing the shipment within the time fixed, or the delivery, the seller shall not be held liable for failure or delay in de

(14) 仲裁：在執(zhí)行本合同中所發(fā)生的或者與合同有關(guān)的一切爭執(zhí)，由雙方協(xié)商解決。 如果協(xié)商后仍不能解決的，應(yīng) 提請仲裁。仲裁地點(diǎn)在中國，由中國國際貿(mào)易促進(jìn)會對外經(jīng)濟(jì)貿(mào)易仲裁委員會進(jìn)行，根據(jù)該委員會的仲裁決定為最 終決定， 買賣雙方都應(yīng)服從，除仲裁委員會另有判定外，仲裁費(fèi)用由敗訴一方負(fù)擔(dān)。 Arbitration: Any or all disputes arising from or in connection with the perform

13、ance of the contract shall be settled through negotiation by both parties failing which they shall be submitted for arbitration. The arbitration shall take place in China and shall be conducted by the foreign Economic and Trade Arbitration Commission of China Council for the promotion of internation

14、al trade in accordance with the provisional rules of procedures of the said commission. The arbitration award shall be final and binding upon both buyer and seller.
