2、stated below：茲經(jīng)買(mǎi)賣(mài)雙方同意，由買(mǎi)方購(gòu)進(jìn)，賣(mài)方出售下列貨物，并按下列條款簽訂本合同：（1）Name of Commodity, Specifications,Packing Terms and Shipping Marks貨物名稱、規(guī)格、包裝及嘜頭（2）Quantity數(shù)量（3）Unit Price單價(jià)（4）Total Amount總值（5）Time of Shippment裝運(yùn)期限（6）裝運(yùn)口岸： Port of Loading :（7）目的口岸： Port of Dest in ation :（8）Terms of Payment: Upon receipt from the

3、 Sellers of the advice as to the time and quantify expected ready for shipme nt,the Buyers shall ope n, 20days before shipme nt, with the Bank of China ,Sha nghai, an irrevocable Letter of Credit in favour of theSellers payable by the ope ning bank aga inst sight draft accompa nied by the docume nts

4、 as stipulated in Clause （9） of this Con tract.付款條件：買(mǎi)方在收到賣(mài)方關(guān)于預(yù)計(jì)裝船日期及準(zhǔn)備裝船的數(shù)量的通知后，應(yīng)于裝運(yùn)前20 天，通過(guò)上海中國(guó)銀行開(kāi)立以賣(mài)方為受益人的不可撤銷(xiāo)的信用證。該信用證憑即期匯票及本合同第（9）條規(guī)定的單據(jù)在開(kāi)證行付款。（9）Documents: To facilitate the Buyers to cheek up, all documents should be made in a version identical to that used in thiscon tract.單據(jù)：各項(xiàng)單據(jù)均須使用與本合同相一致的

9、r by the Stan dard stipulated heron.品質(zhì)證明書(shū)內(nèi)應(yīng)列入根據(jù)合同規(guī)定的標(biāo)準(zhǔn)進(jìn)行化學(xué)成分、機(jī)械性能及其他各種試驗(yàn)結(jié)果。E. Terms of FOB Delivery :離岸價(jià)條款a) For the goods ordered in this Con tract, the carry ing vessel shall be arran ged by the Buyers or the Buyers Shipp ing Age nt ChinaNati onal Charteri ng Corporati on. The Sellers shall bear all the charg

12、es and risks un til the goods are effectively loaded on board thecarry ing vessel.裝運(yùn)本合同貨物的船只，由買(mǎi)方或買(mǎi)方運(yùn)輸代理人中國(guó)租船公司租訂艙位。賣(mài)方負(fù)擔(dān)貨物的一切費(fèi)用風(fēng)險(xiǎn)到貨物裝到船面為止。b) The Sellers shall advise the Buyers by cable, and simultaneously advise the Buyersport, 30 days before the con tracted time of shipme nt, of the con tract nu m

13、ber, n ame of commodity, qua ntity, loadi ng port andexpected date of arrival of the goods at the load ing port, en abli ng the Buyers to arrange for shipp ing space. Abse nce of such advicewith in the time specified above shall be con sidered as Sellers rdadi ness to deliver the goods duri ng the t

14、ime of shipme nt contracted and the Buyers shall arrange for shipp ing space accord in gly.賣(mài)方必須在合同規(guī)定的交貨期限三十天前，將合同號(hào)碼、貨物名稱、數(shù)量、裝運(yùn)口岸及預(yù)計(jì)貨物運(yùn)達(dá)裝運(yùn) 口岸日期，以電報(bào)通知買(mǎi)方以便買(mǎi)方安排艙位。并同時(shí)通知買(mǎi)方在裝港的船代理。倘在規(guī)定期內(nèi)買(mǎi)方未接 到前述通知，即作為賣(mài)方同意在合同規(guī)定期內(nèi)任何日期交貨，并由買(mǎi)方主動(dòng)租訂艙位。c) The Buyers shall advise the Sellers by cable, 12 days before the expected

15、loading date, of the estimated laydays, con tract number, n ame of vessel, qua ntity, to be loaded and shipp ing age nt. The Sellers shall the n arrange with the shipp ing age nt for loadishipp ing ageng accord in gly. In case of n ecessity for substituti on of vessel or alterati on of shipp ing sch

16、edule, the Buyers or the shipping agentshall duly advise the Sellers to the same effect. 買(mǎi)方應(yīng)在船只受載期 12 天前將船名、預(yù)計(jì)受載日期、 裝載數(shù)量、合同號(hào)碼、船舶代理人，以電報(bào)通知賣(mài)方。賣(mài)方應(yīng)聯(lián)系船舶代理人配合船期備貨裝船。如買(mǎi)方因故需要變更船只或更改船期時(shí)，買(mǎi)方或船舶代理人應(yīng) 及時(shí)通知賣(mài)方。d)In the event of the Sellers failure in effecting shipment upon arrival of the vessel at the loading port

17、, all losses,including dead freight, demurrage fines etc. thus incurred shall be for Sellers account. If the vess the loading port within the laydays.previously declared by the shipping agent, the storage charges and insurance premium from the 16th day after expiration of the freestorage time at the

18、 port shall be borne by the Buyers. However, the Sellers shall be still under the obligation to load the goods onboard the carrying vessel immediately after her arrival at the loading port, at their own expenses and risks. The expenses and lossesmentioned above shall be reimbursed against original r

19、eceipts or invoices. 買(mǎi)方所租船只按期到達(dá)裝運(yùn)口岸后，如賣(mài)方不能按時(shí)備貨裝船，買(mǎi)方因而遭受的一切損失包括空艙費(fèi)、延 期費(fèi)及 /或罰款等由賣(mài)方負(fù)擔(dān)。如船只不能于船舶代理人所確定的受載期內(nèi)到達(dá)，在港口免費(fèi)堆存期滿后第16 天起發(fā)生的倉(cāng)庫(kù)租費(fèi)，保險(xiǎn)費(fèi)由買(mǎi)方負(fù)擔(dān)，但賣(mài)方仍負(fù)有載貨船只到達(dá)裝運(yùn)口岸后立即將貨物裝船之義 務(wù)并負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn)。前述各種損失均憑原始單據(jù)核實(shí)支付。B Terms of CFR Delivery ：成本加運(yùn)費(fèi)價(jià)條款The Sellers undertake to ship the contracted goods from the port of loading

20、 to the port of destination on a direct liner, with notranshipment allowed. The contracte goods shall not be carried by a vessel flying the flag of the countries which the Buyers can notaccept. 賣(mài)方負(fù)責(zé)將本合同所列貨物由裝運(yùn)口岸裝直達(dá)班輪到目的口岸，中途不得轉(zhuǎn)船。貨物不得用懸掛買(mǎi)方不能 接受的國(guó)家的旗幟的船只裝運(yùn)。(11)Advice of Shipment ：裝運(yùn)通知：The Sellers shal

21、l upon competition of loading, advise immediately the Buyers by cable of the contract number, name of commodity,number of packages, gross and net weights, invoice value, name of vessel and loading date. 賣(mài)方在貨物裝船后，立即將合同號(hào)、品名、件數(shù)、毛重、凈重、發(fā)票金額、載貨船名及裝船日期以電報(bào)通 知買(mǎi)方。(12) In sura nee：保險(xiǎn)：To be covered by the Buyer

22、s from shipment, for this purpose the Sellers shall advise the Buyers by cable of thepartieulars as ealled for in Clause(11) of this Contraet, In the event of the Buyers being unable to arrange for insuranee ineonsequenee of the Sellers failure to send the above adviee, the Sellers shall be held res

23、ponsible forall the losses thus sustained by the Buyers.自裝船起由買(mǎi)方自理，但賣(mài)方應(yīng)按本合同第(11)條通知買(mǎi)方。如賣(mài)方未能按此辦理，買(mǎi)方因而遭受的一切損失全由賣(mài)方負(fù)擔(dān)。( 13) Inspeetion and Claim ：檢驗(yàn)和索賠：The Buyers shall have the right to apply to the General Administration of Quanlity Supervision, Inspeetion and Quarantine of thePeoples Republie of China

24、 (AQSIQ) for inspeetion after diseharge of the goods at the port of destination. Should the quality and/orquantity/weight be found not in eonformity with the eontraet or invoiee the Buyers shall be entitled to lodge elaims with the Sellers onthe basis of AQSIQs Survey Report, witafter diseharge of t

25、he goods at the port of destination , with the exeeption, however, of those elaims for whieh the shipping eompanyand/or the insuranee eompany are to be held responsible. All expenses ineurred on the elaim ineluding the inspeetion fee as per theAQSIQ inspeetion eertifieate are to be borne by the Sell

In ease of FOB terms, the buyers shall also be entitled to elaim freight forshort weight if any. 買(mǎi)方有權(quán)申請(qǐng)中華人民共和國(guó)國(guó)家質(zhì)量監(jiān)督檢驗(yàn)檢疫總局對(duì)貨卸目的口岸進(jìn)行檢驗(yàn)。如發(fā)現(xiàn)貨物的品質(zhì)及 / 或數(shù)量/重量與合同或發(fā)票不符：除屬于保險(xiǎn)公司及/或船公司的責(zé)任外，買(mǎi)方有權(quán)在貨卸目的口岸后90 天 內(nèi)，根據(jù)中華人民共和國(guó)國(guó)家質(zhì)量監(jiān)督檢驗(yàn)檢疫總局出具的證明書(shū)向賣(mài)方提出索賠，因索賠所發(fā)生的一切 費(fèi)用 （包括檢驗(yàn)費(fèi)用） 均有賣(mài)方負(fù)擔(dān)。FOB 價(jià)格條件時(shí)， 如重量短缺， 買(mǎi)方有權(quán)同時(shí)索賠短重部分的運(yùn)費(fèi)

27、。 （14 ） Force Majeure ：不可抗力：In case of Force Majeure the Sellers shall not held responsible for delay in delivery or nondelivery of the goods but shall notifyimmediately the Buyers and deliver to the Buyers by registered mail a certificate issued by government authorities or Chamber ofCommerce as ev

28、idence thereof. If the shipment is delayed over one month as the consequence of the said Force Majeure, the Buyersshall have the right to cancel this Contract. Sellers obtaining export licence shall not be considered as Force Majeure. 由于人力不可抗拒事故，使賣(mài)方不能在合同規(guī)定期限內(nèi)交貨或者不能交貨，賣(mài)方不負(fù)責(zé)任。但賣(mài)方必須立 即通知買(mǎi)方，并以掛號(hào)函向買(mǎi)方提出有關(guān)

29、政府機(jī)關(guān)或者商會(huì)所出具的證明，以證明事故的存在。由于人力 不可抗拒事故致使交貨期限延期一個(gè)月以上時(shí)，買(mǎi)方有權(quán)撤銷(xiāo)合同。賣(mài)方不能取得出口許可證不得作為不 可抗力。（15）Delayed Delivery and Penalty ：延期交貨及罰款：Should the Sellers fail to effect delivery on time as stipulated in this Contract owing to causes other than Force Majeure as provided for in Clause （14）of this Contract, the Buy

30、ers shall have the right to cancel the relative quantity of the contract, Or altenatively, the Sellers may, with the Buyers consent,postpone delivery on payment of penalty to the Buyers. The Buyersmay agree to grant t he Sellers a grace period of 15 days. Penalty shall be calculatedfrom the 16th day

31、 and shall not exceed 5% of the total value of the goods involved.除本合同第（ 14）條人力不可抗拒原因外，如賣(mài)方不能如期交貨，買(mǎi)方有權(quán)撤銷(xiāo)該部分的合同，或經(jīng)買(mǎi)方 同意在賣(mài)方繳納罰款的條件下延期交貨。買(mǎi)方可同意給予賣(mài)方 15 天優(yōu)惠期。罰款率為每 10 天按貨款總額 的 1%。不足 10 天者按 10 天計(jì)算。罰款自第 16天起計(jì)算。最多不超過(guò)延期貨款總額的5% 。（16）Arbitration ：仲裁申請(qǐng)書(shū)All disputes in connection with this Contract or the execution thereof shall be friendly negotiation.
