8、12. 索賠：貨物到達買方后，買方應(yīng)向中國進出口商品檢驗檢疫局申請對質(zhì)量、規(guī)格、數(shù)量進展初步檢驗，并出具檢驗證明書，如發(fā)覺貨物品質(zhì)、規(guī)格、數(shù)量與合同不符，除保險公司或船運公司應(yīng)負責的以外，買方在貨到 _ 天內(nèi)有權(quán)換貨或索賠，一切費用(如商檢費、相關(guān)的運費、保險費etc )由賣方擔當。claims: within _ days after the arrival of goods at destination should bequality, specifications or quantity be found not in conformity with the stipulationso

10、charges, freight for returning the goods and for sending the replacement insurance premium) shall be borne by the sellers.13. 仲裁：凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭吵，應(yīng)通過友好協(xié)商解決。如不能解決，那么應(yīng)申請進展仲裁。仲裁將在中國貿(mào)易促進委員會仲裁委員會進展。其做出的裁決是最終的，買賣雙方均應(yīng)受其約束，任何一方不得向法院或其他機關(guān)申請變更。仲裁費用由敗訴方負擔。arbitration: all disputes in connection with this c

11、ontract or the execution thereof shall be settled through friendly negotiation, in case no settlement can be reached through negotiations, the case under dispute shall be submitted for arbitration to the china economic and trade arbitration commission beijing in accordance with the provisional rules

12、 of procedures promulgated by the said arbitration commission. the award of the arbitration shall be final and binding upon both parties for revising the decision. the arbitration fee shall be borne by the losing part.14. 不行抗力：由于人力不行抗拒事故，而賣方交貨拖延或不能交貨時，責任不在賣方，但賣方應(yīng)馬上將事故通知買方，并于事故發(fā)生后 _ 天內(nèi)將事故發(fā)生地政府主管機關(guān)出具的
