4、ed on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the sellers in regard to the packing.包裝：須用堅固的新木箱包裝，適合長途海運，防濕、防潮、防震、防銹，防粗暴搬運。由于包裝不良所發(fā)生的損失，或采用不妥善的防護措施而造成的任何銹損，賣方應負擔由此而產生的一切費用和損失。5. SHIPPING MARK:The Seller shall mark on each

10、況下的熏蒸證明或非木質包裝證明8）按合同價的110%投保一切險的保險單。9）標簽五份（正面、背面）如果采用海運，賣方在裝船的同時將如上單據(jù)各一份寄送給目的港的xxx 公司。12. DATE OF SHIPPING:The date of Bill of Lading shall be regarded as the actual date of shipment.裝運日期：提單上的日期將被視為裝運日期。13. GUARANTEE OF QUALITY:The Seller guarantee that complies in all respects with the quality and

11、specifications stipulated in this Contract.The seller guarantees that choose the right means of transportation will be the goods arrived at the port of destination.1）質量保證：賣方保證貨物的質量和規(guī)格與本合同的規(guī)定相符。賣方保證選用合適的運輸方式將貨物運抵目的港。14. 12、h the contract and specification, the buyer of the commodity inspection bureau should be invited for inspection, and shall have the right to claim against the seller according to a report issued by the commodity inspection bureau inspection.(1) 如貨物的質量與規(guī)格與合同不符，買方應請商檢局進行檢驗，并有權根據(jù)商檢局出具的檢驗報告向賣方索賠。15. CLA

13、IMS:In case that the Seller are liable for the discrepancies and a claim is made by Buyer within the time-limit of inspection and quality guarantee period as stipulated in Clause 14 of this Contract, the Seller shall settle the claim upon the agreement of the Buyers in one or the combinationof the f

14、ollowing ways:(1) Agree to the rejection of the goods and refund to the Buyers the value of the goods so rejected in the same currency as contractedherein ,and to bear all direct losses and expenses in connection therewith including interest accrued, banking charges, freight, insurance premium, insp

15、ection charges, storage, stevedore charges and all other necessary expenses required for the custody and protection of the rejected goods.(2) Devalue the goods according to the degree of inferiority, extent of damage and amount of losses suffered by the Buyers.The claims mentioned above shall be reg

16、arded as being accepted if the Sellers fail to reply within 30 days after receiving the Buyers' claim.索賠：買方按照本合同14 條的規(guī)定， 在檢驗或質量保證期內提出的索賠，其問題應由賣方負責時，賣方在取得買方同意后應按下列之一或混合的方式處理索賠。(1)同意買方退貨，并將退貨金額以成交原幣償還買方，并負擔因退貨而發(fā)生的一切直接損失和費用，包括利息、銀行費用、運費、保險費用、商檢費、倉儲費和裝卸費。(2)按照貨物的疵劣程度，損壞的范圍和買方所遭受的損失將貨物貶值。賣方在收到買方的索賠30

17、 天內沒有答復將被認為接受上述索賠。16. FORCE MAJEURE:The seller shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure , such as war , seriousfire , flood , typhoon and earthquake , or other events agreed upon between both parties , which might occur during the proc

18、ess of manufacturing or in the course of loading or transit . The Seller shall advise the Buyer by cable/telex immediately of the occurrence mentioned above and within fourteen days thereafter, shall send by airmail to the Buyer for their acceptance a certificate of the accident issued by the Compet

19、ent Government Authorities, where the accident occurs as evidence thereof. Under such circumstances the Seller, however , are still under the obligation to take all necessary measures to hasten the delivery of the goods .不可抗力：由于嚴重的火災、水災、臺風、地震以及雙方同意的其它不可抗力事故，致使賣方交貨延遲或不能交貨時，賣方可不負責任，但發(fā)生上述事故時，賣方應立即以電傳或電

20、報通知買方，并于事故發(fā)生后14 天內將事故發(fā)生地主管當局出具的事故證明書用航空寄交買方 , 依不可抗力事件之輕重, 一部或全部免除合同責任。17. ARBITRATION:All disputes in connection with this Contract or the execution there of shall be stetted friendly through negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to China

21、International Economic and Trade Arbitration Commission in accordance with the Rules of Arbitration promulgated by the said Arbitration Commission. The Arbitration shall take place in Dalian and the decision of the Arbitration Commission shall be final and binding upon both parties; neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision. Arbitration fee shall be borne by the losing party .仲裁：一切因執(zhí)行本合同或與本合同有關的爭議，應由雙方友好
