2、另行簽訂補(bǔ)償商品供貨合同,作為本合同不可分割的一局部.設(shè)備進(jìn)口合同與補(bǔ)償商品供貨合同可合并為補(bǔ)償貿(mào)易購(gòu)銷(xiāo)合同見(jiàn)附件.第二條支付條件與方式由甲乙雙方對(duì)開(kāi)信用證,即由甲方分期開(kāi)出以乙方為受益人的遠(yuǎn)期信用證,分期、分批支付全部機(jī)械設(shè)備的價(jià)款；乙方開(kāi)出以甲方為受益人的即期信用證,支付補(bǔ)償商品的貨款.甲方用乙方支付補(bǔ)償商品的貨款,來(lái)支付全部機(jī)械設(shè)備的價(jià)款.當(dāng)乙方支付的貨款不能相抵甲方所開(kāi)的遠(yuǎn)期信用證之金額時(shí),其差額局部由乙方用預(yù)付貨款方式,在甲方所開(kāi)的遠(yuǎn)期信用證到期前匯付甲方,本合同于日在中國(guó)簽訂甲方所開(kāi)的遠(yuǎn)期信用證的按期付款,是基于乙方按規(guī)定開(kāi)出限期信用證及按規(guī)定預(yù)付貨款.乙方保證按規(guī)定開(kāi)出信用證及預(yù)

3、付貨款.第三條償付期限甲方用年零個(gè)月,分月和商品償付全部機(jī)械設(shè)備的價(jià)款.歸還日期自第一批機(jī)械設(shè)備到貨后約個(gè)月后開(kāi)始,原那么上每月歸還的金額是全部機(jī)械設(shè)備價(jià)款的分之.甲方可以提前歸還,但需在個(gè)月前通知乙方.在甲方用補(bǔ)償商品歸還機(jī)械設(shè)備價(jià)款期間,乙方應(yīng)按本協(xié)議項(xiàng)下的有關(guān)補(bǔ)償商品合同的規(guī)定,開(kāi)出以甲方為受益人的足額、限期、不可撤銷(xiāo),可分割、可轉(zhuǎn)讓的信用證.第四條計(jì)價(jià)貨幣和作價(jià)標(biāo)準(zhǔn)雙方商品均用幣計(jì)價(jià).乙方提供的全部機(jī)械設(shè)備及所有儀器、附配件用幣作價(jià),甲方提供的補(bǔ)償商品那么按簽訂合同時(shí)甲方出口貨物的人民幣基價(jià),以當(dāng)時(shí)的人民幣對(duì)幣的匯率折算為幣.第五條利息計(jì)算甲方所開(kāi)的遠(yuǎn)期信用證及乙方所預(yù)付貨款的利息應(yīng)由

4、甲方負(fù)擔(dān).雙方議定年利息為百分之.第六條技術(shù)效勞貨物到達(dá)甲方口岸后,由甲方自行安裝,但在主要設(shè)備安裝過(guò)程中,甲方認(rèn)為需要時(shí),乙方必須派出技術(shù)人員進(jìn)行現(xiàn)場(chǎng)指導(dǎo),提供必要的技術(shù)效勞,在此過(guò)程中由于技術(shù)上的問(wèn)題,所造成的損失由乙方負(fù)責(zé).經(jīng)雙方協(xié)調(diào),為完成此項(xiàng)工作,由乙方派出數(shù)量的技術(shù)人員.在中國(guó)的一切費(fèi)用均由乙方承當(dāng).以使甲方能按時(shí)議付所開(kāi)的遠(yuǎn)期信用證.第七條附加設(shè)備在執(zhí)行在協(xié)議過(guò)程中,如發(fā)現(xiàn)本合同項(xiàng)下的機(jī)械設(shè)備在配套生產(chǎn)時(shí)需要繼續(xù)增添新的機(jī)械設(shè)備或測(cè)試儀器時(shí),可由雙方另行協(xié)調(diào),予以增訂.增訂的工程仍應(yīng)列入本合同范圍之內(nèi).第八條保險(xiǎn)設(shè)備進(jìn)口以后由乙方投保.設(shè)備所有權(quán)在付清貨款后發(fā)生轉(zhuǎn)移,之后,如發(fā)生

5、意外,損失先由保險(xiǎn)公司向投保人賠付,再按比例退回甲方已支付的設(shè)備貨款.第九條違約責(zé)任乙方不按合同規(guī)定購(gòu)置補(bǔ)償商品或甲方不按合同規(guī)定提供商品時(shí),均應(yīng)按合同條款承當(dāng)違約責(zé)任,賠償由此造成的經(jīng)濟(jì)損失,并向?qū)Ψ街Ц对擁?xiàng)貨款總值的%的罰款.第十條履約保證為保證合同條款的有效履行,雙方分別向?qū)Ψ教峁┯筛髯砸环姐y行出具的保函,予以擔(dān)保.甲方的擔(dān)保銀行為中國(guó)銀行分行,乙方的擔(dān)保銀行為國(guó)銀行.第十一條合同條款的變更本合同內(nèi)容如遇特殊情況需要變更,須經(jīng)雙方協(xié)商一致.第十二條不可抗力由于人力不可抗拒的原因,致使一方或雙方不能履行合同有關(guān)條款,應(yīng)及時(shí)向?qū)Ψ酵▓?bào)情況,在取得合法機(jī)關(guān)的有效證實(shí)之后,允許延期履行或不履行有

6、關(guān)合同義務(wù),并可根據(jù)情況局部或全部免除違約責(zé)任.第十三條仲裁但凡有關(guān)本協(xié)議或執(zhí)行本協(xié)議而發(fā)生的一切爭(zhēng)議,應(yīng)通過(guò)友好協(xié)商解決.如不能解決,那么應(yīng)提交國(guó)仲裁委員會(huì)按仲裁程序在進(jìn)行仲裁.仲裁適用法律為國(guó)法律.該仲裁委員會(huì)作出的裁決是最終的,甲乙雙方均受其約束,任何一方不得向法院或其它機(jī)關(guān)申請(qǐng)變更.仲裁費(fèi)用由敗訴一方負(fù)擔(dān).第十四條文字、生效本合同用中、兩種文字寫(xiě)成,兩種文字具有同等效力.本合同自簽字之日起生效,有效期為年.期滿(mǎn)后,雙方如愿意繼續(xù)合作,經(jīng)向中國(guó)政府有關(guān)部門(mén)申請(qǐng),獲得批準(zhǔn)后,可延期年或重新簽訂合同.甲方簽字：乙方簽字：日期：附件partya:company,china.address:te

18、rtybshallsendagroupoftechnicianstochinatofaciliatethecompletionoftheproject.thecostincurredinchinashallbebornebypartyb.article 7additionalequipmentinthecourseofimplementingthecontractifitisfounnecessarythat,inadditiontothemachineryandaccessoriesalreadylistedintheprovisions,someadditionalitemsoftheeq

19、uipmentandmeasuringandtestingapparatusareneeded,anadditionalordershallbeagreeduponthroughnegotiation.theitemsthusaddedshallbeincorporatedinthecontract.partsshallbepriceddirectlyintermsofabovementioned;whiletheproductsafterbeingdeliveredinchina,themachineryanditssupportingequipmentshallbeinsuredbypar
