8、行結(jié)算最終金額，其中雙方同意保存人民幣元12個(gè)月以驗(yàn)收合格單日期為準(zhǔn)作為售后保修金。但乙方未能及時(shí)有效的向甲方提供售后保修 時(shí)，甲方有權(quán)扣除該保修金委托獨(dú)立的第三方進(jìn)行維修。如保修金不夠支付維修時(shí)，乙方應(yīng)向甲方支付缺乏的維修金部份，延后維修造成甲方損失的，乙方應(yīng)承擔(dān)相應(yīng)責(zé)任。；4. 17、 n. Any cost incurred from the settlement of quality disputes and any losses incurred therein shall be borne by the default party.五、委托工程監(jiān)理V. Entrusted Supervisor in the Project1 、甲方自聘工程監(jiān)理， 應(yīng)與工程監(jiān)理單位簽訂工程監(jiān)理合同， 并在本合 同協(xié)議條款內(nèi)明確監(jiān)理單位及其應(yīng)履行的職責(zé)。(1) Party A shall engage the project supervisor, with whom, Party A

And the name of the Project Supervisor and the responsibilities thereof shall be clearly defined in the terms of this Contract.2、甲方自聘工程監(jiān)理，須在開工前通知甲方，以便與乙方銜接。(2) Party A shall inform Party B of the Project Supervisor prior to the commencement of the wo

19、rk so as to facilitate the communications of the Supervisor with Party B六、凡由甲方自行采購的材料、產(chǎn)品、設(shè)備、須在本合同中明確注明，并 應(yīng)符合質(zhì)量標(biāo)準(zhǔn)。質(zhì)量由甲方自負(fù)；施工質(zhì)量由乙方負(fù)責(zé)。VI. Any materials, products and equipment purchased by Party A shall be clearly noted in this Contract and the quality thereof shall be conforming to the quality standar

Party A shall be liable for any quality problems of such materials, products and equipment, while Party B shall be responsible for any quality of the construction works.第四條：材料供應(yīng)Article 4 Supply of Materials一、乙方須嚴(yán)格按照國家?物價(jià)法?有關(guān)價(jià)格條例規(guī)定，對(duì)合同中所用 材料、產(chǎn)品、設(shè)備一律實(shí)行明碼標(biāo)價(jià)，明碼的價(jià)格為本結(jié)算最終價(jià)格，不受市 場(chǎng)價(jià)格波動(dòng)的影響。詳見本合同附件二 ?建筑裝飾

21、工程預(yù)、決算書? 。I. Party B shall provide clearly marked prices, strictly in accordance with relevant pricing provisions in the Law of the People' s Republic of China onMaterial Prices, for all the materials, products and equipment used in this Work. Such clearly marked prices provided by Party B shall

22、 be deemed asthe final price for the settlement under this Contract and shall not be affected by the fluctuation of market prices. See Appendix II of this Contract, Budget Statement for the Architectural Decoration Work for details.二、無論是甲方或乙方提供的材料，必須經(jīng)雙方共同驗(yàn)收合格前方可進(jìn) 入工地，并且封存樣品或樣本，作為材料供應(yīng)和竣工驗(yàn)收的實(shí)物標(biāo)準(zhǔn)。甲方或 設(shè)

23、計(jì)單位指定的材料品種，由指定者提供式樣、色調(diào)和規(guī)格的樣品或樣本。II. All the materials supplied either by Party A or by Party B shall pass the inspection for acceptance jointly conducted by the two parties hereof prior to the delivery of such materials onto the jobsite. And the samples or specimens taken there from shall be sealed

24、and stored as the actual standards for the supply of materials ad for the acceptance of the Work upon completion. In regard to the materials designated by Party A or by the Design Institute, the designator shall provide samples or specimens with relevant patterns, colors and specifications.三、甲方負(fù)責(zé)采購供

25、應(yīng)的材料、產(chǎn)品、設(shè)備，應(yīng)該是符合設(shè)計(jì)要求的合 格產(chǎn)品，并應(yīng)按時(shí)供應(yīng)到現(xiàn)場(chǎng)。如延期到達(dá)，施工期順延，并按誤工期處分。III. The materials, products and equipment procured by Party A shall be the conforming products meeting the design requirements and shall be delivered to the jobsite on a timely basis. In case of delay delivery, the Time for Completion shall b

26、e extended accordingly and relevant penalty shall be executed on the basis of the delayed working time.四、甲方提供的材料由乙方安裝的，應(yīng)按材料合計(jì)金額的 10% 作為管理 費(fèi)支付給對(duì)方。材料經(jīng)乙方驗(yàn)收發(fā)現(xiàn)不符合質(zhì)量要求，要及時(shí)與甲方聯(lián)系，驗(yàn) 收后由乙方負(fù)責(zé)保管，由于保管不當(dāng)而造成損失，由乙方負(fù)責(zé)賠償。甲方提供 的外包設(shè)備及材料，不屬乙方安裝范圍的，乙方在現(xiàn)場(chǎng)施工時(shí)應(yīng)該注意不得損 壞，非乙方原因造成的損失，乙方不負(fù)有賠償責(zé)任。IV. Party A shall make a payment o

27、f ten percent (10%) of the sum of the materials supplied by Party A but installed byParty B as the overheads. Inthe event that any material is detected to be nonconforming through inspection for acceptance, Party B shall inform Party A in a timely manner.The accepted materials after such inspection

28、shall be under the custody of Party B. Any loss incurred from the improper custody, Party B shall be responsible for indemnification. Party B is not responsible for any materials in the construction site, which owned by Party A, but not installed by Party B, nor damaged by Party B.五、乙方提供的材料、產(chǎn)品、設(shè)備應(yīng)符合

29、行業(yè)相關(guān)要求和國家規(guī)定，不 符合質(zhì)量要求，或規(guī)格有差異，應(yīng)禁止使用。如已使用，對(duì)工程造成的損失遠(yuǎn) 均由乙方負(fù)責(zé)。V. The materials, products and equipment provided by Party B shall be in accordance with the industrial standards and Chinese laws and regulations. In case of nonconformity thereof, or differences in specifications thereof, such materials, prod

30、ucts and equipment shall not be used. If they have been used in the Work, any loss incurred therein shall be fully borne by Party B.六、甲方所提供的材料均應(yīng)用于本合同規(guī)定工程，非經(jīng)甲方同意，不得 挪作他用。乙方如挪作他用，應(yīng)按挪用材料的雙倍價(jià)款補(bǔ)償給甲方。VI. All the materials provided by Party A shall be used in the Work defined in this Contract and shall not

31、 be used for any other purposes without the consent of Party B. In case that Party B uses such materials for other purpose, an indemnification by doubling the prices of the so used materials shall be payable to Party A.第五條：工程工期Article 5 Time for Completion一、乙方應(yīng)在協(xié)議約定的日期，將工程進(jìn)度方案提供應(yīng)甲方。乙方必須 按甲方簽字同意的進(jìn)度方案

32、組織施工，接受甲方對(duì)工程進(jìn)度的檢查、監(jiān)督。I. Party B shall submit the Programmed for the Work to Party A on the date agreed in the Contract. And Party B shall organize its works in accordance with the Programmed approved by Party A with the signatures thereof and shall accept the inspection and supervision of Party A on

33、 the progress of the Work.二、如果因乙方原因而延遲完工，每延遲一天，按 1,500 元/天作為 違約金扣除甲方工程價(jià)款；如果因甲方原因而延遲完工，每延遲一天，按1,500元/天作為誤工費(fèi)支付給乙方，當(dāng)設(shè)計(jì)或施工工程有變更需延期工天的，雙方應(yīng)簽署?工程變更表?并明確延期工天；違約金總額不超過人工費(fèi)總 額。II. I n case the completi on of the Work is delayed due to the default ofParty B, a pen alty at the rate of 1,500 Yua n for each day de

34、layed shall be deducted directly from the final payme nt. I n case such delay is caused by Party A, a pen alty at the rate of 1,500 Yua n for each day delayed shall be payable to Party B as the charges for the loss of work ing time in curred there in. Should additi onal work ing days are n eeded, a

35、form must be sig ned and agreed by both parties. Under all circumstances, the amount of the pen alty shall not exceed the sum of labor costs.以下原因不能作為乙方延誤工期：The following events shall not be deemed as the causes of the delay made by Party B:1、設(shè)計(jì)變更和工程量變化；1. Variation of design and change of the work q

36、uantity;2、工程款未按時(shí)交付；2. Failure to make the Con tract payme nt as scheduled;3、不可抗力；3. Force Majeure;4、其他非乙方原因造成的停工；4. Other suspe nsion of the Work not caused by Party B三、由甲方自行挑選材料、產(chǎn)品、設(shè)備，因質(zhì)量不合格而影響工程質(zhì)量 和工期，其返工費(fèi)由甲方承當(dāng)，工期順延。由乙方施工原因造成質(zhì)量事故，其 返工費(fèi)用由乙方承當(dāng)，工期不變。III. I n the eve nt that the quality and time for c

37、ompleti on of the Work is affected by the nonconforming quality of the materials, products and equipment selected by Party A, any cost for such re-work incurred therein shall be borne by Party A and the Time for Completion shall be extended accordingly. In the event that any quality accident is caus

38、ed due to the construction works of Party B, any cost for such re-work incurred therein shall be borne by Party B and the Time for Completion shall not be changed.四、暫停施工：IV. Suspension of Work1、甲乙雙方在執(zhí)行合同過程中發(fā)生矛盾而停工，雙方必須在一周內(nèi)制定 解決方案，確定復(fù)工時(shí)間，如最終責(zé)任不屬于乙方，均不按違約或延遲工期論 處。1. In case the construction work is su

39、spended resulting from any disputes between Party A and Party B encountered during the implementation of this Contract, both parties shall work out solutions within one week and define the time for restarting to work. Provided that, the final liabilities are not on the side of Party B, no penalty ei

40、ther from breach of contract or from delay of the Time for Completion shall be applied.2、 甲方在確有必要時(shí)，可要求乙方暫停施工，并在提出要求后48 小時(shí)內(nèi)拿出處理意見。乙方應(yīng)按甲方要求停止施工，并妥善保護(hù)已完工程。乙方實(shí) 施甲方處理意見后，可提出復(fù)工要求，甲方應(yīng)及時(shí)給予答復(fù)，由甲方承當(dāng)損失 和費(fèi)用，相應(yīng)順延工期。停工責(zé)任在乙方，由乙方承當(dāng)發(fā)生的費(fèi)用。因甲方不 及時(shí)作答復(fù)，施工無法進(jìn)行，乙方可認(rèn)為甲方局部或全部取消合同，由甲方承 擔(dān)違約責(zé)任。2. If considering necessary, Part

41、y A may request Party B to suspend the Work and shall work out a proposal for treatment within forty-eight (48) hours after raising such requests. Party B shall suspend its work as requested by Party A and shall give its proper protection to the completed works. After implementing the proposal for t

42、reatment given by Party A, Party B may request to restart the work. Provided that, Party A shall give timely reply and the loss and cost incurred therein shall be borne by Party A with the Time for Completion extended accordingly. If the liabilities for such suspension of work lie in Party B, Party

43、B shall bear relevant fees incurred therein. In caseParty A fails to give timely reply, leading to the impossibility to further construction, Party B may deem that Party A partially or wholly cancel the Contract. Provided that, Party A shall bear the liabilities for breach of the Contract.五、施工中如因甲方原

44、因要求重新返工的，或因甲方更改施工內(nèi)容而延 誤工期的，均需簽證，甲方須承當(dāng)全部施工費(fèi)用。如因乙方的原因造成返工， 由乙方承當(dāng)責(zé)任，工期不變。V. In the event that any item of the Work needs re-working due to the default of Party A, or the Time for Completion is delayed due to the change to the extent of the construction work made by Party A, all such events shall be end

45、orsed and Party A shall be fully responsible for all the construction fees incurred therein. If such re-working is caused by Party B, Party B shall bear the liabilities without any change to the Time for Completion.六、施工中，甲方未經(jīng)乙方同意，私自通知施工人員擅自更改施工內(nèi)容 所引起的質(zhì)量問題和延誤工期，甲方自負(fù)責(zé)任。VI. During the execution of the

46、Work, Party A shall be responsible for any quality problems and delay of the Time for Completion incurred from any instructions of Party A to the workers to change the extent of the Work without the consent of Party B.第六條： 工程驗(yàn)收Article 6 Acceptance of the Work一、隱蔽工程的質(zhì)量驗(yàn)收；I. Quality Inspection for Acc

47、eptance of the Buried/Embedded Works1、 隱蔽工程驗(yàn)收范圍指；1電器線路分照明電、 動(dòng)力電、弱電線路 和電線保護(hù)裝置；2水管分冷水管、熱水管；3家用中央空調(diào)風(fēng)管； 4煤氣管道按施工圖鋪設(shè)。在封線管之前，按標(biāo)準(zhǔn)進(jìn)行電器測(cè)試和管道試 壓，并由甲乙雙方簽字前方可繼續(xù)施工。1. The scope of buried/embedded works subject to inspection for acceptance: (1) Electric circuitry (including lighting electricity lines, dynamic ele

48、ctricity lines and light current lines) and electric line protection devices; (2)Water pipes (including cold water pipes and hot water pipes); (3) Home Central Control Air Condition (air duct); (4) Gas pipelines laid according to the Drawings. Electric testing and pipe pressure trials shall be condu

49、cted in accordance with the specifications prior to the sealing of lines and pipes, which shall be endorsed both by Party A and Party B prior to proceeding to the next work sequence.2、乙方根據(jù)合同約定對(duì)隱蔽工程先自檢再驗(yàn)收，乙方必須在驗(yàn)收72 小時(shí)前通知甲方參加。如甲方不能按時(shí)參加 ，須在開始驗(yàn)收 48 小時(shí)前向乙方提 出延期要求， 但延期不能超過兩天。如甲既未提出延期要求，又不參加驗(yàn)收， 乙方可自行組織驗(yàn)收，甲

50、方應(yīng)成認(rèn)驗(yàn)收記錄。2. Party B shall conduct self-test on the buried/embedded works in accordance with the requirements of the Contract prior to the formal acceptance thereof. Party B shall notify Party A to attend the inspection for acceptance by seventy-two (72) hours in advance. If Party A can attend such i

51、nspection for acceptance, Party A shall raise request for postponing such inspection no less than 48 forty-eight hours after the beginning of the said inspection for acceptance, but under all circumstances, such extension shall not exceed two days. If Party A fails to raise request for postponing an

52、d also fails to attend the inspection for acceptance, Party B may organize by itself the inspection for acceptance. Provided that, Party A shall accept the inspection records therefrom.二、工程竣工質(zhì)量驗(yàn)收， 除隱蔽工程需分段驗(yàn)收外， 待工程全部結(jié)束后， 乙方組織甲方進(jìn)行竣工驗(yàn)收。驗(yàn)收合格后辦理工程結(jié)算和移交手續(xù)。II. Acceptance upon the Completion of the Work: Be

53、sides the inspection for acceptance of the buried/embedded works, Party B shall organize Party A to conduct the inspection for acceptance upon completion after the completion of the whole Work. After the Work is accepted as conformity through inspection, relevant settlement and handover formalities

54、shall be handled.三、乙方應(yīng)在竣工驗(yàn)收的三個(gè)工作天前通知甲方，甲方應(yīng)在三個(gè)工作天 內(nèi)前來驗(yàn)收，逾期視為甲方自動(dòng)放棄權(quán)力并視為驗(yàn)收合格，如有問題，甲方自 負(fù)責(zé)任。甲方如自行搬進(jìn)入住，視為驗(yàn)收合格。III. Party B shall inform Party A by three (3) working days prior to the acceptance upon completion and Party A shall be present to attend the acceptance upon completion within three (3) working

Failure to be present within the said period shall be deemed as the automatic waiver of Party A to participate in such inspection for acceptance and shall be deemed that the Work is inspected and accepted as conformity. Provided that if there is any problem detected later, Party A shall bear t

56、he liabilities by itself. If Party B moves into the building without the consent of Party B and without inspection for acceptance upon completion, it shall be deemed as conformity of the Work done by Party B.四、甲方如不能在乙方指定合理的時(shí)限內(nèi)前來驗(yàn)收，應(yīng)及時(shí)通知乙方， 另定日期，但延期天數(shù)不能超過三個(gè)工作天。但甲方應(yīng)成認(rèn)工序或工程的竣工 日期，并承當(dāng)乙方的看管費(fèi)和相關(guān)費(fèi)用。IV. If

57、Party A can'bte present to inspect Work for acceptance upon completion within the reasonable time designated by Party B, Party A shall give timely notice to Party B and arrange another day within 3 working days of the notice for such inspection for acceptance. Provided that, Party A shall accept

58、 the date of completion of the work sequence or the Work and shall be responsible for custody fees and relevant cost incurred therein to Party B.五、工程結(jié)算V.
