SHIPMENT: The Sellers shall ship the goods within the shipment time from the port of shipment to the destination. Transshipment is allowed. 11、 be borne by the sellers.裝運(yùn)通知：賣方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號(hào)、物資、數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱、交貨日期、物資可能抵達(dá)日等資料通知買方。假如由于賣方未能通知買方而造成的所有損失均由賣方承擔(dān)。13. GUARANTEE OF QUALITY:The Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respect

12、s with the quality and specification stipulated in this Contract. CLAIMS:Within 90 days af

13、ter the arrival of the goods at destination, should the quality, specification, or quantity be found in unconformity with the stipulations of the Contract except those claims for which the insurance company or not the owners of the vessel are liable, the Buyers shall, on the strength of the Inspecti

14、on Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. or the site inspection report issued by the sellers engineer, have the right to claim for replacement with new goods, or for compensation, and all expenses (such as inspection charges, freight for re

15、turning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges etc.) shall be borne by the Sellers. As regards quality, the Sellers shall guarantee that if within 12 months from the date of signing the acceptance report of this machine, damages occur

16、in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quaranti

17、ne of P.R.C. .The Certificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyers claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the s

18、tate of defect(s), . If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers. 索賠：物資抵達(dá)目的地后90天內(nèi)，假如質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā)覺(jué)與合同的規(guī)定不符(除過(guò)保險(xiǎn)公司和運(yùn)輸公司的責(zé)任所負(fù))，買方應(yīng)該依據(jù)中華人民共和國(guó)出入境檢驗(yàn)檢疫局的檢驗(yàn)報(bào)告或者是賣方的調(diào)試人員在安裝調(diào)試時(shí)出具的報(bào)告，有權(quán)要求替換或補(bǔ)償，

19、所有的費(fèi)用(包括商檢費(fèi)、替補(bǔ)件來(lái)回的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉(cāng)儲(chǔ)費(fèi)、物資裝貨卸貨費(fèi)等)均由賣方承擔(dān)。賣方的質(zhì)量保證為簽定關(guān)于此批物資的驗(yàn)收?qǐng)?bào)告后12個(gè)月內(nèi)；由于物資內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造成操作中的物資損壞，買方應(yīng)立即書面通知賣方，并同時(shí)隨附中國(guó)商檢局出具的檢驗(yàn)報(bào)告作為索賠依據(jù)。賣方在接到買方的索賠后，有責(zé)任立即解決相應(yīng)的質(zhì)量問(wèn)題、全部或部分地替換物資或依照物資損壞的程度進(jìn)行折價(jià)； 假如賣方在收到買方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣方所同意。15. FORCE MAJEURE:The Sellers shall not be held responsible for the

20、delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall

21、send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the de

22、livery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have the right to cancel the Contract.不可抗力：關(guān)于制造或裝船運(yùn)輸過(guò)程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交貨，賣方能夠不承擔(dān)責(zé)任。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方，同時(shí)賣方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。在此情況下，賣方仍應(yīng)盡最大努力采取各種措施促使物資的發(fā)運(yùn)。假如事故持續(xù)十周，買方有權(quán)取消該合同。16. LATE D

23、ELIVERY AND PENALTY:Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract. The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be dedu

24、cted by the paying bank from the payment. The Penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days. Odd days less than seven days should be counted as seven days. In case the Sellers fail to m

25、ake delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.遲交貨和罰金：假如賣方未能按合同規(guī)定及時(shí)交貨(除了本合同15條款所言的不可抗力)，買方同意在賣方付罰金的前提下遲交貨。罰金的金額不超過(guò)遲交貨的合同物資部分的價(jià)值的5%，罰金按每7日0.5%計(jì)算，少于7日的增加天數(shù)按7日
