GUARANTEE OF QUALIT

CLAIMS: Within 90 days after the arrival of the goods at destination, should the quality, specification, orty be found not in conformity with thesti

As regards quality, the Seller shall guaranteet if, with he period stipulated indamages occurhe course of operation byreason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immedia y notify the Seller in writing and put forward a claimsupported by In

The Seller, in accordance with the Buyers claim shall be responsible for the immediateelimination of the defect(s), complete or partial replacement of the commodity or shal

19、l devaluate the commodity according to the s e of defect(s). Wherenesary, the Buyer shall beiberty to eliminate the defect(s) themselves at the Seller expenses with the consent of the Seller. The Buyer should ie theary evidenuch as receipts after receiving the Sellers aforesaid supplement or replace

If the Buyer fail to answer the Seller withie monthafter receipt of the Sellers aforesaid supplement or replacement, the supplement or replacement shall be reckoned as having been accepted by the Buyer.索賠：在貨物到達(dá) 90 天內(nèi)因發(fā)現(xiàn)貨物型號、質(zhì)量、數(shù)量與合同條款和質(zhì)量證明書不符時, 除屬于公司及保險公司的賠償責(zé)任外, 賣方應(yīng)承擔(dān)補(bǔ)發(fā)或更換責(zé)任。買方應(yīng)依據(jù)由中國商品檢驗(yàn)局出具的檢驗(yàn)

21、為證明依據(jù),向賣方要求交付替代貨物。若經(jīng)證明確實(shí)存在貨物型號、質(zhì)量、數(shù)量與合同條款不符的情形時，所有發(fā)生費(fèi)用 (檢驗(yàn)費(fèi)、退運(yùn)費(fèi)、替代品運(yùn)費(fèi)、保險費(fèi)、倉儲費(fèi)、裝卸費(fèi)等) 均由賣方承擔(dān)。因質(zhì)量問題而在操作中毀壞, 買方應(yīng)立即通知賣方,并提交商檢, 根據(jù)由雙方指定的商品檢驗(yàn)局出具的檢驗(yàn)做為索賠依據(jù)。檢驗(yàn)將作為索賠依據(jù)。根據(jù)買方的索賠賣方應(yīng)立即修補(bǔ)受損部位; 提交全部或部分替代品; 或根據(jù)受損情況降低價格。必要，買方選擇在賣方同意的情況下，自行排除商品的缺陷，所產(chǎn)生的費(fèi)用由賣方承擔(dān)。買方在接受上述賣方賠償后需出具收據(jù)等證明文件，出具后一個月無異議, 則視為買方已接受賣方的賠償。13. FORCE MA

22、JEURE: The Seller shall not be held responsible for the delay in shipment or-delivery of the goods due to Force Majeure, whiight occurduring the pros of manufacturing orhe course of loading or transit. The Sellers shall advise the Buyers immedia y of the occurrence mentioned aboveand within fourteen

23、 days thereafter, the Sellers shall send by airto the Buyers for their acceptance aof the accident ied by the Competenternment Authorities, the Chamber of Commerce or Competent Notaryanization where accident occurs as evidence thereof.Under such circumstanthe Seller. However, are stilder the obligat

24、ion to take all nesary measures to hasten the delivery of the goods. In case theaccident lasts for moren 10ks, the Buyers shall have the right to cancel the whole Contract or the outstanding part thereof. The FORCE MAJEURE ofthis clause include but not limited to wars, fire disasters, earthquakes, c

25、hanges of policies, which are inevitable and insurmountable while making this Contact.不可抗力: 因在生產(chǎn)、裝運(yùn)、期間所發(fā)生的不可抗力而造成賣方無法或延遲交貨, 賣方不承擔(dān)責(zé)任。 但賣方應(yīng)在不可抗力發(fā)生后 14 天內(nèi)立即電報 (或電傳) 通知買方,并須向買方提交由當(dāng)?shù)夭块T、商會或合法的機(jī)構(gòu)出具的發(fā)生此類事故的有效證明書以資證明。在此期間賣方仍有義務(wù)采取措施爭取及時交貨, 但當(dāng)此事故長達(dá) 10 周時,則買方取消此合同或合同中未裝運(yùn)的部分。本條所述的不可抗力是指合同雙方在訂立合同時不能預(yù)見，對其發(fā)生和均無法避免及

26、無法克服的事件，如、火災(zāi)、政策變化等。14. LATE DELIVERY AND PENALTY: Should the Seller fail to make delivery on time as stipulatedhe Contract, with exception of Force Majeure clausesspecified in Clause 15 of this Contract, the Buyers shall agree totpone the delivery on conditiont the Seller agree to pay a penalty whic

27、h shall bededucted by the paying bfrom the payment under negotiation. The penalty, however, shall not exceed 5% of the total value of the goods involvedhe latedelivery. The rate of penalty is charged at 0.5% for every seven days, odd days lessn seven days should be counted as seven days. In case the

28、 Seller failto make delivery tenks latern the time of shipment stipulatedhe Contract, the Buyer shall have the right to cancel the contract and the seller neednot pay the aforesaid penalty to the Buyers延遲交貨及處罰: 除因本合同規(guī)定的不可抗力外, 賣方若未能按照合同的條款按時交貨, 若賣方同意負(fù)擔(dān)處罰費(fèi)用 (可經(jīng)協(xié)商，于賣方同意后由議付行從貨款中扣除), 則買方應(yīng)同意延期交貨。罰金為每七天負(fù)擔(dān)

29、貨值的 0.5%, 少于七天按七天計(jì), 罰金最多不應(yīng)超過總貨值的 5%。但拖延交貨至 10, 買方解除合同。賣方無需負(fù)擔(dān)前述罰金。15. ARBITRATION: All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations. In case no settlementcan be reached the case may then be submitted for arbitration to the Shanghaie

30、rnational Economic and Arbitration Commisin accordance with the Rulesand Procedures promulgated by the said Arbitration Committee. The Arbitration shall take place in Shanghai and deciof the Arbitration Committee shall befinal and binding upon both parities; neither party shall seek recourses to a law curt or other authorities to appeal for reviof the deciunless thearbitration procedure is illegal. Arbitration fee shall be borne by the losing party.仲裁條款: 凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議, 雙方應(yīng)通過友好協(xié)商解決; 如果協(xié)商不能解決, 應(yīng)提交國際經(jīng)濟(jì)貿(mào)易仲裁根據(jù)該會仲裁程序及仲裁規(guī)則進(jìn)行仲裁。仲裁應(yīng)在進(jìn)行，且仲裁裁決是最終的, 對雙方都有約束
