14、tary Letter of Credit for a period of 180 days or 360 days from the bank, FOB China main port or airport.買方依照協(xié)議的條件下開立,不可撤銷,可分割,可轉(zhuǎn)讓,可循環(huán) 100%有效期為180天或360天的跟單循環(huán)信用證。開證銀行為 銀行,信用證 FOB中國主要港口或機(jī)場。Delay Charges:延期交貨違約金:Any delay of a delivery from the Seller is seen as renege of the contract, except for delay

15、s owing to Force Majeure set forth hereof in this contract. For a delay seen as a renege, the seller is charged a penalty of 0.5% of the cargos total contract value per Seven (7) days of delay, delay time lesser than 7 days is counted as 7 days. The penalty will be paid in cash to the buyer right af

16、ter the delay happens. This condition is negotiable in case the buyer acknowledges toleration for a delay. The shipment time is count from the cargo shipped on the ship or the plane.除各方認(rèn)可的不可抗力因素外，賣方遲于協(xié)議規(guī)定的期限(以裝船或裝飛機(jī)時為準(zhǔn))交貨，被視為違約即依照貨物總價(jià)值的0.5計(jì)算，依照每7天計(jì)算一次違約罰金，不足七天按七天計(jì)，并在同一時期將違約用現(xiàn)金支付給買方。如買方同意遲延交貨，上述的情況由各

17、方另行協(xié)商。FORCE MAJEURE : 不可抗力The title is standard clause found in marine contracts exempting the parties for non-fulfillment of their obligations by reason of occurrence beyond their control, such as earthquakes, floods, murrain or war.在地震洪水瘟疫或戰(zhàn)爭等不可抗力情況下各方免責(zé)。TITLE AND RISK : 物權(quán)和風(fēng)險(xiǎn)轉(zhuǎn)移The title to the go

18、ods and risks shall pass from seller to the buyer when the goods are loaded into the Plane or ship. All risk of loss, damage or destruction with respect to the delivered shall pass from the buyer to the seller at the time of loading from the loading devices into the plane or ship.在貨物裝機(jī)或裝船后物權(quán)和風(fēng)險(xiǎn)由賣方轉(zhuǎn)移

The arbi

27、tration shall take place in HONGKONG, China in the Chinese language, and the findings of the arbitrator shall be considered final and binding upon both parties. The fee for such arbitration shall be borne by the losing party unless otherwise specified by the board of arbitrators The laws of HONGKONG
