7Chapter=1\*ROMANI.Introduction1.1DefinitionofLetterofCreditAletterofcreditorL/Cisaconditionalundertakingofpaymentsbyabank.Itisanundertakingissuedbyabankfortheaccountofthebuyer(theapplicant)orforitsownaccount,topaythebeneficiarythevalueofthedraftand/ordocumentsprovidedthatthetermsandconditionsofthedocumentarycreditarecompliedwith.1.2TheFunctionofL/CTheletterofcreditisthemostlywidelyusedinstrumentofinternationalbanking.Ininternationaltradeitisalmostimpossibletomatchpaymentwithphysicaldeliveryofthegoods,whichconstitutesconflictingproblemsfortrade.Sincetheexporterpreferstogetpaidbeforereleasingthegoodsandtheimporterpreferstoobtaincontroloverthegoodsbeforepayingthemoney.Theletterofcreditisaneffectivemeanstosolvetheproblem.Itsobjectiveistofacilitateinternationalpaymentbymeansofthecreditworthinessofthebank.Thismethodofpaymentofferssecuritytoboththesellerandthebuyer.Theformerhassecuritytogetpaidprovidedhepresentsimpeccabledocumentswhilethelatterhasthesecuritytogetthegoodsrequiredthroughthedocumentshestipulatedinthecerdit.1.3TheAnalysisThisthesisdesignisabouttheanalysisoftheL/CbetweenUnitedOverseasTextileCorp.LosAngeles,U.S.A.andQingdaoQinghaiCo.,LTD.QingdaoChina.bymeansofanoutline.ThedesignaimstoexplorethebasiccomponentsofaLetterofCredit.word文檔可自由復(fù)制編輯Chapter=2\*ROMANII．TheContentoftheL/C2.1TheDescriptionoftheL/CTheL/Cinquestionisanirrevocablecredit,tobeexact,whichonceopenedbytheissuingbankisnotfreetomodifyorrevokewithoutthebeneficiaryornegotiatingbankandotherrelevantparties’agreementwithinthevalidityperiod,aslongasthebeneficiariesoffertherelevantdocumentsaccordingtopaymentprovisions,theissuingbankorappointedbytheissuingbankguaranteesfullpayment.FromtheL/C,itcanbeseenthattheduetimeisonorbefore2ndNovember,2013.2.2RequirementsoftheGoodsThedescriptionofgoodswhichcontains71000Mof100%polyesterwovendyedfabricand/orservicesisthattradetermsisCIFLosAngelesport.U.S.A.andtheoriginisChina.TheunitpriceisUSD0.75perMandtheweightis150cm,>180G/M2.2.3RequirementsoftheShipmentAsfortheshipment,theL/CreadsfromQingdaotoLosAngelesnotlaterthan17thOctober,2013.Partialshipmentsarenotallowed.Tran-shipmentsarenotallowed.Thedescriptionofgoodsand/orservicesisobvious,whichcanbeeasilygotbytheauthorfromtheL/C.2.4RequirementsoftheDocumentTheadviceorirrevocablecan’tbemodifiedoptionallywithoutthebeneficiaryornegotiatingbankandotherrelevantdocuments’agreement.2.5SpecialRequirementsInthedocument,theauthorcanseethespecialinstructions.Draftsdrawnmustbeinscribedwiththenumber.Thedateofthiscreditanddocumentshavetobepresentedwithin15daysafterthedateofissuanceofthebillofladingorothershippingdocuments.Weundertaketohonoryourdraftsdrawnandnegotiatedinconformitywiththetermsofthecreditprovidedsuchnegotiationhasbeenmadepriortoreceiptbyyournoticeofcancellation.ChapterⅢRightsandObligation3.1IssuingbankTheissuingbank(herereferstotheCitibankInternationalfromLosAngeles)issuesaletterofcreditattherequestofanapplicant.Byissuingacredittheissuingbankundertakesfullresponsibilityforpaymentagainstproperdocumentspresentedbybeneficiary.3.2AdvisingbankTheadvisingbank(herereferstotheBankofChinaQingdaoBranchfromQingdao)hasthetaskofinformingthebeneficiarythatthecredithasbeenissuedinhisfavorsothatthebeneficiarymaytakenecessarypreparationsforshippingthegoodsanddraftthedocumentregulatedinthecredit.3.3BeneficiaryBeneficiary(herereferstoQingdaoQinghaiCO.,LTD.)asksfortheissuingofthecreditunderthedocumentstipulatedsothatthebeneficiarycanobeyhisobligations.3.4NegotiatingbankNegotiatingbankpurchasesthedocumentunderthecredit.Ifallthecreditstermsaremet,thenegotiatingbankwillbuytheexportersdraftswithorwithoutrecourseandthenitwillsendthedraftsanddocumentstotheissuingbankforthereimbursement.3.5PayingbankPayingbankisauthorizedbytheissuingbanktopaythebeneficiaryaccordingtothetermsandconditionsofthecredit.ChapterⅣProcedureSummarizedfromtheL/CinQuestion.4.1FirstStepThebuyer(UnitedOverseasTextileCorp.)andtheseller(QingdaoQinghaiCO.,LTD.)agreeonthetermsofthesale,whichincludesspecifyingadocumentarycreditasthetermsofpayment,naminganadvisingbankandlistingtherequireddocuments.4.2NoticetotheIssuingBankThebuyerappliestohisbankfortheopeningofthecreditandtheconclusionofthesecurityagreementbetweentheapplicantandtheissuingbank.4.3DeliverytotheAdvisingBankTheissuingbank(CitibankInternationalfromLosAngeles)sendsthedocumentarycredittotheadvisingbanknamedinthecredit.4.4DutyoftheAdvisingBankTheadvisingbank(BankofChinaQingdaoBranchfromQingdao)informsthesellerofthedocumentarycredit.4.5PropertyoftheL/CThisletterofcreditcan’tberevoked.Sincethedateoftheissuingofletterofcredit,theissuingbankisrestrainedbyitstermsandcommitments.Ifit’snecessarytocancelormodify,thetermsofthecredittothebeneficiaryisstilleffectivebeforethebeneficiaryshowtheacceptanceoftheamendmenttonotifythebank.Ofcourse,withtheconsentoftheissuingbank,theconfirmingbankandthebeneficiary,theletterofcreditcanberevokedormodifiedevenifitisirrevocable.4.6TheDetailsofShippingThestepsofutilizationreferstotheprocedureoftheseller’sshippingofthegoods,thetransmissionofd
