MalaysiaDischargingport:NorthChinaMainPortShipment:onorbefore30thJuly,2016第四條交貨條款和交貨時間成本加運費加保險費，中國北方主要港口裝貨港：馬來西亞卸貨港：中國北方主要港口2016年7月30日前裝運ARTICLE–5WEIGHTDETERMINATIONEachGOODSshipmentshallbeweighedattheloadingportandcertifiedbyshipmasterandSGSMalaysiaaccordingtothedraftofthevessel,thecostofsuchinspectionwillbefortheSeller.Weightthusweighedshallbehereinaftercalled“Seller’sBuyerinvoicehasweighttherighttobepresentordispatchthirdpartytobepresenttoevidencetheloadedquantitydeterminateatloadingport.Atdischargingport:FinalweightdeterminationoftheGOODSshallbedecidedbyChinaCertification&InspectionGroupCo,Ltd/oritssubsidiaryco.(CCIC)ortheaveragebetweentheCCICChinaandSGSChinaatdischargingport,thecostofCCICChinawillbefortheBuyer，andthecostofSGSChinawillbefortheSeller.FinaldryweightisbasedonactualweightmeasurementmentionedinCertificateofWeightissuedbyCCICChinaortheaveragebetweentheCCICChinaandSGSChinaatdischargingportminusactualfreemoistureshowninCertificateofQualityissuedbyCCICortheaverageofthefreeMoisturebetweentheCCICChinaandSGSChinaatdischargingPort.第五條:重量決定每船貨物將在裝貨港由船長與馬來西亞SGS根據船的吃水測量重量，測量費用由賣方承擔。如此測量的重量稱為“賣方的發(fā)票重量”，買方有權出席或者派第三方出席監(jiān)督裝貨港的重量測定。在卸貨港：最終貨物的重量將由中國認證&檢驗集團有限公司/或其附屬公司(CCIC)在卸貨港或者中國CCIC與中國SGS的平均值來確定，其中中國CCIC費用由買方承擔,中國SGS費用由賣方承擔。最終的干噸數按照中國CCIC在卸貨港出具的重量證上的實際重量數或者中國CCIC與中國SGS的平均值減掉中國CCIC在卸貨港出具的質量證上的自由水分數或者中國CCIC與中國SGS的平均值的結果。ARTICLE–6SAMPLINGANDANALYSISSamplingandanalysiswillbecarriedoutatSeller ’sexpensebySGSMalaysiaduringltheloadingport.TheBuyermay,atBuyer’sexpense,haveitsrepresentativespresentatthetimeofsamplingandanalysis.Notwithstandingtheforegoing,inordertoensureafairinspection,afterarrivalofthevessel,thesellerwillcommissionSGSChinatoconductsampling.SamplingandanalysiswillbecarriedoutindependentlybyCCICChinaandSGSChinaatthedischargingport.Subjecttoparagraphbelow,theCCICChinaresultshallbethebasisoftheFinalSettlement.AllexpensesinconnectionwithsuchsamplingandanalysisbyCCICChinashallbeontheBuyer'saccount.Thesampletakenforanalysisshallbein3partsandsealed,onesampledforanalysisbyCCICChina,onesampledforanalysisbySGSChina,andoneretainedforthepurposeofanumpireanalysis(sampledbySGSChina),ifrequired,tobeanalysedbyanindependentISO-approvedlaboratory.Thethirdpartyanalysiscosttobebornebythelosingparty.IftheCCICChinadischargeportresultsareaboveorbelowtherejectionlevel,orthedifferencebetweenCCICChinaandSGSChinaanalysisresultsatdischargeportareover%(inclusiveof%)forAl2O3,SiO2,ormoisture,thesellercanchooseeitherusingtheaveragebetweentheCCICChinaandSGSChinadischargeportasthefinalbasis,orcanchoosetochallengeCCICChinadischargeportresultsanduseumpiresampleresultsasthefinalsettlement.Ifthedifferenceislessthan%(exclusiveof%),thedischargingportCCICChinareportasabasisforfinalsettlement.第六條:質量檢驗在裝港取樣分析由SGSMalaysia施行，并由賣方承擔檢驗成本。買方有權到場或派第三方到取樣分析現(xiàn)場，相關費用由買方自行承擔。盡管前有所述，為保證檢驗的公平，貨物到卸港后，賣方委托 SGSChina進行取樣/檢驗。卸港取樣以及分析由 CCICChina和SGSChina單獨實施。除所述情況，此 CCICChina分析結果為最終結算依據。與 CCICChina有關的取樣分析成本由買方承擔。測試及測試樣品總共有3份并妥善封好,CCICChina取的一份作為CCICChina的分析之用,SGSChina取的一份作為SGSChina的分析之用,一份(SGSChina取的一份)會保留以備日后可能需要的獨立ISO認可的仲裁分析之用。其仲裁費用敗訴方承擔。如果CCICChina卸港檢驗結果超過拒收值，或卸港CCICChina與SGSChina檢驗結果之間AL2O3,SIO2,水分任一指標檢差值在%以上（包含%），賣方可以選擇按卸港CCICChina與SGSChina的檢驗報告中的平均值作為最終結算依據,或者賣方可以選擇以仲裁樣品化驗結果作為最終結算依據。如果相差在%內(不含%)，將卸港CCICChina報告作為最終結算依據。ARTICLE7–PAYMENT第七條:付款PaymentoftheUponSigningpayment,ProvisionalInvoiceand,ifrelevant,theFinalInvoice,shallbepaidbyT/TinaccordancewiththisAgreement.定金、首款和尾款都是以美元為貨幣，電匯支付 .50%PaymentInitialInvoice(“InitialPayment”)50%amounoftinghetotalvalueshallbepaidtotheselleruponthecargoloadedonthebargesreach24000ton.Thetotalvaluecalculatedbasedthecontractstatedprice(USDwithoutadjustment,andthedryweightcalculatedonthebasisofthequantitystatedinthecontract(55,MT)minusthemaximumfreemoisturecontentstatedinthecontract(15%).“首付款”在賣方駁船裝貨數量到
