CONTRACTTIME.4.1所有列于本第4條和其他列于合同文件中的時(shí)間限制對(duì)于本合同來說均是至關(guān)重要的。承包方應(yīng)在接到中標(biāo)通知書的[****]日內(nèi)在業(yè)主的配合下取得施工許可,并在取得該許可的[****]日內(nèi)開始工程。其應(yīng)以足夠的人力令工程迅速推進(jìn)，并且在_____前達(dá)到實(shí)質(zhì)竣工，能令項(xiàng)目設(shè)施已具備為業(yè)主所占有和使用的條件（“合同時(shí)間”）。而且，承包商應(yīng)于____前達(dá)到本合同所要求的最終竣工。AlltimelimitsstatedinthisArticle4andelsewhereintheContractDocumentsareoftheessenceoftheContract.TheContractorshallobtaintheconstructionpermitwithin[****]daysafterhereceivesbid-winningnoticewiththecooperationoftheOwnerandbegintheWorkwithin[****]daysafterreceiptoftheconstructionpermit..HeshallcarrytheWorkforwardexpeditiouslywithadequateforcesandshallachieveSubstantialCompletionbyhavingtheProjectfacilityreadyforoccupancyandusebytheOwnerby,the"ContractTime".Further,theContractorshallachieveFinalCompletionasrequiredbytheContractby. 4.2承包商應(yīng)根據(jù)業(yè)主的要求制作、解釋并不時(shí)地更新并修改施工進(jìn)度表以及適當(dāng)?shù)姆诌M(jìn)度表。進(jìn)度表和分進(jìn)度表應(yīng)通過能使工程在合同時(shí)間內(nèi)完成的建設(shè)和行政活動(dòng)，來顯示完整的工程順序。承包商承認(rèn)施工進(jìn)度表是本合同的一項(xiàng)重要條件，且若工程未按施工進(jìn)度表進(jìn)行，業(yè)主將會(huì)遭受重大的損失。TheContractorshallprepare,explain,and,fromtimetotime,updateandreviseaConstructionSchedule,withappropriatesubschedules,inaccordancewiththerequirementsoftheOwner.TheScheduleandsubschedulesshallshowthecompletesequenceoftheWorkbyconstructionandadministrativeactivitywhichshallleadtocompletionoftheWorkwithintheContractTime.TheContractorrecognizesthattheConstructionScheduleisanessentialconditionoftheContractandthattheOwnerwouldsuffersubstantialdamagesiftheWorkisnotprovidedinaccordancewiththeConstructionSchedule.4.3在承包商開始工程后直到最終竣工，業(yè)主將對(duì)照施工進(jìn)度表定期地確定工程的實(shí)際進(jìn)度。若承包商因任何原因（除因通用條件第12.1款項(xiàng)下的允許的遲延外）致使實(shí)際進(jìn)度落后于施工進(jìn)度表，其應(yīng)立刻采取，并促使其分包商采取為補(bǔ)救遲延的進(jìn)度而必須采取的行動(dòng)。該等行動(dòng)可包括同時(shí)操作、額外增添的設(shè)備、額外增添的人力、額外增加的班次、加班及其他措施。承包商為符合或努力符合施工進(jìn)度表的目的而采取的任何加速行動(dòng)不應(yīng)使之得到任何補(bǔ)償或合同價(jià)格的增加，除非是僅由于通用條件第12.1款下描述的允許的遲延，或是由于工程的變更（在工程變更的情況下，合同價(jià)格的任何適當(dāng)?shù)脑黾討?yīng)包含在變更指令中），而必須要采取該等行動(dòng)和增加額外的成本。AftercommencementoftheWorkbytheContractor,anduntilitsFinalCompletion,theOwnerwillperiodicallydeterminetheactualprogressoftheWorkagainsttheConstructionSchedule.IftheContractorshouldfallbehindtheConstructionScheduleforanyreasonexceptexcusabledelayunderParagraph12.1oftheGeneralConditions,heshallimmediatelytake,andcausehisSubcontractorstotake,suchactionsasmaybenecessarytoremedylackofprogress.Theseactionsmayincludeconcurrentoperations,additionalequipment,additionalmanpower,additionalshifts,overtime,andothermeasures.NocompensationorincreaseintheContractPriceshallbeallowedtheContractorforanyexpeditingactionsundertakenbyhiminordertomeet,orinanattempttomeet,theConstructionScheduleunlesssuchactionsandextracostsarenecessaryonlybecauseofanexcusabledelayofthetypedescribedunderParagraph12.1oftheGeneralConditions,orbecauseofachangeintheWork,inwhichcaseanyappropriateincreaseinContractPriceshallbecoveredbyaChangeOrder.4.4業(yè)主有權(quán)要求承包商在施工進(jìn)度表中所示的日期前完成工程或其任何一部分，或即使承包商的延遲請(qǐng)求已根據(jù)通用條件第12條的規(guī)定被批準(zhǔn)，仍然要求承包商按照施工進(jìn)度表完成工程。業(yè)主根據(jù)本第4.4款要求的對(duì)工程進(jìn)度的任何加速應(yīng)限于承包商能合理達(dá)到的限度內(nèi)，并且應(yīng)使承包商有權(quán)獲得一項(xiàng)變更指令，以涵蓋任何其所承擔(dān)的因該等加速工作所引起的額外成本。TheOwnershallhavetherighttorequiretheContractortocompletetheWorkoranypartthereofbeforethedatesetforthintheconstructionSchedule,ortorequiretheContractortocompletetheWorkaccordingtotheConstructionScheduleeventhoughhisclaimforadelayhasbeenapprovedunderArticle12oftheGeneralConditions.AnyaccelerationintheprogressoftheWorkrequiredbytheOwnerunderthisParagraph4.4shallbelimitedtothatreasonablyattainablebytheContractorandshallentitletheContractortoaChangeOrdertocoveranyadditionalcostsincurredbyhimasaresultoftheacceleration. 4.5若在任何時(shí)間，無論基于何種理由（通用條件第12.1款項(xiàng)下允許的遲延除外），承包商未能保持必要的工程進(jìn)度，該等變更應(yīng)如業(yè)主所批準(zhǔn)的指令，以承包商自己的資源、努力和人力做出。業(yè)主的上述行動(dòng)或業(yè)主未采取行動(dòng)不應(yīng)免除承包商在本合同項(xiàng)下的任何責(zé)任。業(yè)主應(yīng)有權(quán)指令承包商在和從業(yè)主認(rèn)為為確保在合同時(shí)間內(nèi)完工而必需的盡可能多的不同點(diǎn)或部分同時(shí)實(shí)施工程。未能遵守任何該等工程指令應(yīng)構(gòu)成對(duì)本合同的違約，并可使承包商支付通用條件第12.4款規(guī)定的違約金。Ifatanytime,thenecessaryprogressoftheWorkisnotbeingmaintainedbytheContractorforreasonsotherthanexcusabledelayunderParagraph12.1oftheGeneralConditions,suchchangesshallbemadeintheContractor'sresources,effort,andforces,astheOwnermayapproveoforder.SuchactionbytheOwnerortheOwner'sfailuretoactshallnotrelievetheContractorofanyresponsibilityundertheContract.TheOwnershallhavetherighttoordertheContractortoprosecutetheWorksimultaneouslyatandfromasmanydifferentpointsorpartsastheOwnermaydeemnecessarytoassurecompletionwithintheContractTime.FailuretocomplywithanysuchWorkOrdershallconstituteabreachofthisContractandmayexposetheContractortoliquidateddamagesasspecifiedinParagraph12.4oftheGeneralConditions.4.6在與業(yè)主間的所有糾紛或異議持續(xù)期間，承包商仍應(yīng)按施工進(jìn)度表繼續(xù)實(shí)施工程。TheContractorshallcarryontheWorkinconformancewiththeConstructionScheduleduringalldisputesordisagreementswiththeOwner.4.7所有保證工程完工的進(jìn)度寬裕時(shí)間應(yīng)歸業(yè)主（支配）。AllschedulefloatshallaccruetotheOwner. 合同和變更指令價(jià)格ARTICLE5.CONTRACTANDCHANGEORDERPRICES.5.1合同價(jià)格CONTRACTPRICE.業(yè)主應(yīng)以人民幣方式為承包商按照合同文件履行工程向承包商支付合同價(jià)格，但受限于經(jīng)批準(zhǔn)的變更指令授權(quán)所作的調(diào)整。合同價(jià)格應(yīng)為：TheOwnershallpaytheContractortheContractPriceinRenminbifortheperformanceoftheWorkinaccordancewiththeContractDocuments,subjecttoadjustmentsauthorizedbyapprovedChangeOrders.TheContractPriceshallbe:5.1.1（本條款不適用于本合同）以下第5.4款定義的工程成本，加上根據(jù)下述第5.3款計(jì)算而得的因利潤、一般的和行政的管理費(fèi)用所致的承包商的利潤費(fèi)用，該等工程成本和利潤費(fèi)用的總和不高于以下保證的最大合同價(jià)格： 人民幣，(RMB );(ThisclausedoesnotapplytotheContract)TheCostoftheWorkasdefinedinParagraph5.4,below,plusaContractor'sProfitFeeforprofitandgeneralandadministrativeoverhead,computedasdescribedinParagraph5.3,below,withthesumoftheCostoftheWorkandtheProfitFeenottoexceedthefollowingGuaranteedMaximumContractPrice: Renminbi,(RMB ); --或or--5.1.2包干價(jià): 人民幣，(RMB )Thelumpsumof: Renminbi,(RMB ). 在包干價(jià)的情況下，合同價(jià)格應(yīng)包括全部的應(yīng)向承包商支付的為執(zhí)行工程和履行本合同項(xiàng)下的所有義務(wù)的報(bào)酬，并且應(yīng)涵蓋所有的勞動(dòng)成本、管理成本、稅收、關(guān)稅、開支和所有其他的承包商在執(zhí)行工程中產(chǎn)生的并經(jīng)過業(yè)主批準(zhǔn)的成本和費(fèi)用。合同價(jià)格應(yīng)是固定的并且不得因?yàn)橥ㄘ浥蛎?、任何成本的變更、任何匯率的波動(dòng)以及其他任何情況而做出調(diào)整。Inthecaseofalump-sumprice,theContractPricecomprisestheentireremunerationpayabletotheContractorfortheexecutionoftheWorkandtheperformanceofallofhisobligationsundertheContractandshallcoveralllaborcosts,managementcost,taxes,duties,expenses,andallothercostsandfeesincurredbyContractorinexecutionoftheWorkasapprovedbytheOwner.TheContractPriceisfixedandshallnotbeadjustedtotakeaccountofinflation,anychangesincosts,anyvariationsintherateofexchangebetweenthecurrenciesorothercircumstanceswhatsoever.5.2對(duì)于變更指令工程的補(bǔ)償COMPENSATIONFORCHANGEORDERWORK.5.2.1在變更工程的變更指令中列入的合同價(jià)格增加或減少的數(shù)額應(yīng)為待協(xié)商的包干價(jià)。在價(jià)格明細(xì)和單價(jià)明細(xì)中列明的相關(guān)的價(jià)格應(yīng)在適用于確定增加和刪減的工程的各種要素的包干價(jià)的范圍內(nèi)使用。TheamountofincreaseordecreaseintheContractPricetobeincludedinaChangeOrderforchangesintheWorkshallbealumpsumtobenegotiated.ThepertinentpricessetforthintheScheduleofValuesandScheduleofUnitproductValuesshallbeusedtotheextentapplicableforestablishingthelumpsumpricesofthevariouselementsoftheaddedanddeletedwork.5.2.2若承包商和業(yè)主不能對(duì)變更指令的包干金額達(dá)成一致，則當(dāng)變更指令僅涉及單價(jià)明細(xì)中所定的單價(jià)項(xiàng)目時(shí)，變更指令的價(jià)格應(yīng)按該明細(xì)上適當(dāng)?shù)膯蝺r(jià)確定。但是，若在該明細(xì)中原定的數(shù)額已經(jīng)發(fā)生實(shí)質(zhì)上的改變以致于采用該明細(xì)中所定的單價(jià)將對(duì)承包商造成困難，則任何單價(jià)可由業(yè)主公平地進(jìn)行調(diào)整。IftheContractorandOwnercannotagreeonalumpsumChangeOrderamounts,then,iftheChangeOrderinvolvesonlyunit-priceditemssetforthintheScheduleofUnitProductValues,theChangeOrderPriceshallbeestablishedastheappropriateunitprice(s)fromtheschedule.However,anyunitpricemaybeequitablyadjustedbytheOwnerifthequantityoriginallycontemplatedintheschedulehaschangedsosubstantiallythattheuseoftheunitpriceintheschedulewouldcreateahardshipontheContractor.5.2.3若業(yè)主和承包商無法對(duì)變更指令的包干金額或單價(jià)金額達(dá)成一致，則若承包商收到業(yè)主簽署的指示其做出行動(dòng)的書面指令，承包商仍應(yīng)做出變更指令所要求的行動(dòng)。此時(shí)，在合同價(jià)格根據(jù)本協(xié)議書第5.1.1條確定的情況下，合同價(jià)格的變更金額應(yīng)為下述金額之和：（1）根據(jù)下述5.4款的規(guī)定，為執(zhí)行變更指令的工程成本，在刪減工程的情況下該等工程成本應(yīng)通過估算而得，加上（2）根據(jù)下述5.3款計(jì)算而得的利潤費(fèi)用，該等計(jì)算應(yīng)采用變更指令所涵蓋的工程成本；在合同價(jià)格根據(jù)本協(xié)議書第5.1.2條確定的情況下，合同價(jià)格的變更遵循以下原則：IftheOwnerandContractorareunabletoagreeonalumpsumorunit-priceChangeOrderamount,theContractorshallneverthelesstaketheactionrequiredbytheChangeOrder,providedhereceivesawrittenordersignedbytheOwnersodirecting.IftheContractPriceisfixedpursuanttoParagraph5.1.1,theamountofthechangeinContractPriceshallthenbethesumof:(1)theCostoftheWorkfortheChangeOrder,asprovidedinParagraph5.4,below,whichshallbeestimatedinthecaseofdeletionsintheWork;plus,(2)aProfitFee,computedasprovidedunderParagraph5.3,below,usingtheCostoftheWorkfortheWorkcoveredbytheChangeOrder;IftheContractPriceisfixedpursuanttoParagraph5.1.2,followingprinciplesshallapplytothechangeoftheContractPrice:.1價(jià)格明細(xì)和單價(jià)明細(xì)內(nèi)有相同項(xiàng)目的，按投標(biāo)文件的綜合單價(jià)結(jié)算，只調(diào)整工程量；IftheitemislistedintheScheduleofValuesandScheduleofUnitProductValues,comprehensiveunitpricesetforthinthebiddingdocumentsshallapplyandonlytheWorkquantityshallbeadjusted;.2價(jià)格明細(xì)和單價(jià)明細(xì)內(nèi)有相同的項(xiàng)目，只是主材變更的，則只調(diào)整主材價(jià)格，其他不變；IftheitemislistedintheScheduleofValuesandScheduleofUnitProductValuesandonlythemainmaterialischanged,thenonlythepriceofthemainmaterialshallbeadjusted;.3價(jià)格明細(xì)和單價(jià)明細(xì)內(nèi)沒有的項(xiàng)目，則作為新增項(xiàng)目（是否為新增項(xiàng)目由業(yè)主確定），采用定額計(jì)價(jià)辦法進(jìn)行計(jì)價(jià)并折算為綜合單價(jià)，其綜合單價(jià)按[**地區(qū)**]相關(guān)規(guī)定計(jì)算，其中的人工、材料、機(jī)械臺(tái)班價(jià)格按投標(biāo)時(shí)清單中的相應(yīng)價(jià)格計(jì)算。若材料為投標(biāo)清單中沒有，則參考施工期間[**指導(dǎo)價(jià)格文件名稱**]中的合理單價(jià)，并按施工中實(shí)際材料的品牌、規(guī)格、質(zhì)量等的相應(yīng)價(jià)格進(jìn)行計(jì)算。然后將該新增項(xiàng)目的綜合單價(jià)乘以下浮率進(jìn)行結(jié)算（下浮率=（投標(biāo)報(bào)價(jià)-最高限價(jià)）/最高限價(jià)×100%）。AnyitemwhichisnotsetforthintheScheduleofValuesandScheduleofUnitProductValuesshallbeconsideredasanewitem（theOwnershallbeentitledtodecideonwhetheranyitemconstitutesanewitems）anditspriceshallbedeterminedinaccordancewithfixedquotapricingandconvertedintocomprehensiveunitprice.Thecomprehensiveunitpriceofanyitemshallbefixedinaccordancewithrelevantregulationsof[**District**],whilethelabourcost,materialscost,machaineryone-shiftcostshallbedeterminedpursuanttothepricelistedinbiddingdocuments..Ifthematerialsarenotlistedinbiddingdocuments,thepriceshallrefertothereasonableunitpriceof[**PriceGuildlanceName**]duringconstructionandfixedbyconsideringthebrands,specification,quality,etc…ofthedetailedmaterialsusedintheConstruction.Thenthecomprehensiveunitpriceofsuchnewitemshallbemultipliedbythefloatingdownwardrate(floatingdownwardrate=(biddingprice-ceilingprice)/ceilingprice×100%).合同價(jià)格的最終變更金額應(yīng)受限于雙方的審閱和確認(rèn)。ThefinalamountofthechangeinContractPriceissubjecttoreviewandconfirmationbybothParties.5.2.4所有該等成本附加以及單價(jià)變更指令應(yīng)包含一個(gè)封頂價(jià)，在任何情況下，該等封頂價(jià)應(yīng)為為變更指令工程而支付的最大價(jià)款。Allsuchcost-plusandunit-priceChangeOrdersshallcontainapriceceilingwhich,inanyevent,shallbethemaximumpricetobepaidfortheChangeOrderWork.5.3利潤費(fèi)用（本條款不適用于本合同）PROFITFEE(THISCLAUSEDOESNOTAPPLYTOTHECONTRACT)為上文第5.2.2款，以及上文第5.1款（若合適）的目的，利潤費(fèi)用應(yīng)以經(jīng)業(yè)主批準(zhǔn)的為工程成本而支付的款項(xiàng)為基礎(chǔ)，并且應(yīng)為以下之和：TheProfitFeeforpurposesofParagraph5.2.2,above,and,ifappropriate,Paragraph5.1,above,shallbebasedonthepaymentsfortheCostoftheWorkapprovedbytheOwnerandshallbethesumofthefollowing:承包商自身進(jìn)行施工而產(chǎn)生的工程成本的 ％，但是就根據(jù)下述第5.4.1.1.2款所描述的承包商的現(xiàn)場(chǎng)辦公室人員的工資，或該等人員的工資管理成本，或根據(jù)下述第5.4.1.4款描述的任何可報(bào)銷的成本，不應(yīng)支付任何利潤費(fèi)用；以及 percentoftheCostoftheWorkforconstructionperformedbytheContractor'sownforces,exceptthatnoProfitFeeshallbepayableonthesalariesoftheContractor'sfieldofficepersonneldescribedinParagraph5.4.1.1.2,below,oronthesalaryoverheadcostsforsuchpersonnel,oronanyoftheReimbursableCostsdescribedinParagraph5.4.1.4,below;plus,由分包商實(shí)施工程而產(chǎn)生的第5.4.1.3款項(xiàng)下的工程成本的
