2Forthefirstlotof50,000MTcoal,theBuyershouldopentheLetterofCredittoSellersnegotiatedbankwithin5bankworkingdaysafterthedateofthiscontracteffective.TheSellershouldprepareloadingtheGoodswith10dayswhenreceivedtheLetterofCreditfromBuyer,theGoodsshouldarrivetotheDischargingPortappointedbytheBuyernolaterthan30days.10.3Fortheeachlotoftherest2,400000MTcoal,theSellershouldprepareloadingtheGoodswithin10dayswhenreceivedtheLetterofCreditfromBuyer,theGoodsshoulddeliverytotheBuyernolaterthan30days.之后240萬噸物資，買方應(yīng)于每批次受載期開始前10天開出信用證給賣方10內(nèi)安排物資裝運并在30天內(nèi)將物資交付給買方。10.4LetterofCreditshouldcoveredmonthlysupplyvalue,shalltakeeffective40daysaftertheGoodsbeenloaded.信用證金額為月度合同物資的全部金額，并在此船物資裝船后的40天內(nèi)有效。10.5Within3workingdaysfromthedaywhenreceivedtheL/CApplicationLetterbyfaxoremailfromtheBuy,thesellershallissue2%performanceguaranteeof100%cargovalueforthefirstshipmentinfavoroftheBuyerviathenegotiatedBankChannelastheGuaranteeofshipment.IfthesellerfailstocarryouttheshipmentasperthecontractorthecoalqualityiswithintherejectionrangestipulatedinthiscontractasperthequalityreportissuedbytheIndependentLaboratoryattheDischargePortappointedbytheBuyer,theperformancebondof2%ofthecontractvaluewillbeforfeitedtothebuyer.在收到買方信用證開證申請的傳真件或電子件之日3個工作天內(nèi),賣方通過議付銀行開出以買方為受益人、金額為信用證金額的履約保函。如賣方無法按合同供貨或買方指定卸貨港檢驗機構(gòu)驗出物資質(zhì)量在本合同拒收范疇,買方將沒收保函。10.6Provisionalpayment&Thedocumentsbasedon暫定支付及付款單據(jù)PaymentofNinetyFivepercent(100%)ofSellersCommercialInvoiceAmountbasedonthecertificateofqualityandweightissuedbyINTERTEKattheloadingportfortheshipmentshallbemadebyuponpresentationofthefollowingdocuments:買方依照以下單據(jù)付100%貨款：10.6.1SignedCommercialInvoice,threeoriginalsandthreecopies.Seller’sinvoicewillbebasedonthequantitymeasuredbytheIndependentLaboratoryattheloadingportpaidandappointedbytheBuyerandafteradjustedunderformulaasmentionedonarticle9.1.機構(gòu)出具的檢驗數(shù)量為基準(zhǔn)，并按照本合同9.1款的公式作價格調(diào)整。10.6.2Thefullsetof“CLEANON”O(jiān)ceanMarineBillsofLading,madeouttoorderandblankendorsed,indicating“FreightispayableasperChart”andalwaysnolientothecargothreeoriginalsandthreecopiesrespectively.全套標(biāo)明“依照租船合同運費已付”清潔海運提單，，各三份正本，三份副本。10.6.3CertificateofQuality(CertificateofAnalysis)andCertificateofQuantity(DraftSurvey)issuedbyIndependentLaboratoryatLoadingPort,threeoriginalsandthreecopiesrespectively.裝運港檢驗機構(gòu)出具的品質(zhì)證和數(shù)量證，各三份正本，三份副本。10.6.4CertificateofOrigin（SERIALEonwhichtheHSnumberofthecoalisindicated）in1originaland2copiesissuedbycompetentIndonesianAuthorities.印度尼西亞官方機構(gòu)出具的原產(chǎn)地證書(SERIALE表，上注明出口煤炭的HS稅號)正本一份、副本兩份。10.6.5ShippingAdvicetotheBuyerwithin3daysafterthedateofB/L在提單日后的3天內(nèi)給買方發(fā)出的裝船通知單。10.6.61originaland2copiesofInsurancePolicynamingtheBuyerasBeneficiary,covering110%oftheshipmentGoodsvalue,includingAllRisks,WarRisksandStrikeRisks.保險單正本一份、副本二份，以買方為受益人，保險金額為發(fā)貨金額110%，投保一切險、戰(zhàn)爭險和罷工險。10.6.7TheCertificateofCoalQuality(1originalCopy)atDischargingPortissuedbyCIQorSGS卸貨港CIQ或SGS出具的質(zhì)量檢驗報告（一份原件）。10.6.8TheCertificateofWeight(1originalcopy)issuedbyCIQatDischargingPort.卸貨港CIQ出具的重量檢驗報告（一份原件）。10.7AllbankchargesfromissuingbankarefortheaccountoftheBuyerandallbankchargesoutsidetheissuingbankarefortheaccountoftheSeller.開證行的費用由買方承擔(dān)，開證行之外的費用由賣方承擔(dān)。11.TermsofDelivery交貨條款11.1TheSellershallloadtheGoodstotheMotherVesselatMuaraTaboneoSafeopensea,Indonesia,anddeliverto,China.賣方在印度尼西亞的MuaraTaboneo港完成交貨。11.2Within7daysbeforetheloadingtime,SellershallinformtheBuyerbywayofemailorfaxindicatingthearrivaldateofthevesselintheanchoragepoint.在物資起運7日期。11.3Within48hoursafterthevesseldeparturefromtheLoadingPort,theSellerorSeller’sshippingagentshalladvisetheBuyerbyfax(Fax:+86)indicatingthevesselsailingdate,thenameofthenominatedvessel,nameofsteamshipcompany,tonnage,theflagsofthevessel,oceanB/Lnumber,Contractnumber,netquantityloaded,nameoftheGoodsandestimatedtimeofarrival(ETA).貨船于離開裝運港后的48小時內(nèi)，賣方或其船代須以傳真形式通知買方貨船啟航日期、指定貨船名稱、船公司、噸位、船旗、海運提單號、合約號、凈裝運數(shù)量、物資名稱及估量到達卸貨港時刻（ETA）。11.4heSellerorSeller’sshippingagentshallsendafax(Fax:+)totheBuyerat3/2/1daysbeforethearrivalofthevesselatportofdestinationtoconfirmthelocationofthevesselandtheestimatedtimeofarrival(ETA).賣方或其船代須于貨船到達目的港前分3天、2天、1天以傳真形式通知買方貨船位置和估量貨船到港日期（）。11.5.TheSellershallwithin4daysafterthedateofB/Ldate,shallsendcopydocumentsbyfaxtotheBuyer.賣方將在裝船提單簽出后4天內(nèi)，用傳真將復(fù)印件發(fā)給買方。12.DischargingTerms卸貨條款12.1CharterPartyshallbefaxedtotheBuyerbytheSellerwithin3daysaftertheissuedateoftheB/L.TermsandconditionsoftheCharterPartyshouldcomplywiththetermsandconditionscontainedherein.ShouldanytermsandconditionsoftheCharterPartyconflictwiththisContract,thetermsandconditionsofthisContractshallbefinal.賣方須于提單發(fā)出日期起3天內(nèi)向買方傳真“租船合同”?！白獯贤?2.2Dischargingtimeshallcommence12hoursafterNoticeofReadinessistenderedorwhendischargingcommences,whicheverisearlier.Ifafterberthingthevesselisfoundnottobeinfreepratiqueandinallrespectsnotreadytodischargeorfreepratiqueisnotgrantedonarrivalattheberth,laytimeshallbedeemednottohavecommenceduntilwhenthevesselisinfactinfreepratiqueandinallrespectsreadytodischarge.卸船時刻應(yīng)在備妥通知書遞交后12船靠泊后，如發(fā)覺船舶沒有通過檢驗檢疫和沒有做好卸船預(yù)備，則不能開始運算卸船時刻。12.3TimelostduetothecausesstipulatedinArticle17herein.由于本合同17條中不可抗力緣故造成的時刻缺失不計為卸船時刻12.4Ifthevesselaskstostopdischarging,includefromanchoragetoberthorthetimewheninspectionprocessing,willnottreatasdischargingtime,evenifdemurrage.檢疫的時刻導(dǎo)致缺失的時刻都不計為卸貨時刻，即使已滯期。12.5Dischargingtimestopscalculationwhenthegoodsstopstowedandtrimmed.卸貨完成并平艙后，卸貨時刻停止運算。12.6Thetimeusedfordraughtsurveyisnotincludedinthedischargingtimeevenifdemurrageoccurs.水尺檢驗的時刻不計為卸貨時刻，即使已滯期。12.7TheerorVesselOwnercouldassignanagentattheDischargingPortandstayinclosecontactwithitsagent.賣方或船東能夠在卸貨港委派船代，并應(yīng)與船代緊密聯(lián)系。12.8Thedischargerateshouldreach10000tons/dayonfinedays.卸率為10000噸/晴天。13.DemurrageandDispatchCost滯期費和速遣費13.1IftheBuyercouldnotaccommodatetherequirementstipulatedinitem12.8,theBuyershouldpaytheSellerthedemurragecostaccordingtotheactualdemurragetime.IftheBuyercompletedthedischargewithintheagreedperiod,theSellershouldpaytheBuyerthedispatchcost.假如買方不能按照條款12.8方支付滯期費。假如買方在約定卸貨時刻內(nèi)完成卸貨，賣方應(yīng)按節(jié)約的時刻向買方支付速遣費用。13.2Ratesofdemurrageperdayorpro-rateforalltimelostanddispatchmoneyperdayorpro-rateforlaytimesavedattheunloadingportshallbeasperCharterParty,whichisUS$12,000perdayorprorate,foralltimelost.DispatchwillbehalfofDemurragerateperdayorprorate,forlaytimesaved.卸貨港滯期費用依據(jù)租船合同為美金12,000元/天。不足一天按比例運算。速遣費用為其一半。13.3Demurrageanddispatchmustbepaidwithin7daysofreceiptofBuyer’sinvoiceoftotaldemurrageorSeller’sinvoicefortotaldispatch.Wherethereisadisputeinvolvingdemurrageordispatch,partiesshallpaytheundisputedportionofthedemurrageordispatchcostwithinthetimespecifiedabove.滯期費和速遣費必須在賣方收到買方速遣費發(fā)票或者買方收到賣方滯期費發(fā)票的7天內(nèi)支付。如雙方滯期費和速遣費有任何爭議，雙方在以上規(guī)定日期內(nèi)支付無爭議部分的滯期費和速遣費。13.4Ifbecausecoalqualitywasnotuptothecontracttermsandincludesnotlimitedto4.2containinggangue,clay,stoneetcdischargedifficultiescausedbystickinghighwater-bearingcausedbycoal,coalspontaneouscombustionetcdischargedifficult,coalqualitycausedischargingratecannotmeetnormaldischargerate,thebuyerdoesnotundertakeanydemurrage.Becauseofpoorqualityandcausedbycoalspontaneouscombustioncoalbargedamagedandunloadingwharfisimpaired,lossesshallbebornebytheseller.假如因為煤炭品質(zhì)達不到合同4.2石頭等造成卸貨困難、含水高、煤粘造成卸貨困難、煤炭自燃等煤炭品質(zhì)緣故造成卸率達不到正常卸率時，買方不承擔(dān)任何滯期費。由于煤炭品質(zhì)低劣及自燃造成煤炭運輸船受損及卸貨碼頭受損，缺失由賣方承擔(dān)。14.PriceAdjustment價格調(diào)整Accordingtointernationalbusinesspractices,BuyerandSelleragreetoadjusttheunitpriceonmutualsagreementeverythreemonth.為了保證煤炭貿(mào)易的順利進行，依照國際商業(yè)慣例，買賣雙方同意每3個月調(diào)整一次價格。15Insurance保險16AssignofProperty物資認(rèn)定TitletoandriskintheGoodsshallpassfromtheSellertotheBuyerinaccordancewiththeCIFprovisionsofINCOTERMS2000(asamendedfromtimetotime).依照INCONTERMS2000時進行轉(zhuǎn)移。17ForceMajeure不可抗力ForceMajeuremeanstheeventthatthepartiescouldnotforeseeatthetimeofconclusionoftheContractanditsoccurrenceandconsequencescannotbeavoidedandcannotbeovercome,ForceMajeureeventsincludingbutnotlimitedtoactsofGod,war,riots,civildisturbance,requisitioning,fire,explosion,sabotage,storm,flood,earthquake,fog,subsidence,adverseclimaticcondition,pestilence,orepidemic,governmentalorparliamentaryrestrictionsorregulations,strikesandallothercontingenciesandcircumstanceswhatsoeverbeyondthereasonablecontrolpreventing.IfeitherofthepartiestotheContractbepreventedfromexecutingtheContractbyForceMajeure,thetimeforexecutionofthecontractshallbeextendedbyaperiodequaltotheeffectofthesecauses.However,thepriceandperformanceindicesshallnotbechangedduetosuchdelaybyForceMajeureevent.Theaffectedpartyshallpromptlyinformtheotherpartybyfaxandacertificateissuedbycompetentauthoritiesconcernedshouldbesubmittedwithin14daysfortheotherpartytoreviewandconfirm.Theaffectedpartyshouldtakeallnecessarymeasurestodecreasetheeffectandtoshortenthedelaythusincurred.OncetheForceMajeureisover,theotherpartyshallbepromptlynotified.不可抗力是指發(fā)生雙方事先無法預(yù)見、無法幸免并無法克服的事件，包括但不限于天災(zāi)、戰(zhàn)爭、暴動、騷亂、征用、火災(zāi)、爆炸、破壞、暴風(fēng)雨、洪水、,政府和議會限制或法規(guī),罷工以及所有其他突發(fā)事件和任何超出了合理操縱的情形。合同雙方中的任何一方，由于不可抗力事件而阻礙合同義務(wù)的執(zhí)行時，則延遲履行合同義務(wù)的期限相當(dāng)于不可抗力事件阻礙的時刻，然而不能因為不可抗力的延遲而調(diào)整合同價格及性能指標(biāo)。受到不可抗力阻礙的一方應(yīng)在不可抗力事故發(fā)生14天內(nèi)將有關(guān)當(dāng)局出具的證明文件提交給另一方批閱確認(rèn)。受阻礙的一方同時應(yīng)盡量設(shè)法縮小這種阻礙和由此而引起的延誤。一旦不可抗力的阻礙排除后，應(yīng)趕忙通知對方。18MutualCollaboration雙方共識SellerandBuyerrecognizethatcircumstancesmayarisewhichcouldnothavebeenforeseenatthetimethisContractwasenteredintoandagreethattheywillusetheirbesteffortssolveanyproblemsduetosuchunforeseeablecircumstancesinaspiritofmutualunderstandingandcollaboration.雙方明白得合同在以后執(zhí)行中可能會遇到不可估量的困難，在相互了解和合作的基礎(chǔ)上將共同盡力解決以后可能會發(fā)生的咨詢題來確保合同的順利執(zhí)行。19DisputeandArbitration爭端的解決和仲裁ThisContractshallbegovernedandconstruedinaccordancewiththelawsofHONGKONG.AnydisputethatmayariseoutoforinrelationtothisContractwhichcannotbesettledbymutualunderstandingbetweentheSellerandtheBuyershallbebroughtforfinalsettlementundertherulesofConciliationandArbitrationoftheHONGKONGCourtArbitrationCommissionbyoneormorearbitratorsappointedinaccordancewiththesaidrules.Thearbitrationshall
