CECORATIONAGREEMENTOFTEACHINGBUILDINGTABLEOFCONTENTS一、甲方義務(wù) PARTYA’SRESPONSIBILITIES二、乙方義務(wù) PARTYB’SRESPONSIBILITIES三、材料供應(yīng) SUPPLYOFMATERIALS四、工程質(zhì)量及驗(yàn)收 QUALITYANDACCEPTANCEOFWORKS五、安全生產(chǎn)和防火 SAFEPRODUCTIONANDFIREREGULATIONS六、違約責(zé)任 LIABILITYFORBREACHOFCONTRACT七、糾紛處理方式 DISPUTES八、合同變更和解除 AMENDMENTANDTERMINATION九、其它約定 FINALCLAUSES甲方：服務(wù)外包有限公司 （以下簡(jiǎn)稱甲方）PartyA:Service(hereinafterreferredtoas “PartyA”)乙方：信息技術(shù)有限公司 （以下簡(jiǎn)稱乙方）PartyB:SYKESCo.,Ltd;(hereinafterreferredtoas “PartyB”)合同各方本著互惠互利的原則，經(jīng)過友好協(xié)商，訂立以下合作協(xié)議條款如下：Basedontheprinciplesofmutualbenefitandthroughfriendlynegotiations,PartyAandPartyBherebyenterintothisCooperativeAgreementonthefollowingtermsandconditions:一、甲方義務(wù) PARTYA’SRESPONSIBILITIES1.1甲方根據(jù)乙方具體需求，甲方承建理工學(xué)院第四樓層裝修工程。甲方承擔(dān)所有成本，包括但不限于材料費(fèi)、人工費(fèi)等。甲方必須確保裝修結(jié)果符合乙方實(shí)際運(yùn)營(yíng)需求及各項(xiàng)法規(guī)要求。裝修內(nèi)容及裝修標(biāo)準(zhǔn)請(qǐng)參見附件一PartyAshall,accordingtoPartyB'sspecificrequirements,beresponsibleforintegratedbasicdecorationsonthefourthfloorofBuildingofInstituteofTechnology.PartyAshallbearallcostsandexpensesarisingtherefrom,includingbutnotlimitedtomaterialspurchaseandlaborcostsetc.PartyAshallensuretheresultofdecorationmeetstherequirementofPartyB'sactualoperationandcomplieswithallrelevantlawsandregulations.PleasecheckAppendix1forDecorationdetailsandrelatedstandard.1.2甲方應(yīng)于 日前提供經(jīng)乙方確認(rèn)的，由專業(yè)設(shè)計(jì)單位制作的整套合格施工圖紙；裝修圖紙請(qǐng)參見附件二PartyAshallprovideacompletesetofconstructiondrawingswhicharedrawnbyaprofessionaldesigncompanyandconfirmedbyPartyBnolaterthan.PleasecheckAppendix2forDecorationDrawings.1.3 甲方將于

日前按要求完成第一期裝修中的

4樓的部分運(yùn)營(yíng)區(qū)域（具體運(yùn)營(yíng)區(qū)域見附件三）并交付乙方驗(yàn)收使用；于

日前按要求完成

4樓剩余全部裝修，經(jīng)乙方評(píng)估后書面確認(rèn)合格后方可視為通過驗(yàn)收。PartyAshall,priorto,completepartofoperationareaof4thFloorintheFirstPhaseDecoration(thespecificoperationareaisdescribedinAppendix3)asrequiredanddelivertoPartyforinspectionanduse;andshallcompletetheremainingdecorationworkonthe4thFloor,whichshallonlybedeemedtohavebeenacceptedafterPartyB’sassessmentandwrittenconfirmationofacceptance.PleasecheckAppendix3forAppointedArea.1.4甲方應(yīng)確保裝修所用材料均符合環(huán)保要求，對(duì)人體健康無害。甲方應(yīng)提供相關(guān)書面證明。PartyAshallensurethatallmaterialsusedindecorationcomplywithenvironmentalprotectionrequirementsanddonoharmtohumanhealth.PartyAshallprovidePartyBwithrelevantwrittencertificates.1.6由于甲方在施工生產(chǎn)過程中違反有關(guān)安全操作規(guī)程和消防條例，導(dǎo)致發(fā)生安全或火災(zāi)事故，甲方應(yīng)承擔(dān)由此引發(fā)的一切經(jīng)濟(jì)損失。如因甲方責(zé)任，不能按期開工或中途無故停工，影響工期，工期不順延。PartyAshallbeliableforalllossesresultingfromsafetyorfireaccidentsduetoPartyA’sviolationofsafeoperationproceduresandfirepreventionrulesduringconstructionandproduction.IncasethecommencementofdecorationisdelayedorsuspendedwithoutcauseandtheprogressoftheprojectisaffectedtherebyduetoPartyA’sfault,thetimeofcompletionofworkshallnotbepostponed.1.7甲方根據(jù)乙方實(shí)際需求及指示開啟并完成裝修工作，但乙方應(yīng)當(dāng)提前 90天通知甲方以保證甲方有足夠合理的時(shí)間完成裝修。PartyAshallcommenceandcompletethedecorationworkasperPartyB ’sactualrequirementsandinstructions,provided,however,PartyBshallgivePartyAa90days’noticetoensurePartyAhasreasonablysufficienttimetocompletethedecorationwork.二、乙方義務(wù) PARTYB’SRESPONSIBILITIES2.1乙方于本協(xié)議簽訂之日起 10日內(nèi)將包含房間隔斷，內(nèi)部裝修要求等的平面圖提供給甲方。PartyBshall,within10daysofexecutionoftheAgreement,providetoPartyAtheplanviewofroompartitioningandinteriordecorationrequirements.2.2乙方每月向甲方分期償付上述場(chǎng)地裝修成本。支付金額與支付期限參照主合同附件裝修費(fèi)用分期支付金額與期限表。PartyBshallindemnifyPartyAfortheabove-mentioneddecorationcostonamonthlybasis.PleaserefertoSumsforInstallmentPaymentofDecorationCostandPaymentPeriodattachedtheretoasAppendix5forsumstobepaidandpaymentperiodthereof.三、材料供應(yīng) SUPPLYOFMATERIALS甲方提供的材料：另擬補(bǔ)充附件 <</span> 甲方提供材料、設(shè)備表 >甲方負(fù)責(zé)采購(gòu)供應(yīng)的材料、設(shè)備，應(yīng)符合設(shè)計(jì)施工要求的合格產(chǎn)品，并應(yīng)按時(shí)供應(yīng)到現(xiàn)場(chǎng)。乙方發(fā)現(xiàn)甲方提供的材料、設(shè)備有質(zhì)量問題或規(guī)格差異，應(yīng)及時(shí)向甲方提出，甲方仍要求使用的，由此造成工程損失，責(zé)任由甲方承擔(dān)。MaterialprovidedbyPartyA:(seetheannex: “TableofMaterialstobeprovidedbytheOwner”).IfPartyAacquiresmaterialsfortheproject,itshouldfirstcheckwithPartyBthatthematerialsmatchtothedesignrequirements,andoncethematerialsareinthecareofPartyB,thenPartyBisresponsibleforthematerials.IfPartyArequiressomematerialswhichdonotfittothedesignthenitshallbetheresponsibilityofPartyAtopayanyadditionalcostsincurredbyPartyB.四、工程質(zhì)量及驗(yàn)收 QUALITYANDACCEPTANCEOFWORKS4.1本工程應(yīng)符合<</span> 建筑裝飾工程技術(shù)規(guī)程 >和市建設(shè)行政主管部門制定的其它地方標(biāo)準(zhǔn) 質(zhì)量評(píng)定驗(yàn)收標(biāo)準(zhǔn)。Theexecutionofthisprojectmustbeconsistentwiththe “ArchitecturalandEngineeringRules”ofthecityadministrativedepartmentsresponsibleforthedevelopmentofbuildingsandlocalstandardsandqualityevaluationacceptancecriteria.4.2 甲方提供的材料、設(shè)備質(zhì)量不合格而影響工程質(zhì)量，其返工費(fèi)用由甲方承擔(dān)，工期相應(yīng)順延。IfmaterialsprovidedbyPartyAfortheconstructiondonotmeetthenecessaryrequirements,PartyAshallbearresponsibilityforanyresultingdelaysinthecompletionintheproject.4.3 在施工過程中，甲方提出設(shè)計(jì)修改意見及增減工程項(xiàng)目，須提前與乙方聯(lián)系，在雙方簽訂<</span>工程項(xiàng)目變更單>后，方能進(jìn)行該項(xiàng)目的施工、因此影響工程竣工日期的，責(zé)任由甲方承擔(dān)。凡甲方私自與施工人員商定更改施工內(nèi)容、增加施工項(xiàng)目所引起的一切后果，甲方自負(fù)，給乙方造成損失的，甲方應(yīng)予賠償。If,duringtheconstruction,PartyAwishestoproposeachangetothedesign,heshouldsigna “ChangeofProject”withPartyBandmustassumeresponsibilityforresultingdelaysorincreaseincosts.IfPartyAsecretlyattemptstochangetodesigndirectlywiththeconstructionpersonnelandthisactioncauseslosstoPartyB,thenPartyAmustcompensatePartyBforthisloss.4.4工程驗(yàn)收：乙方負(fù)責(zé)理隱蔽工程和中間工程的檢查與驗(yàn)收手續(xù)。由乙方組織專門人員進(jìn)行驗(yàn)收。一切理隱蔽工程和中間工程的質(zhì)量由乙方負(fù)責(zé)。Thestandardofwork.ItistheresponsibilityofPartyBtomakesurethatallconstructionworksarecarriedouttotherequirementsofthedesignandtomakesurethatallinternalwallsandhiddenconstructionpartsaretotherequiredstandard.4.5 工程竣工：乙方完工后即應(yīng)通知甲方驗(yàn)收，甲方應(yīng)在竣工當(dāng)日組織驗(yàn)收，并辦理驗(yàn)收移交手續(xù)，雙方簽 <工程質(zhì)量驗(yàn)收單>。如果甲方在規(guī)定時(shí)間內(nèi)不能組織驗(yàn)收，須及時(shí)通知乙方，另定驗(yàn)收日期。如通過竣工驗(yàn)收，甲方應(yīng)承認(rèn)原竣工日期，并承擔(dān)因此造成的乙方的看管費(fèi)用和其他相關(guān)費(fèi)用。Projectcompletion.PartyBmustnotifyPartyAwhentheprojectiscompleteandreadyforinspectionbyPartyA.Afterinspectionbothpartiesmustsignan“EngineeringQualityAcceptance”document.IfPartyAisnotavailabletoinspecttheconstructionsiteonthecompletiondate,hemustnotifyPartyBofthesoonestavailabledate.WherePartyAisnotavailableonthecompletiondatetoretakecustodyofthelocation,hemustpayanyextracostsincurredbyPartyB.4.6 工程保修期一年。工程竣工驗(yàn)收后甲、乙雙方簽署 <工程保修單>，憑保修單實(shí)行保修，保修期一年，從竣工驗(yàn)收簽章之日起算。Oneyearwarranty.Aftercompletionoftheworkandsigningofthe “SingleWarranty”,thereshallbeaoneyearwarrantyontheconstruction.五、安全生產(chǎn)和防火 SAFEPRODUCTIONANDFIREREGULATIONS施工圖紙和施工說明應(yīng)符合防火防事故的要求，主要包括電氣線路等管道暢通、合格。乙方在施工中應(yīng)采取必要的安全防護(hù)和消防措施，保障作業(yè)人員及相鄰關(guān)系的安全,防止相鄰單位的管道堵塞、滲漏水、停電、物品毀壞等事故發(fā)生。Constructiondrawingsandconstructionmustbeinlinewithfirepreventionregulations,andaccidentpreventionrequirements.Thisincludeselectricalcircuitsandpipelines.PartyBshalltakemeasurestoensurethesafetyofworkersandneighborsattheconstructionssiteandmustpreventleakageofwater,interruptionsofpoweranddamagetoproperty.六、違約責(zé)任 LIABILITYFORBREACHOFCONTRACT6.1由于甲方原因?qū)е卵悠陂_工或中途停工，工期順延。IfPartyAcausesanydelaystothecompletionofthisproject,thenthescheduledcompletiondateshouldbeadjustedaccordingly.6.2由于乙方原因逾期竣工的，每逾期一天，乙方向甲方支付工程造價(jià) 0.1‰(大寫:千分之一)的違約金。IfPartyBcausesanydelaytothecompletionofthisproject,thenPartyBmustpaytoPartyAafeeof0.1‰(inwords:1/1000)ofthetotaloverallprojectfeeforeachdaybeyondthescheduledcompletiondate.七、糾紛處理方式 DISPUTES因工程質(zhì)量雙方發(fā)生爭(zhēng)議時(shí)，憑本合同文本向有關(guān)行業(yè)協(xié)會(huì)申請(qǐng)調(diào)解，也可向所在區(qū)、縣建設(shè)行政主管部門或消費(fèi)者協(xié)會(huì)投訴。當(dāng)事人不愿通過協(xié)商、調(diào)解解決、或協(xié)商、調(diào)解不成時(shí)，可以按照本合同約定向 --上海仲裁委員會(huì)申請(qǐng)仲裁
