煤炭貿(mào)易邊境交貨合同(中英文)

CONTRACTOFCOALTRADEFRONTIERDELIVERY.附錄主題SubjectoftheAppendix.賣方承諾交付給買方俄羅斯動力煤以下簡稱“貨物”，且買方承諾接受并支付該貨物。TheSellerundertakestodelivertotheBuyerRussianSteamCoalhereinafterreferredtoasthe“Goods”,andtheBuyerundertakestoacceptandpayforsuchGoods..貨物質(zhì)量TheQualityofGoods合同附錄N&30下可交付貨物的質(zhì)量須符合以下品質(zhì)特征ThequalityoftheGoodstobedeliveredundertheAppendixN30beingthepartoftheGoodsdeliverableunderthecontractshallcorrespondtothefollowingqualitycharacteristics:.發(fā)貨量及時間，交付條件VolumeandperiodofdispatchoftheGoods.Termsofdelivery.根據(jù)附錄Nxx賣家承諾將貨物從始發(fā)站按以下的量和時間進行發(fā)貨。_年一月噸數(shù)：一噸(賣家可以選擇有_%的上下浮動)準確的鐵路計劃，確切的派遣月份將由_公司不遲于派遣日的5天前宣布。UndertheAppendixN30theSellerundertakestodispatchtheGoodsfromtheDeparturestationsduringthefollowingperiodandinthefollowingquantity:December2014Tonnage:10x0000MTS+/-5PCTxPCTinSeller’sOption.TheexactrailwayplanfortherelevantMonthofdispatchshallbedeclaredbySUEKAGnolaterthan5(Five)calendardayspriortothefirstdayofdispatch貨物派遣日期以及貨物量將以始發(fā)站托運收據(jù)的每個印章日期為準。ThedateofdispatchandquantityoftheGoodsshallbedeterminedasperthedateofthestampoftheDeparturestationonConsignmentNotes._年_月噸數(shù)表明在條款1中的貨物將在中國琿春跨境站一位置在卡梅紹娃婭/琿春俄羅斯-中國邊境（發(fā)貨點或貨物損失或損壞風(fēng)險轉(zhuǎn)移點）TheGoodsoftheDecember2014TonnageindicatedinClause1hereinshallbedeliveredontermsofDAPcross-borderstationHunchun(China)attheKamishovaya/HunchunRussian-Chineseborder(hereinafterreferredtoasthe“deliverypoint”or“PointoftheriskoftheGoods’lossordamagetransfer”).貨物的重量以合同條款2.2為準WeightofGoodsdeterminedasperclause#2.2oftheContract.貨物的價格和費用ThePriceandCostoftheGoods.在目的地交貨條款中(跨境站在—邊境)，適用于—年貨物噸數(shù)的價格將定為USD_每公噸，基于低熱值為_Kcal/Kg接收時加權(quán)平均質(zhì)量且每月基本規(guī)模按比例分配。ThepriceasapplicabletotheGoodsofDecember2014TonnageshallbeUSD55.00(FiftyFiveand00/100Cents)permetrictononthetermsofDAPcross-borderstationHunchun(China)attheRussian-ChineseborderonthebasisofNetCalorificValue5400-5700kcal/kgasreceivedonweightedaveragequalityandmonthlybasisscaleprorate.買家將確保軌道車從中國回歸俄羅斯境內(nèi)(在軌道車到達—后一天內(nèi))，如果不這么做，買家原則上同意向賣家支付每天USD_/公噸的罰金。這種處罰不是在按照比例分配的基礎(chǔ)上，而是僅以一天為基礎(chǔ)。ThebuyershallensurethereturnofRussian_railcarsfromtheterritoryofRepublicofChinatotheterritoryofRussianFederation_within1(one)calendardayfromthedayoftransferoftherailcarstoChina’sterritory,iffailtodoso,BuyeragreesinprincipletopaytotheSellerapenaltyattherateofUSD0.75/metricton/perday.Thispenaltyshallbenotbebaredonaproratabasis,butinsteadonafulldaybasisonly..支付條款Termsofpayment.交付在附錄NJ貨物支付如下所示ThepaymentfortheGoods,deliverableundertheAppendixN30,tobeeffectedasfollows:買家將預(yù)付一年—月貨物100%的貨款，通過電匯匯款給賣家指定的賬戶：TheBuyershallprepay100%ofvalueofGoodsoftheDecember2014TonnagebymeansTelegraphicTransferremittancetoaccountnominatedbySellerasperthefollowingorder:派遣日第一天算起提前5天，賣家將為買家提供一張一年—月貨物100%預(yù)付貨款的發(fā)票。calendardaysbefore1stdayofdispatchSellershallissueaprepaymentinvoicetoBuyerfor100%ofvalueofGoodsofNovember2014Tonnage.買家將憑發(fā)票于派遣日第一天算起提前3天支付。Buyershallpayagainstinvoicelatestby3calendardaysbefore1stdayofdispatch.在賣家沒有完成部分或全部發(fā)放煤炭的義務(wù)的情況下，是由于俄羅斯出口鐵路運輸計劃未確認，那么賣家有責(zé)任在收到買家要求的五個工作日后，將沒有運輸?shù)呢浳锏念A(yù)付金還給賣家。IncasetheSellerdidnotfulfillpartlyorfullyitsobligationstodelivercoal,duetonon-confirmationoftheexportcarriageplanofrailwaytransportationbyRussian,thentheSellerisobligedtoreturntoBuyerprepaymentamountfornon-deliveredGoodswithin5workingdaysafterreceiptofrelevantBuyersrequest.在運輸月末賣家將提供以下文檔給買家質(zhì)量證書，由SGS依據(jù)始發(fā)站的抽樣出具重量證書，由SGS依據(jù)托運說明中的數(shù)據(jù)出具結(jié)算發(fā)票或欠款單據(jù)發(fā)貨車廂明細（excel表格）原產(chǎn)地證書SellershallprovidefollowingDocumentstoBuyeraftertheendofthemonthofdelivery:Certificateofquality,issuedbySGSbasisonsamplingperformedatdeparturestationCertificateofweight,issuedbySGSbasisondatafromconsignmentnotesBalanceInvoicesorcreditnotesListofdeliveredrailcars(inexcelform)Certificateoforigin.價格調(diào)整Priceadjustment商品最終價格應(yīng)按照如下方式確定：FinalpriceoftheGoodsshallbedeterminedsubjecttothefollowing:如果以低熱值作為收到每列已派遣火車裝載貨物的依據(jù)，在目前的附件中是高于或低于5400千卡/千克.那么沒有質(zhì)量調(diào)整IncaseweightedaveragecalorificvalueonasreceivedbasisofeachbatchofthegoodstheGoodsdispatchedunderthepresentAppendixisaboveorequalto5400kcal/kg,thenthereshallbenoqualityadjustment.如果，然而收到每列火車裝載貨物的低熱值將依據(jù)附件N&xx低于6000kcal/kg,那么將按照以下公式進行雙倍懲罰If,however,theweightedaverageNetCalorificValueonAsReceivedBasisofeachbatchofthegoodstheGoodsdispatchedunderthepresentAppendixN30shallbebelow5400kcal/kgthenadoublepenaltyshallapplyasperthefollowingformulaandthepriceshallbeadjustedasfollows:Padj=P((6000一(6000一fact)x2)/6000kcal/kg).其他Miscellaneous.附件Nxx是合同中的一個組成部分，一年一月—日生效，雙方簽署日期即生效，直到當事人履行合同及附件沖_的義務(wù)。TheAppendixN30isanintegralpartoftheContractandcomesintoforcefrom21November2014,regardlessthemomentofitssigningbybothPartieswillbevalidtillthefulfillmentbythePartiesoftheobligationsundertheContractandAppendixN30.所有其他條款，在附件Nxx中未規(guī)定，應(yīng)按合同中規(guī)定的內(nèi)容。在和合同與附件Nxx中規(guī)定有任何不一致的情況下，以附件N_為準。Allotherterms,notstipulatedbytheAppendixN&30shallcorrespondtotheprovisionsoftheContract
