CONSULTINGAGREEMENT

THISCONSULTINGAGREEMENT(the"Agreement")ismadeandenteredinto.tdOyof ,200_(the"EffectiveDate")byandbetweenXYZCorporation,a corporationdulyorganizedunderlawandhavinganusualplaceofbusinessat (hereinafterreferredtoasthe“Company")and

of (hereinafterreferredtoasthe"Consultant").

WHEREAStheCompanywishestoengagetheConsultanttoprovidetheservicesdescribedhereinandConsultantagreestoprovidetheservicesforthecompensationandotherwiseinaccordaneewiththetermsandconditionscontainedinthisAgreement,

NOWTHEREFORE,inconsiderationoftheforegoing,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,acceptedandagreedto,theCompanyandtheConsultant,intendingtobelegallybound,agreetothetermssetforthbelow.

TERM.CommencingasoftheEffectiveDate,andcontinuingforaperiodof ()

years(the“Term”unlessearlierterminatedpursuanttoArticle4hereof,theConsultantagreesthathe/shewillserveasaconsultanttotheCompany.ThisAgreementmayberenewedorextendedforanyperiodasmaybeagreedbytheparties.

DUTIESANDSERVICES.

Consultant'sdutiesandresponsibilitiesshallbe

(collectively,the“Duties”or“Services”).

ConsultantagreesthatduringtheTermhe/shewilldevoteupto ()days

permonthtohis/herDuties.TheCompanywillperiodicallyprovidetheConsultantwithascheduleoftherequestedhours,responsibilitiesanddeliverablesfortheapplicableperiodoftime.TheDutieswillbescheduledonanas-neededbasis.

TheConsultantrepresentsandwarrantstotheCompanythathe/sheisunderno

contractualorotherrestrictionsorobligationswhichareinconsistentwiththeexecutionofthisAgreement,orwhichwillinterferewiththeperformaneeofhis/herDuties.ConsultantrepresentsandwarrantsthattheexecutionandperformaneeofthisAgreementwillnotviolateanypoliciesorproceduresofanyotherpersonorentityfor whichhe/sheperformsServices

concurrentlywiththoseperformedherein.

CONSULTINGFEE.

Subjecttotheprovisionshereof,theCompanyshallpayConsultantaconsulting

feeof ($ )DollarsforeachhourofServicesprovidedtotheCompany

(the"ConsuitingFee’).TheConsultantshallsubmitmonthly,ontheCompanysstandardreportingform,alistingofhis/herhours,theDutiesperformedandasummaryofhis/heractivities.TheConsultingFeeshallbepaidwithinfifteen(15)daysoftheCompany

thereportandinvoice.

Consultantshallbeentitledtopromptreimbursementforallpre-approvedexpensesincurredintheperformaneeofhis/herDuties,uponsubmissionandapprovalofwrittenstatementsandreceiptsinaccordancewiththethenregularproceduresoftheCompany.

TheConsultantagreesthatallServiceswillberenderedbyhim/herasanindependentcontractorandthatthisAgreementdoesnotcreateanemployer-employeerelationshipbetweentheConsultantandtheCompany.TheConsultantshallhavenorighttoreceiveanyemployeebenefitsincluding,butnotlimitedto,healthandaccidentinsurance,lifeinsurance,sickleaveand/orvacation.Consultantagreestopayalltaxesincluding,self-employmenttaxesdueinrespectoftheConsultingFeeandtoindemnifytheCompanyintheeventtheCompanyisrequiredtopayanysuchtaxesonbehalfoftheConsultant.

EARLYTERMINATIONOFTHETERM.

IftheConsultantvoluntarilyceasesperforminghis/herDuties,becomesphysicallyormentallyunabletoperformhis/herDuties,oristerminatedforcause,then,ineachinstance,theConsultingFeeshallceaseandterminateasofsuchdate.Anytermination

“ForCause”shallbemadeingoodfaithbytheCompany 'sBoardofDirectors.

ThisAgreementmaybeterminatedwithoutcausebyeitherpartyuponnotlessthanthirty(30)dayspriorwrittennoticebyeitherpartytotheother.

UponterminationunderSections4(a)or4(b),neitherpartyshallhaveanyfurtherobligationsunderthisAgreement,exceptfortheobligationswhichbytheirtermssurvivethisterminationasnotedinSection16hereof.Uponterminationand,inanycase,upontheCompanysequest,theConsultantshallreturnimmediatelytotheCompanyallConfidentialInformation,ashereinafterdefined,andcopiesthereof.

RESTRICTEACTIVITIESDuringtheTermandforaperiodofone(1)yearthereafter,Consultantwillnot,directlyorindirectly:

solicitorrequestanyemployeeoforconsultanttotheCompanytoleavetheemployoforceaseconsuitingfortheCompany;

solicitorrequestanyemployeeoforconsultanttotheCompanytojointheemployof,orbeginconsultingfor,anyindividualorentitythatresearches,develops,marketsorsellsproductsthatcompetewiththoseoftheCompany;

solicitorrequestanyindividualorentitythatresearches,develops,marketsorsellsproductsthatcompetewiththoseoftheCompany,toemployorretainasaconsultantanyemployeeorconsultantoftheCompany;or

induceorattempttoinduceanysupplierorvendoroftheCompanytoterminateorbreachanywrittenororalagreementorunderstandingwiththeCompany.

PROPRIETARYRIGHTS.

Definitions.ForthepurposesofthisArticle6,thetermssetforthbelowshallhavethefollowingmeanings:

ConceptandIdeas.ThoseconceptsandideasdisclosedbytheCompanytoConsultantorwhicharefirstdevelopedbyConsultantduringthecourseoftheperformaneeofServiceshereunderandwhichrelatetotheCompany'present,pastorprospectivebusinessactivities,services,andproducts,allofwhichshallremainthesoleandexclusivepropertyoftheCompany.TheConsultantshallhavenopublicationrightsandallofthesameshallbelongexclusivelytotheCompany.

ConfidentialInformation.ForthepurposesofthisAgreement,ConfidentialInformationshallmeanandcollectivelyinclude:allinformationrelatingtothebusiness,plansand/ortechnologyoftheCompanyincluding,butnotlimitedtotechnicalinformationincludinginventions,methods,plans,processes,specifications,characteristics,assays,rawdata,scientificpreclinicalorclinicaldata,records,databases,formulations,clinicalprotocols,equipmentdesign,know-how,experienee,andtradesecrets;developmental,marketing,sales,customer,supplier,consultingrelationship

information,operating,performanee,andcostinformation;computerprogrammingtechniqueswhetherintangibleorintangibleform,andallrecordbearingmediacontainingordisclosingtheforegoinginformationandtechniquesincluding,writtenbusinessplans,patentsandpatentapplications,grantapplications,notes,andmemoranda,whetherinwritingorpresented,storedormaintainedinorbyelectronic,magnetic,orothermeans.

Notwithstandingtheforegoing,theterm“Confidentialnformationshallnotincludeanyinformationwhich:(a)canbedemonstratedtohavebeeninthepublicdomainorwaspubliclyknownoravailablepriortothedateofthedisclosuretoConsultant;(b)canbedemonstratedinwritingtohavebeenrightfullyinthepossessionofConsultantpriortothedisclosureofsuchinformationtoConsultantbytheCompany;

(c)becomespartofthepublicdomainorpubliclyknownoravailablebypublicationorotherwise,notduetoanyunauthorizedactoromissiononthepartofConsultant;or(d)issuppliedtoConsultantbyathirdpartywithoutbinderofsecrecy,solongasthatsuchthirdpartyhasnoobligationtotheCompanyoranyofitsaffiliatedcompaniestomaintainsuchinformationinconfidenee.

Non-DisclosuretoThirdParties.ExceptasrequiredbyConsultant'sDuties,Consultantshallnot,atanytimenoworinthefuture,directlyorindirectly,use,publish,disseminateorotherwisediscloseanyConfidentialInformation,Concepts,orIdeastoanythirdpartywithoutthepriorwrittenconsentoftheCompanywhichconsentmaybedeniedineachinstanceandallofthesame,togetherwithpublicationrights,shallbelongexclusivelytotheCompany.

Documents,etc.Alldocuments,diskettes,tapes,proceduralmanuals,guides,specifications,plans,drawings,designsandsimilarmaterials,listsofpresent,pastorprospectivecustomers,customerproposals,invitationstosubmitproposals,pricelistsanddatarelatingtothepricingoftheCompany'productsandservices,records,notebooksandallothermaterialscontainingConfidentialInformationorinformationaboutConceptsorIdeas(includingallcopiesandreproductionsthereof),thatcomeintoConsultant'spossessionorcontrolbyreasonofConsultant'sperformanceoftherelationship,whetherpreparedbyConsultantorothers:(a)arethepropertyoftheCompany,(b)willnotbeusedbyConsultantinanywayotherthaninconnectionwiththeperformanceofhis/herDuties,(c)willnotbeprovidedorshowntoanythirdpartybyConsultant,(d)willnotberemovedfromtheCompany'sorConsultant'remises(exceptasConsultant'sDutiesrequire),and(e)atthetermination(forwhateverreason),ofConsultant'srelationshipwiththeCompany,willbeleftwith,orforthwithreturnedbyConsultanttotheCompany.

Patents,etc.TheConsultantagreesthattheCompanyisandshallremaintheexclusiveowneroftheConfidentialInformationandConceptsandIdeas.Anyinterestinpatents,patentapplications,inventions,technologicalinnovations,tradenames,trademarks,servicemarks,copyrights,copyrightableworks,developments,discoveries,designs,processes,formulas,know-how,dataandanalysis,whetherregistrableornot("Developments"),whichConsultant,asaresultofrenderingServicestotheCompanyunderthisAgreement,mayconceiveordevelop,shall:(i)forthwithbebroughttotheattentionoftheCompanybyConsultantand(ii)belongexclusivelytotheCompany.NolicenseorconveyanceofanysuchrightstotheConsultantisgrantedorimpliedunderthisAgreement.

Assignment.TheConsultantherebyassignsand,totheextentanysuchassignmentcannotbemadeatpresent,herebyagreestoassigntotheCompany,withoutfurthercompensation,allofhis/herright,titleandinterestinandtoallConcepts,Ideas,andDevelopments.TheConsultantwillexecutealldocumentsandperformalllawfulactswhichtheCompanyconsidersnecessaryoradvisabletosecureitsrightshereunderandtocarryouttheintentofthisAgreement.

EQUITABLERELIEF.ConsultantagreesthatanybreachofArticles5and6abovebyhim/herwouldcauseirreparabledamagetotheCompanyandthat,intheeventofsuchbreach,theCompanyshallhave,inadditiontoanyandallremediesoflaw,therighttoaninjunction,specificperformanceorotherequitablerelieftopreventtheviolationorthreatenedviolationofConsultant'sobligationshereunder.

WAIVER.AnywaiverbytheCompanyofabreachofanyprovisionofthisAgreement

shallnotoperateorbeconstruedasawaiverofanysubsequentbreachofthesameoranyotherprovisionhereof.AllwaiversbytheCompanyshallbeinwriting.

SEVERABILITY;REFORMATIONIn.caseanyoneormoreoftheprovisionsorpartsofa

provisioncontainedinthisAgreementshall,foranyreason,beheldtobeinvalid,illegalorunenforceableinanyrespect,suchinvalidity,illegalityorunenforceabilityshallnotaffectanyotherprovisionorpartofaprovisionofthisAgreement;andthisAgreementshall,tothefullestextentlawful,bereformedandconstruedasifsuchinvalidorillegalorunenforceableprovision,orpartofaprovision,hadneverbeencontainedherein,andsuchprovisionorpartreformedsothatitwouldbevalid,legalandenforceabletothemaximumextentpossible.Withoutlimitingtheforegoing,ifanyprovision(orpartofprovision)containedinthisAgreementshallforanyreasonbeheldtobeexcessivelybroadastoduration,activityorsubject,itshallbeconstruedbylimitingandreducingit,soastobeenforceabletothefullestextentcompatiblewiththenexistingapplicablelaw.

ASSIGNMENT.TheCompanyshallhavetherighttoassignitsrightsandobligationsunderthisAgreementtoapartywhichassumestheCompany'obligationshereunder.Consultantshallnothavetherighttoassignhis/herrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheCompany.ThisAgreementshallbebindinguponandinuretothebenefitoftheConsultant'sheirsandlegalrepresentativesintheeventofhis/herdeathordisability.

HEADINGS.HeadingsandsubheadingsareforconvenienceonlyandshallnotbedeemedtobeapartofthisAgreement.

AMENDMENTS.ThisAgreementmaybeamendedormodified,inwholeorinpart,onlybyaninstrumentinwritingsignedbyallpartieshereto.Anyamendment,consent,decision,waiverorotheractiontobemade,takenorgivenbytheCom
