保密協(xié)議中英文版樣本

保密合同ConfidentialityAgreement鑒【】有限公司（下稱“甲方”）與【】（下稱“乙方”）擬就【】（下稱“項(xiàng)目”）業(yè)務(wù)開展合作為保障甲乙雙方商業(yè)秘密不受侵害，雙方達(dá)成以下保密合同，以資共同恪守：Whereas【】Co.,Ltd(hereinafterreferredtoas“PartyA”)isconsideringcooperatingwith【】(hereinafterreferredtoas“PartyB”)for【】(hereinafterreferredtoas“theProject”).Therefore,thePartiesherebyenterintothisConfidentialAgreementasfollowsforthepurposeofsafeguardingthebusinesssecretoftheParties:一、定義Article1:Definition1、信息披露方：在本合同中是指保密信息的提供方；InformationDiscloser:Inthisagreement,itmeansthePartywhoprovideconfidentialinformationtotheotherParty.2、信息接受方：在本合同中是指保密信息的接受方。InformationReceiver:Inthisagreement,itmeansthePartywhoreceiveconfidentialinformationfromtheotherParty.二、保密信息的構(gòu)成Article2:CompositionofConfidentialInformation本合同所稱保密信息是指由信息披露方提供應(yīng)信息接受方的任何與信息披露方經(jīng)營業(yè)務(wù)或行為有關(guān)的、信息披露方尚未公開的信息，無論該信息采用何種形式提供應(yīng)信息接受方，保密信息接受方或其工作人員均應(yīng)合理認(rèn)為其為保密信息。ConfidentialInformationreferredinthisAgreementmeansanyinformationprovidedbyinformationdisclosertotheinformationreceiverwhichisrelatedtothebusinessoractivityoftheinformationdiscloseroranyinformationthathasnotbeenpublicizedbytheinformationdiscloser.Theinformationreceiverorthepersonneloftheinformationreceivershallreasonablydeemsuchinformationasconfidentialinformationdisregardingtheforminwhichsuchinformationisprovidedtotheinformationreceiver.三、例外Article3Exception保密信息不涉及下列內(nèi)容：ConfidentialInformationshallexcludethefollowinginformation:1、在信息披露方將信息提供應(yīng)信息接受方之前，信息接受方已懂得的信息；Anyinformationwhichhasbeenknownbytheinformationreceiverpriortotheprovisionofsaidinformationbytheinformationdisclosertotheinformationreceiver;2、信息接受方?jīng)]有違反本合同的狀況下，已被公眾知曉或廣泛使用的信息；theinformationalreadyknownorusedbythepublicwithoutthereceiverbreachingthisAgreement;3、信息接受方從第三方處正當(dāng)獲得或接受到的不受保密限制的信息；theinformationnotlimitedbytheconfidentialityrequirementwhichthereceiverobtainsorreceiveslegallyfromthethirdparty4、沒有違反合同的狀況下信息接受方獨(dú)立研發(fā)獲得的信息；theinformationthatthereceiverindependentlydevelopswithoutviolatingtheAgreement;四、保密義務(wù)Article4ConfidentialObligation:雙方及其工作人員應(yīng)對上述全部保密信息進(jìn)行嚴(yán)格保密；ThePartiesandthepersonnelofthePartiesshallkeeptheabove-mentionedinformationstrictlyconfidential;信息接受方應(yīng)只允許那些有必要理解保密信息并且被告知且同意恪守保密義務(wù)的職工和專業(yè)顧問獲得保密信息；TheinformationreceivershallonlyallowtheobtainingoftheConfidentialInformationbytheemployerandprofessionaladviserwhohasthenecessitytoknowtheConfidentialInformationandhasbeennotifiedandagreedtoabidebytheconfidentialobligation;非經(jīng)披露方書面同意，信息接受方不能向任何第三方公開、復(fù)制、銷售、出租、出借、轉(zhuǎn)讓、傳輸、泄露或透露保密信息。信息接受方一旦發(fā)生丟失、被盜、燒毀等會(huì)引發(fā)保密信息泄露或銷毀的行為和事故，應(yīng)承當(dāng)全部責(zé)任；Unlesswiththewrittenconsentoftheinformationdiscloser,theinformationreceivercannotpublish,copy,sell,rent,transfer,promulgate,letout,discloseorrevealtheconfidentialinformation.Ifinformationreceiverencountersloss,theft,damageoranyactionoraccidentthatmaycausetheconfidentialinformationrevealedordamaged,theinformationreceivershalltakeallresponsibilities;在本合同終止后，雙方仍需恪守本合同之保密條款，推行其所承諾的保密義務(wù)，直到信息披露方同意其解除此項(xiàng)義務(wù)，或事實(shí)上不會(huì)因信息接受方違反本合同的保密條款而給信息披露方造成任何形式的損害時(shí)為止。AfterthisAgreementterminates,thePartiesshallcontinuetoabidebytheconfidentialityarticlesofthisAgreementandshallperformtheconfidentialityobligationwhichthePartieshavepromised,untiltheinformationdiscloseragreestoreleasetheinformationreceiverfromsuchobligation,orinfactthedefaultoftheinformationreceiverwillnotbringanydamageinanyformtotheinformationdiscloser.五、公開規(guī)定Article5Requirementofpublication在司法或政府部門指令、規(guī)定或命令信息接受方公開保密信息的狀況下，信息接受方能夠向上述部門披露保密信息。但是，在法律允許的狀況下，信息接受方在披露保密信息前必須采用合理的方法告知信息披露方方便對該指令、規(guī)定或命令進(jìn)行抗辯。Underthecircumstancesofjudicialorgovernmentalorgans’instruction,requirementororderwhichrequiresinformationreceivertorevealtheconfidentialinformation,informationreceivercandiscloseconfidentialinformationtotheabovementionedorgans,however,informationreceivershalladoptreasonablemeasurestonotifytheinformationdisclosertotheextentasallowedbylawpriortothedisclosureoftheConfidentialInformationsothattheinformationdisclosercandefendsuchinstructions,requirementsororders.六、信息償還與銷毀Article6ReturnandDestroyoftheInformation雙方同意，發(fā)生下列情形之一：當(dāng)信息接受方不再需要保密信息用于該工作目的時(shí)；雙方未能就本項(xiàng)目達(dá)成正式的合作合同時(shí)；雙方就本項(xiàng)目訂立的正式合作合同推行完畢；任何時(shí)候收到信息披露方書面形式做出規(guī)定時(shí)；信息披露方原有保密信息發(fā)生變更時(shí)；信息接受方應(yīng)立刻將全部保密信息按信息披露方規(guī)定償還給信息披露方，或予以銷毀全部信息。ThePartiesagree,underanyofthefollowingsituation,informationreceivershallimmediatelyreturnallconfidentialinformationtotheinformationdiscloserinaccordancewiththerequirementsoftheinformationdiscloser,ordestroyallinformation:thattheinformationreceiverdoesn’tneedtheconfidentialinformationforwork;thatbothpartiesdonotreachcooperationagreementinrespecttotheProject;thattheagreementsignedbythepartiesinrespecttotheProjecthavebeenfullyperformedandcompleted;thattheinformationreceiverreceivestherequirementsfrominformationdiscloserinwritingatanytime;Changesoccurringtotheoriginalconfidentialinformationoftheinformationdiscloser.七、違約責(zé)任和索賠Article7BreachingLiabilityandCompensation信息接受方違反本合同規(guī)定時(shí)，信息披露方有權(quán)規(guī)定信息接受方限期進(jìn)行糾正，并追究其違約責(zé)任，直至信息接受方完全改正錯(cuò)誤，消除影響為止。如信息接受方的違約行為造成信息披露方損害的還應(yīng)另行賠償損失，賠償數(shù)額按信息披露方因信息接受方的違約所受到的損失或者信息接受方因違約所獲得的利益擬定。IftheinformationreceiverbreachesthisAgreement,theinformationdisclosershallbeentitledtorequiretheinformationdisclosertorectifywithincertainperiodandtobeliableforsaidbreachuntiltheinformationreceiverhascompletelyrectifysuchbreachandhaseliminatedanyinfluence.Ifthebreachbytheinformationreceiverhasbroughtdamagestotheinformationdiscloser,theinformationreceivershallcompensatetheinformationdiscloser,compensationamountshallbedefinedinaccordancewiththelosssustainedbytheinformationdiscloserortheprofitgainedbytheinformationreceiver.八、合使用方法律Article8ApplicableLaw本合同受中華人民共和國的法律管轄并且必須根據(jù)中華人民共和國的法律訂立。ThisAgreementisgovernedbyandmadeinaccordancewiththelawsofthePeople’sRepublicofChina.九、爭議管轄Article9DisputeResolution因推行本合同發(fā)生爭議，雙方應(yīng)當(dāng)和諧協(xié)商解決，協(xié)商不成，任一方有權(quán)向甲方住所地有管轄權(quán)的人民法院提起訴訟。ThePartiesshallsettleanydisputearisingfromtheperformanceofthisAgreement,andanyPartyshallbeentitledtobringlawsuitagainsttheotherPartyinthecompetentcourtlocatedintheplacewherePartyBresidesprovidedthatsuchdisputecanbesettledthroughfriendlynegotiation.十、期限Article11Period本合同自雙方簽字蓋章之日起生效并長效。本合同一式二份，雙方各執(zhí)一份，含有同等法律效力。ThisAgreementshalltakeeffectsincethedatewhenthePartiessignorseal.ThisAgreementismadeinduplicatewitheachcopybeingofthesameeffectandeachPartyshallretainonecopy.十一、其它Article11Miscellaneous本合同的訂立并不能視為雙方對達(dá)成正式合作合同的承諾，如雙方就本項(xiàng)目最后訂立正式的合作合同，本合同成為正式合作合同的構(gòu)成部分與正式合作合同含有同等法律效力，本合同與正式合作合同商定不一致的以正式合作合同為準(zhǔn)；如雙方最后未能就本項(xiàng)目訂立正式的合作合同，雙方應(yīng)按照本合同第六條的商定推行義務(wù)，并對保密信息承當(dāng)永久的保密責(zé)任。NeitherthisAgreementnorthesupplyofanyinformationshallbedeemedtobetheguaranteefortheformalcooperationagreement.IfthepartieswouldconcludetheformalcooperationagreementinrespecttotheProject,thisAgreementshallbeapartofandhavetheequalvaliditytotheformalcooperationagreement.IfanypartofthisAgreementisinconsistentwiththeform
