煤炭購銷國際合同英文版InternationalCoalSalesContractPartyA：[Insertnameandaddress]PartyB：[Insertnameandaddress]1.BasicInformation1.1Bothpartiesacknowledgeandagreetoenterintothisinternationalcoalsalescontract(the“Contract”)inaccordancewiththetermsandconditionssetforthherein.1.2PartyAagreestosellanddelivercoaltoPartyB,andPartyBagreestopurchaseandreceivecoalfromPartyA.1.3ThisContractshallbedeemedeffectiveupontheexecutionofbothpartiesandshallremaininforceuntilallobligationsundertheContracthavebeenfulfilled.1.4ThetermsandconditionsofthisContractshallbegovernedbythelawsofthePeople'sRepublicofChina.2.Parties’Status,Rights,Obligations,PerformanceandTerm2.1PartyAshallberesponsibleforprovidingthecoaltoPartyBinaccordancewiththequality,quantityandstandardsspecifiedintheContract.2.2PartyBshallberesponsibleforprovidingpaymenttoPartyAinatimelymannerinaccordancewiththepaymenttermsspecifiedintheContract.2.3ThedeliveryofcoalandpaymentofthepurchasepriceshallbecompletedaccordingtothetermsandconditionsstipulatedintheContract.2.4IntheeventthateitherpartybreachesanyofthetermsandconditionssetforthintheContract,thenon-breachingpartyshallhavetherighttoterminatetheContractandseekremediesinaccordancewiththeContractandapplicablelaws.2.5BothpartiesshallcooperateandtakeallnecessaryactionstoensurethesmoothandtimelyexecutionoftheContract.3.CompliancewithApplicableLawsandRegulations3.1Bothpartiesshallcomplywithallapplicablelaws,regulations,policiesandproceduresofthePeople'sRepublicofChina.3.2Iftherearechangesinanyapplicablelaws,regulationsorpoliciesthataffecttheperformanceoftheContract,bothpartiesshallnegotiateandmakenecessaryadjustmentstotheContractinatimelymanner.3.3IfanyprovisionofthisContractisfoundtoviolateanyapplicablelaw,regulationorpolicy,suchprovisionshallbedeemednullandvoidandshallnotaffecttheenforceabilityoftheremainingprovisionsoftheContract.4.RightsandObligationsofBothParties4.1PartyAshallhavetherighttoreceivepaymentfromPartyBinaccordancewiththepaymenttermsspecifiedintheContract.4.2PartyBshallhavetherighttoreceivecoalofthequality,quantityandstandardsspecifiedintheContractfromPartyA.4.3PartyAandBshallberesponsibleforanydamagescausedtotheotherpartyduetotheirownmisconduct.4.4BothpartiesshallmaintainconfidentialityofthetermsandconditionssetforthinthisContractandshallnotdisclosesuchinformationtoanythirdpartywithoutpriorwrittenconsentfromtheotherparty.5.LegalEffectivenessandEnforceability5.1ThisContractshallbelegallybindingonbothpartiesandshallbeenforceableinaccordancewiththelawsofthePeople'sRepublicofChina.5.2AnydisputesarisingfromorinconnectionwiththeperformanceofthisContractshallberesolvedthroughfriendlyconsultation.Ifthepartiescannotreachanagreementthroughconsultation,thedisputeshallbesubmittedtotherelevantcourtinaccordancewiththelawsofthePeople'sRepublicofChina.5.3TheEnglishversionofthisContractisforreferencepurposesonly,andincas
