AfterfriendlynegotiationbetweenPartyAandPartyB,theyreachthefollowingagreementontheissuesaboutPartyAentrustingPartyBforcargostorage:

I

.FortheownershipandallthedueeconomicandlegalresponsibilitiesofPartyAonthefollowingcargostoredinthewarehouseofPartyB,theyshallnotbetransferredtoPartyBbecauseoftheconclusionofthisagreement.PartyAensurestheconformityofthefollowingdeclaredcargowiththeactualcargo,andthecargoistrueandlegal.Oncethetruesituationdoesn’tconformtothecontentdeclaredtoCustomsandQualitySupervision,InspectionandQuarantineAdministration,PartyAshallundertakealltheresponsibilities,irrelevantwithPartyB.

IfPartyAisnotanenterpriseinNingboExportProcessingZone,itneedstotakePartyBasthenominaloperationunitandreceivingunitinthezonetogothroughallkindsofformalitiesintheofficeofNingboBondedAreaCustomsinExportProcessingZone,buttherightsandlegalresponsibilitiesofPartyAanditsappointedagentonthecargoremainunchanged.

.ForthecargoofPartyAenteringthewarehouseofPartyBforthefirsttime,itmustinformPartyBoftheinformationsuchasthename,specification,HScode,partnumberandfirstmeasurementunitofthecargo.ThebondedstoragecargorecordedinadmissiontobestoredinthewarehousethistimeshallsubjecttotheexpressedcontentofWarehousingNotice.

.AfterPartyAanditsappointedagentholdtheunloadinglistsignedandissuedbytheunitinthezoneandwarehouseentryloadinglistsignedandissuedbyPartyBtothecustomspassforinspection,releasingandverifyingtheloadinglist,PartyBcanallowtheentryofthecargointothewarehouseaccordingtotheloadinglistverifiedatthecustomspass.Ifitneedsactualwarehousingoperation,duringtheoperationprocess,PartyBshallhavecivilizedloadingandunloading,carefullycountthequantityandhavevisualtestontheexternalpackagequality.Ifitdiscoversquantityshortage,externalpackagedestroyorseveredamage,itshallimmediatelynotifyPartyA,carryoutthenextoperationaccordingtotheinstructionofPartyA,andkeeptherecord.Afterallthecargoenterthewarehouse,PartyAanditsappointedagentshallsubmitonepageofthewarehouseentrancelistthathasbeenreportedtocustomsforreleaseandaffixedthesealtoPartyB,asthefoundationforcargoinstock.

.IfPartyAaskstoissuewarehouseexitlist,itmustverifythevoucherpageoftheoriginalwarehouseentrancelistwithPartyB,andsendoutwrittendirection.PartyBcanonlyissuethelistaccordingtothedirection;forthelegalconsequencecausedbytheissuanceofthelist,exceptforthemistakeanddirecteconomiclosscausedbyPartyB,itshallbeundertakenbyPartyAoritsappointedagent.

.Whendeliveringthecargo,PartyBneedstoverifythewarehouseexitlistwiththesignatureandsealofthecustoms,anddeliverthecargostrictlyaccordingtothelist.Whenthecargoissentoutofthepass,PartyAanditsappointedagentshallsubmittheexitloadinglistsignedandissuedbyPartyBtocustomspassinduplicate,andreturnonecopyofverifiedloadinglisttoPartyB.

.Fortheabove-normdestroy,lossordeliverymistakeofthecargoinstoragecausedbythedelinquencyoftheentrustedparty,PartyBshallnotifyPartyAintimeandrenderareporttothecustoms.PartyBshallundertakethecompensationresponsibilityofdirectloss,andthecompensationamountshallbecalculatedandpaidbytheinsurancecompanyofPartyBwithactuallossamountasthefoundation,withthehighestcompensationamountasRMB100,000Yuaneachtime.Fortheexceedingpart,PartyAorthecargoownershalltaketheresponsibilitybythemselves.However,forthelosscausedbythefollowingthreesituations,PartyBdoesn’tneedtoundertakethecompensationresponsibility:

ThedestroycausedbythecheckandsamplingoftheCustomsandQuarantineandInspectionServiceAdministrationaccordingtothelaw;

Unloadingdestroyofordinarybulkcargowithinreasonabledegree(acceptablestandardis0.3%)

Duringthestorageperiodofthecargointhewarehouse,thequalitativevariationordestroyofthecargocausedbyitsnaturalcharacteristicsandsoon.

.ToguaranteethenormaloperationofdistributionserviceofPartyB,PartyAshalltryitsbesttoaccuratelyestimatetheconsumptionoftheproductionmaterialneededbytheconsigneeinthezone,toavoidcargostagnantinthewarehouse.

.Theexpenseinvolvedinthecontractperiodsubjectstothepricelistofbondedlogisticsbusiness(seetheappendixlist).

Beforethe3rddayeachmonth,PartyBshallsendthelistofalltheexpensesgeneratedinthepreviousmonthtoPartyAbymeansofe-mail.PartyAshall,within3workingdays,sendtheconfirmationtoPartyBbymeansoffacsimile,andhandovertheoriginalconfirmationtoPartyBbymeansofexpressorinperson.AfterPartyBreceivestheconfirmationfromPartyA,itshall,beforethe10thdayinthesamemonth,issuetheinvoicetoPartyAbymeansofexpressorinperson,andPartyAshallsettlethefundbeforethelastworkingdayinthesamemonth.

BeforePartyA’scargointhewarehouseofPartyBisdeliveredfromthewarehouse,itneedstosettlealltheexpenses.

.Forthedisputearisinginthefulfillmentofthiscontract,thetwopartiesshalltrytosolveitthroughnegotiation;iftheycannotreachanagreementinnegotiation,theycanbeginasuitinthelocalcourtofPartyB.
