NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:Article1:Services

1.1PartyBagreestoprovideconsultingservicestoPartyAinconnectionwithPartyA'sbusiness,includingbutnotlimitedto____________________________,subjecttothetermsandconditionssetforthinthisAgreement.

1.2PartyBagreestoprovidetheserviceswithduecare,skill,anddiligenceinaccordancewiththeprofessionalstandardsgenerallyacceptedintheconsultingindustry.

1.3TheservicesshallbeperformedPartyBatsuchtimesandplacesasPartyAmaydesignate.Article4:Payment

4.1PartyAagreestopayPartyBafeeof____________________fortheservicesrenderedunderthisAgreement.

5.1PartyBagreestoindemnifyandholdharmlessPartyA,itsofficers,directors,employees,andagentsfromandagainstanyandalllosses,damages,claims,suits,actions,demands,liabilities,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwithanyactoromissionofPartyBoritsemployeesoragentsinconnectionwiththeperformanceoftheservicesunderthisAgreement.

5.2PartyAagreestoindemnifyandholdharmlessPartyB,itsofficers,directors,employees,andagentsfromandagainstanyandalllosses,damages,claims,suits,actions,demands,liabilities,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwithanyactoromissionofPartyAoritsemployeesoragentsinconnectionwiththeperformanceoftheservicesunderthisAgreement.Article6:Miscellaneous

6.1ThisAgreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.

6.2IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.

6.3ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.INWITNESSWHEREOF,thepartieshaveexecuted一、附件列表：

1.未能按照約定時(shí)間提供服務(wù)或完成工作。

2.未能達(dá)到服務(wù)績(jī)效評(píng)估標(biāo)準(zhǔn)。

3.未經(jīng)許可泄露保密信息。

4.未能按時(shí)支付費(fèi)用。

5.未能履行合同中的其他義務(wù)。

6.任何一方未經(jīng)對(duì)方同意擅自變更或終止合同。三、法律名詞及解釋：

1.保密信息：指在合同期間雙方未公開的、能為一方帶來經(jīng)濟(jì)利益或競(jìng)爭(zhēng)優(yōu)勢(shì)的信息。

2.服務(wù)績(jī)效評(píng)估標(biāo)準(zhǔn)：指雙方約定的衡量服務(wù)質(zhì)量和效果的具體標(biāo)準(zhǔn)。

3.違約：指未履行合同約定的義務(wù)。

4.終止協(xié)議：指雙方約定終止合同關(guān)系的行為。

5.費(fèi)用：指為換取服務(wù)而支付的金錢。四、執(zhí)行中遇到的問題及解決辦法：

1.服務(wù)進(jìn)度延誤：及時(shí)溝通，重新約定時(shí)間表，必要時(shí)協(xié)商額外費(fèi)用。

2.服務(wù)質(zhì)量不達(dá)標(biāo)：提供具體反饋，要求服務(wù)提供方整改，必要時(shí)終止合同。
