英文版標(biāo)準(zhǔn)采購合同英文版合同編號(hào)：__________StandardPurchaseContractRECITALSWHEREAS,PurchaserdesirestopurchasefromSuppliercertaingoodsand/orservices(the"Products")describedinExhibitAattachedhereto;WHEREAS,SupplieriswillingtoselltheProductstoPurchaseronthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:ARTICLE1:DEFINITIONS1.1Definitions.AsusedinthisContract,thefollowingtermsshallhavethefollowingmeanings:(b)"Control"meansthepowertodirectorcausethedirectionofthemanagementandpoliciesofanentity,whetherthroughtheownershipofvotingsecurities,contract,orotherwise;(c)"DeliveryDate"meansthedatespecifiedintheOrderFormforthedeliveryoftheProductstoPurchaser;(d)"OrderForm"meanstheformattachedheretoasExhibitB,whichsetsforththespecificProductstobepurchasedPurchaser;(e)"Products"meansthegoodsand/orservicesdescribedinExhibitAattachedhereto;(f)"Purchaser"meansthepartyidentifiedasPurchaserinthepreambletothisContract;(g)"Supplier"meansthepartyidentifiedasSupplierinthepreambletothisContract;andARTICLE2:ORDERANDACKNOWLEDGMENT2.1Order.PurchasershallsubmitanOrderFormtoSupplier,whichshallsetforththespecificProductstobepurchasedPurchaser.2.2Acknowledgment.Suppliershall,withinareasonabletimeafterreceiptofanOrderForm,acknowledgetheOrderFormexecutingitandreturningittoPurchaser.TheexecutedOrderFormshallconstituteanofferSuppliertoselltheProductstoPurchaseronthetermsandconditionssetforthinthisContract.ARTICLE3:PRICEANDPAYMENT3.1Price.ThepurchasepricefortheProductsshallbeassetforthintheOrderForm.3.2PaymentTerms.PurchasershallmakepaymentfortheProductstoSupplierwithinthirty(30)daysafterthedateoftheinvoiceissuedSupplier.3.3Taxes.ThepurchasepricefortheProductsdoesnotincludeanytaxes,duties,orsimilarchargesimposedanygovernmentalauthority.Suppliershallberesponsibleforthepaymentofanysuchtaxes,duties,orsimilarcharges,unlessotherwiseagreedinwritingtheparties.ARTICLE4:DELIVERYANDACCEPTANCE4.1Delivery.SuppliershalldelivertheProductstoPurchaseronorbeforetheDeliveryDatespecifiedintheOrderForm.4.2Acceptance.PurchasershallhavetherighttoinspectandtesttheProductsupondelivery.IftheProductsdonotconformtothespecificationssetforthinExhibitA,PurchasershallnotifySupplierinwritingwithinareasonabletimeafterdelivery.Suppliershall,atitssolediscretion,eitherreplacethenonconformingProductsorrefundthepurchasepriceforsuchProducts.ARTICLE5:WARRANTIES5.1SupplierWarranties.Supplierrepresentsandwarrantsthat:(a)ithasthefullright,power,andauthoritytoenterintothisContractandtoperformitsobligationshereunder;(b)theProductsconformtothespecificationssetforthinExhibitA;(c)theProductsarefreefromanyliens,encumbrances,orthirdpartyclaims;and(d)theProductsdonotinfringeuponanyintellectualpropertyrights一、附件列表：1.ExhibitADescriptionofProducts2.ExhibitBOrderForm二、違約行為及認(rèn)定：1.FailuretodeliverProductsontheDeliveryDateasspecifiedintheOrderForm.2.NonconformityoftheProductstothespecificationssetforthinExhibitA.3.FailureofSuppliertoprovideProductsfreefromliens,encumbrances,orthirdpartyclaims.4.InfringementofintellectualpropertyrightstheProducts.5.FailureofeitherpartytoperformanyotherobligationunderthisContract.三、法律名詞及解釋：2.ControlThepowertodirectorcausethedirectionofthemanagementandpoliciesofanentity,whetherthroughtheownershipofvotingsecurities,contract,orotherwise.3.DeliveryDateThedatespecifiedintheOrderFormforthedeliveryoftheProductstoPurchaser.4.OrderFormTheformattachedheretoasExhibitB,whichsetsforththespecificProductstobepurchasedPurchaser.5.ProductsThegoodsand/orservicesdescribedinExhibitAattachedhereto.6.PurchaserThepartyidentifiedasPurchaserinthepreambletothisContract.7.SupplierThepartyidentifiedasSupplierinthepreambletothisContract.四、執(zhí)行中遇到的問題及解決辦法：1.Deliverydelays:IfSupplierisunabletodelivertheProductsontheDeliveryDate,thepartiesshouldagreeonanewdeliverydateandanyassociatedpenaltiesordiscounts.2.NonconformingProducts:IftheProductsdonotconformtothespecifications,PurchasershouldnotifySupplierinwritingwithinareasonabletimeafterdelivery.SuppliershouldreplacethenonconformingProductsorrefundthepurchaseprice.3.Intellectualpropertyinfringement:IfaclaimofintellectualpropertyinfringementismadeagainsttheProducts,Suppliershouldassumeresponsibilityandtakeappropriateactiontoresolvetheclaim.4.Paymentdisputes:Incaseofpaymentdisputes,thepartiesshouldrefertothepaymenttermsspecifiedinArticle3ofthisContractandseektoresolvethedisputeamicably.五、所有應(yīng)用場景：1.Purchasinggoodsand/orservicesfromasupplier.
