hiscontractmaybeterminatedbyeitherpartyupontheoccurrenceofaforcemajeureeventthatpreventstheperformanceofthecontractforacontinuousperiodof______days.Upontermination,bothpartiesshallsettleanyoutstandingobligationsinaccordancewiththetermsofthiscontract.Chapter9:LiabilityforBreachofContract9.1DefinitionofBreachofContractAbreachofcontractoccurswheneitherpartyfailstoperformanyofitsobligationsunderthiscontractorperformstheminamannerthatdoesnotconformtothetermsofthecontract.9.2LiabilityforBreachofContractThebreachingpartyshallbeliableforanylossordamagesufferedbythenon-breachingpartyasaresultofthebreach.Thebreachingpartyshallalsoberesponsibleforanyadditionalcostsincurredbythenon-breachingpartyinseekingtomitigatetheeffectsofthebreach.9.3CompensationforBreachofContractTheamountofcompensationforbreachofcontractshallbedeterminedbasedontheactuallosssufferedbythenon-breachingparty,includinganylostprofitsandanyadditionalcostsincurred.Chapter10:DisputeResolution10.1MethodsofDisputeResolutionAnydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthroughfriendlynegotiation.Ifthedisputecannotberesolvedthroughnegotiation,eitherpartymaysubmitthedisputetoarbitrationinaccordancewiththearbitrationrulesofthe______ArbitrationCommission.10.2GoverningLawThiscontractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.10.3ProceduresforDisputeResolutionThearbitrationproceedingsshallbeconductedintheChineselanguage.Thearbitrationawardshallbefinalandbindingonbothparties.Chapter11:MiscellaneousProvisions11.1ModificationandSupplementoftheContractAnymodificationorsupplementtothiscontractshallbemadeinwritingandsignedbybothparties.11.2NoticesandDeliveryAllnoticesunderthiscontractshallbeinwritinganddeliveredtotheaddressspecifiedinthiscontract.Noticesmaybedeliveredbyhand,byregisteredmail,o
