PartyA(hereinafterreferredtoasthe"Principal")andPartyB(hereinafterreferredtoasthe"Agent")herebyagreetoenterintothisForeignTradeCommissionContract(the"Contract")forthepurposeofengaginginthefollowingtermsandconditions:

1.AppointmentandAuthorization

ThePrincipalherebyappointstheAgentasitsexclusiverepresentativein[Country/Region]forthepromotionandsaleof[Products/Services](the"Products")andauthorizestheAgenttonegotiateandconcludecontractsonbehalfofthePrincipalwiththird-partybuyers(the"Buyers").

2.CommissionStructure

TheAgentshallbeentitledtoacommissionof[X]%onthenetsalesrevenueoftheProducts,excludingtaxes,shippingcosts,andinsurance.Thecommissionshallbepayablewithin[number]daysafterthereceiptofpaymentfromtheBuyer.

3.TerritoryandExclusiveRights

4.DutiesandResponsibilitiesoftheAgent

b.ProvideregularreportstothePrincipalregardingsalesactivities,markettrends,andcustomerfeedback;

c.MaintaingoodrelationshipswithBuyersandensuretimelypaymentofinvoices;and

d.Complywithallapplicablelawsandregulationsintheperformanceofitsduties.

5.DutiesandResponsibilitiesofthePrincipal

ThePrincipalshall:

a.ProvidetheAgentwithnecessarysalesmaterials,technicalspecifications,andproducttraining;

b.EnsurethequalityanddeliveryoftheProducts;

c.SupporttheAgentinpromotionalactivities,suchastradeshowsandmarketingcampaigns;and

d.PromptlypaytheAgent'scommissionasagreed.

6.TermandTermination

ThisContractshallenterintoforceonthedateofsignatureandshallcontinueforatermof[years]unlessterminatedearlierbyeitherpartywithawrittennoticeofatleast[months]priortotheintendedterminationdate.

7.Confidentiality

BothpartiesagreetokeepconfidentialallbusinessandtechnicalinformationexchangedduringthetermofthisContract.ThisobligationshallsurvivetheterminationoftheContract.

8.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedamicablythroughnegotiation.Ifasettlementcannotbereached,thedisputesshallbereferredtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

9.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].Thepartiessubmittotheexclusivejurisdictionofthecourtsof[Country].

10.EntireAgreement
