THISCUSTOMIZATIONAGREEMENT(the"Agreement")ismadeandenteredintoasofthe____dayof____,20__(the"EffectiveDate"),byandbetween____(the"Client"),acompanyincorporatedunderthelawsof____,withitsregisteredofficeat____,and____(the"ServiceProvider"),acompanyincorporatedunderthelawsof____,withitsregisteredofficeat____.

WHEREAS,theClientdesirestoengagetheServiceProvidertoprovidecertaincustomizationservices(the"Services")asdetailedinthisAgreement;

WHEREAS,theServiceProvideriswillingtoprovidetheServicestotheClientonthetermsandconditionssetforthinthisAgreement;

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thepartiesagreeasfollows:

1.SERVICES

1.1TheServiceProvidershallprovidetheServicestotheClientasdescribedinExhibitAattachedhereto(the"ServiceDescription"),whichisincorporatedhereinbyreferenceandmadeapartofthisAgreement.

1.2TheServiceProvidershalluseitsbesteffortstoperformtheServicesinaprofessionalandworkmanlikemanner,consistentwithindustrystandards.

1.3TheClientshallprovidetheServiceProviderwithallnecessaryinformation,access,andassistancetoenabletheServiceProvidertoperformtheServices.

2.DELIVERYANDPERFORMANCE

2.1TheServiceProvidershallcommencetheServicesonthedatespecifiedintheServiceDescriptionandshalluseitsbesteffortstocompletetheServiceswithinthetimeframespecifiedtherein.

2.2TheClientshallhavetherighttoinspecttheServicesduringtheperformancethereofandtorequestcorrectionsiftheServicesarenotinaccordancewiththeServiceDescription.

3.PAYMENT

3.1TheClientshallpaytheServiceProviderfortheServicesassetforthintheServiceDescription.

3.2Allpaymentsshallbemadein____currencyandshallbedueandpayablewithin____daysafterthedateoftheinvoice.

3.3IftheClientfailstopayanyamountwhendue,theServiceProvidermaychargeinterestontheoverdueamountattherateof____%perannum.

4.CONFIDENTIALITY

4.1Eachparty(the"ReceivingParty")shallholdinconfidenceandnotdisclose,directlyorindirectly,anyConfidentialInformationoftheotherparty(the"DisclosingParty"),exceptasmayberequiredbylaworacourtofcompetentjurisdiction.

4.2"ConfidentialInformation"meansallnon-publicinformation,whetheroralorwritten,relatingtothebusiness,technology,oraffairsoftheDisclosingParty,includingbutnotlimitedtotradesecrets,know-how,inventions,processes,techniques,software,data,andotherproprietaryinformation.

5.WARRANTY

5.1TheServiceProviderwarrantsthattheServiceswillbeperformedinaccordancewiththeServiceDescriptionandwillnotinfringeanythird-partyintellectualpropertyrights.

5.2TheClientwarrantsthatithasthenecessaryrightsandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

6.LIMITATIONOFLIABILITY

6.1INNOEVENTSHALLEITHERPARTYBELIABLEFORANYINDIRECT,INCIDENTAL,SPECIAL,EXEMPLARY,ORCONSEQUENTIALDAMAGESARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENT,WHETHERINCONTRACT,TORT,OROTHERWISE.

6.2THETOTALLIABILITYOFTHESERVICEPROVIDERFORANYCLAIMARISINGOUTOFORRELATINGTOTHISAGREEMENT,WHETHERINCONTRACT,TORT,OROTHERWISE,SHALLNOTEXCEEDTHETOTALAMOUNTPAIDBYTHECLIENTTOTHESERVICEPROVIDERUNDERTHISAGREEMENT.

7.TERMINATION

7.1ThisAgreementmaybeterminatedbyeitherpartyupon____days'writtennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithinsuchperiod.

7.2UponterminationofthisAgreement,theServiceProvidershallpromptlyreturntotheClientallConfidentialInformationoftheClient.

8.GOVERNINGLAW

8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof____withoutgivingeffecttoanyprinciplesofconflictsoflaws.

8.2AnydisputearisingoutoforrelatingtothisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesof____.

9.ENTIREAGREEMENT

9.1ThisAgreement,includingallexhibitsandattachmentshereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,negotiations,anddiscussionsbetweentheparties.

10.ASSIGNMENT

10.1TheClientmaynotassignthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheServiceProvider.

10.2TheServiceProvidermayassignthisAgreementoranyofitsrightsorobligationshereundertoanaffiliateorinconnectionwitham
