**CommissionContract**

ThisAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertCompanyName]("Company"),a[InsertIncorporationType]incorporatedin[InsertJurisdictionofIncorporation],and[InsertIndividualorCompanyName]("Agent"),anindividualwithaprimaryplaceofresidenceat[InsertAddress].

**1.Appointment**

TheCompanyherebyappointstheAgentasanindependentcontractortoactasanexclusivesalesagentfortheCompany'sproductsin[InsertTerritory](the"Products").TheAgentacceptssuchappointmentandagreestoactasanindependentcontractorforthepurposesofthisAgreement.

**2.CommissionRate**

TheAgentshallbeentitledtoacommission(the"Commission")equalto[InsertPercentage]%oftheNetSales(asdefinedbelow)generatedbytheAgent.TheNetSalesshallmeanthetotalsalesrevenuefromthesaleoftheProductslessanydiscounts,returns,allowances,andanyotherdeductionsassociatedwiththesalesoftheProducts.

**3.DutiesandResponsibilities**

TheAgent'sdutiesandresponsibilitiesshallinclude,butnotbelimitedto,thefollowing:

(a)promotingandsellingtheProductsintheTerritory;

(b)providingtheCompanywithregularreportsonsalesactivitiesandinventorylevels;

(c)maintainingaccuraterecordsofalltransactionsrelatedtothesaleoftheProducts;and

(d)complyingwithallapplicablelawsandregulationsinconnectionwiththesaleoftheProducts.

**4.PaymentTerms**

TheCompanyshallpaytheAgenttheCommissionwithin[InsertNumber]daysaftertheendofeachcalendarmonthduringwhichthesalesweremade.ThepaymentshallbemadebywiretransfertotheAgent'sdesignatedbankaccount.

**5.TermandTermination**

ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaninitialtermof[InsertNumber]years(the"InitialTerm").UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessiveone-yeartermsunlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[InsertNumber]dayspriortotheendofthethen-currentterm.

**6.Indemnification**

TheAgentshallindemnifyandholdharmlesstheCompanyagainstanyandallclaims,damages,losses,andexpenses(includingreasonableattorney'sfees)incurredbytheCompanyarisingoutoforinconnectionwiththeAgent'sperformanceofitsdutiesandresponsibilitiesunderthisAgreement.

**7.GoverningLawandJurisdiction**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[InsertJurisdiction].

**8.EntireAgreement**

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
