1.DefinitionofTerms

a."LetterofCredit"shallmeanadocumentissuedbyPartyB,whichguaranteesthepaymentofaspecifiedsumofmoneytoPartyAoritsdesignatedpayeeuponthepresentationofcomplyingdocuments.

b."ComplyingDocuments"shallmeanthedocumentsasstipulatedbytheContract,whichshallbepresentedtoPartyBinordertoobtainthepaymentoftheLetterofCredit.

c."Drawee"shallmeanPartyBoritsdesignatedagent,whoisresponsibleforthepaymentundertheLetterofCredit.

d."Beneficiary"shallmeanPartyAoritsdesignatedpayee,whoisentitledtoreceivethepaymentundertheLetterofCredit.

2.OpeningofLetterofCredit

a.PartyAshallinstructPartyBtoissueaLetterofCreditinaccordancewiththetermsandconditionssetforthinthisContract.

b.PartyBshallissuetheLetterofCreditpromptlyuponreceiptofPartyA'sinstructionsandshallsendthesametoPartyA.

c.TheLetterofCreditshallbeirrevocableandshallbevalidforthedurationspecifiedintheContract.

3.DocumentsRequiredforPayment

a.PartyAshallpresentthecomplyingdocumentstoPartyBwithinthevalidityperiodoftheLetterofCredit.

b.Thecomplyingdocumentsshallinclude,butnotbelimitedto,thefollowing:

i.BillofLading

ii.CommercialInvoice

iii.PackingList

iv.CertificateofOrigin

v.InspectionCertificate

vi.AnyotherdocumentsasmayberequiredbyPartyB

4.Payment

a.Uponthepresentationofthecomplyingdocuments,PartyBshallmakethepaymenttoPartyAoritsdesignatedpayeeasperthetermsandconditionsoftheLetterofCredit.

b.PartyBshallnotbeliableforanydelayorfailureinpaymentduetothefaultofPartyA,theBeneficiary,oranythirdparty.

5.DisputeResolution

a.AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.

b.Ifthepartiesfailtoreachanamicableresolutionwithinareasonableperiod,thedisputeshallbesubmittedtothejurisdictionofthecourtsof[Country].

6.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

7.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal.
