3.PriceandPayment

7.DisputeResolution

2.ResponsibilitiesandRightsofPartyA

2.1PartyAshallhavetherighttorequestandobtainfromPartyB,throughThirdParty,timelyandaccurateinformationregardingthestatusofthetradetransaction.

2.2PartyAshallhavetherighttoterminatethisContract,inwholeorinpart,ifPartyBbreachesanymaterialtermofthisContract.

2.3PartyAshallhavetherighttoreceive,fromThirdParty,periodicreportsontheprogressandcompliancewiththetermsofthisContract.

3.RightsandObligationsofThirdParty

3.1ThirdPartyshallhavetheobligationtoensurethattheservicesprovidedtoPartyBmeetthestandardsandspecificationsrequiredbyPartyA.

3.2ThirdPartyshallhavetherighttochargePartyBfortheservicesprovided,inaccordancewiththeratesspecifiedinExhibitB.

3.3ThirdPartyshallhavetherighttoretainaportionofthepaymentfromPartyBasaperformanceguaranteeuntiltheservicesaresatisfactorilycompleted.

4.ObligationsandRightsofPartyB

4.2PartyBshallhavetherighttorequest,throughThirdParty,anynecessarydocumentationorinformationfromPartyAregardingtheGoods.

5.TerminationandDefault

5.1IntheeventofamaterialbreachbyPartyB,PartyAshallhavetherighttoterminatethisContractimmediately,withoutpriornotice,andrecoveranylossesincurred.

5.2PartyBshallbeliableforanydamagesresultingfromitsfailuretocomplywiththetermsofthisContract,includingbutnotlimitedto,latepayments,non-compliancewithspecifications,orfailuretoperform.

6.LimitationsonLiability

6.1PartyBshallnotbeliableforanyloss,damage,ordelayinthedeliveryoftheGoodscausedbyeventsbeyonditsreasonablecontrol,includingforcemajeure.

6.2ThirdParty'sliabilitytoPartyAforanyfailuretoperformitsobligationsunderthisContractshallbelimitedtothefeespaidbyPartyBfortheservicesrendered.

7.GoverningLawandDisputeResolution

6.1PartyA'sliabilitytoPartyBforanyfailuretoperformitsobligationsunderthisContractshallbelimitedtothefeespaidbyPartyBfortheservices/productsrendered.

6.2ThirdParty'sliabilitytoPartyBforanyfailuretoperformitsobligationsunderthisContractshallbelimitedtothefeespaidbyPartyBfortheservicesrendered.
