ctiveupon[insertnoticeperiod,e.g.,30days]writtennoticetotheotherParty.8.3EffectsofTerminationUponterminationofthisAgreement:AllrightsandobligationsofthePartiesunderthisAgreementshallcease.ThePartiesshallpromptlyreturnordestroyallconfidentialinformationreceivedfromtheotherParty.8.4RenewalTermsThePartiesmayagreetorenewthisAgreementforanadditionaltermexecutingawrittenrenewalagreement,providedthatsuchrenewalismutuallyagreeduponbothParties.9.DisputeResolution9.1DisputeResolutionMechanismAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[insertdisputeresolutionmechanism,e.g.,mediation,arbitration,orlitigation].9.2ArbitrationorLitigationIfthePartiesfailtoresolveadisputethroughmediation,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[insertarbitrationinstitution].Ifarbitrationisnotsuccessful,thePartiesmaychoosetolitigatethedisputeinthecourtsof[insertjurisdiction].9.3GoverningLawforDisputesThelawsof[insertgoverninglawjurisdiction]shallgovernalldisputesarisingoutoforinconnectionwiththisAgreement.10.ForceMajeure10.1DefinitionofForceMajeureForcemajeureshallmeananyeventorcircumstancebeyondthereasonablecontroloftheParties,suchasnaturaldisasters,war,strikes,governmentactions,oractsofterrorism.10.2NoticeandDocumentationIfaPartyispreventedfromperformingitsobligationsunderthisAgreementduetoforcemajeure,itshallpromptlynotifytheotherPartyinwritingandprovideappropriatedocumentation.10.3ImpactandLiabilityNeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoforcemajeure.However,theaffectedPartyshallusereasonableeffortstominimizetheimpactofsuchevents.11.MiscellaneousProvisions11.1EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.11.2AmendmentsandModificationsThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothParties.11.3AssignmentandSubcontractingNeitherPartymayassignorsubcontractanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty.11.4WaiverThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherighttoenforcesuchprovision.12.Signatures12.1AuthorizedSignaturesThisAgreementshallbebindinguponandenforceableagainstthePartiesandtheirrespectivesuccessorsandassignsonlyifexecutedanauthorizedrepresentativeofeachParty.12.2DateofExecutionThisAgreementshallbeexecutedonthe[insertdate]at[insertlocation].13.Annexes13.1Annex1:AppendicesAnnex1shallincludeanyappendicesthatareanintegralpartofthisAgreementandshallbedeemedincorporatedintothisAgreementreference.13.2Annex2:AdditionalAgreementsAnnex2shallincludeanyadditionalagreementsthatareenteredintobetweenthePartiesinconnectionwiththisAgreementandshallbedeemedincorporatedintothisAgreementreference.13.3Annex3:AppendicesAnnex3shallincludeanyadditionalappendicesasagreeduponthePartiesandshallbedeemedincorporatedintothisAgreementreference.14.AcceptanceofTerms14.1AcknowledgmentofTermsByexecutingthisAgreement,eachPartyacknowledgesthatithasread,understands,andagreestobeboundallthetermsandconditionssetforthherein.14.2ConsenttoAgreementThePartieshereconsenttotheexecutionandperformanceofthisAgreement.第二部分：第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"referstoanyentityorindividualnotpartytothisAgreementbutrequiredorpermittedtobeinvolvedintheperformanceoftheAgreement'sobligations.Thismayinclude,butisnotlimitedto,consultants,suppliers,contractors,intermediaries,oranyotherpersonorentityengagedtoassistinthefulfillmentoftheAgreement'sterms.15.2TypesofThirdParties15.2.1IntermediariesIntermediariesmaybeengagedtofacilitatetheperformanceofspecifictasksortheexchangeofinformationbetweentheParties.Theymayincludebrokers,agents,orfacilitators.15.2.2SuppliersSuppliersmayprovidegoodsorservicesthatareessentialfortheperformanceoftheAgreement.Thesemaybematerials,technology,orotherresources.15.2.3ContractorsContractorsmaybehiredtoperformspecifictasksorservicesthatareintegraltotheimplementationoftheAgreement.15.2.4ConsultantsConsultantsmayberetainedtoprovideexpertadviceorassistanceintheexecutionoftheAgreement.15.3ThirdPartySelection15.4ApprovalofThirdPartiesAnyThirdPartyengagedeitherPartyshallbesubjecttothepriorwrittenapprovaloftheotherParty,whichshallnotbeunreasonablywithheld.16.AdditionalTermsforThirdPartyInvolvement16.1ResponsibilitiesoftheParties16.1.1PartyAPartyAshallensurethatanyThirdPartyengagediscapableoffulfillingitsobligationsundertheAgreementandshallprovidetheThirdPartywithallnecessaryinstructionsandinformation.16.1.2PartyB16.2ThirdPartyAgreementsThePartiesagreethatanyagreementbetweenthemandanyThirdPartyshallbegovernedthetermsofthisAgreementtotheextentthattheyarenotinconflictwiththeThirdPartyagreement.16.3IndemnificationThePartiesshallindemnifyeachotheragainstanyloss,claim,ordamagearisingfromtheactsoromissionsofanyThirdPartyenga
