1.SubjectMatteroftheContract
1.1PartyAagreestomergeandacquirealltheassetsandliabilitiesofPartyBinaccordancewiththetermsandconditionssetforthinthisContract.
2.PurchasePriceandPaymentTerms
2.1ThepurchasepricefortheacquisitionofPartyB'sbusinessshallbe[AmountinWords]and[AmountinNumbers](hereinafterreferredtoas"thePurchasePrice").

2.3ThepaymentofthePurchasePriceshallbemadebywiretransfertothedesignatedaccountofPartyB.
3.DueDiligence
3.1PartyAshallconductduediligenceonPartyB'sbusinesspriortotheexecutionofthisContract.
3.2PartyAshallhavetherighttoinspectandreviewallrelevantdocumentsandrecordsofPartyB'sbusinessduringtheduediligenceprocess.
4.ClosingoftheTransaction
4.1Theclosingofthetransactionshalltakeplaceon[DateofClosing].
4.2Allnecessarydocumentsandagreementsrequiredfortheclosingofthetransactionshallbeexecutedanddeliveredbythepartiespriortotheclosingdate.
5.RepresentationsandWarranties
5.1PartyArepresentsandwarrantsthat:
a)IthasthelegalcapacitytoenterintothisContractandperformitsobligationshereunder;
b)IthasfullauthoritytomergeandacquirePartyB'sbusiness;
c)Itisnotawareofanymaterialadversechangeinthebusiness,financialcondition,orlegalaffairsofPartyB.
5.2PartyBrepresentsandwarrantsthat:
a)IthasthelegalcapacitytoenterintothisContractandperformitsobligationshereunder;
b)IthasfullauthoritytotransferitsbusinesstoPartyA;
c)Itisnotawareofanymaterialadversechangeinthebusiness,financialcondition,orlegalaffairsofPartyB.
6.Confidentiality
6.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherpartyinconnectionwiththisContract,exceptforinformationthatis:
a)Publiclyavailable;
b)Alreadyknowntothereceivingpartypriortothedisclosure;
c)Obtainedfromathirdpartywithoutabreachofconfidentialityobligations.
7.GoverningLawandJurisdiction
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesof[ArbitrationInstitution].
8.Miscellaneous
8.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal,relatingtothesubjectmatterhereof.
8.2AnyamendmentormodificationofthisContractshallbeeffectiveonlyifitisinwritingandsignedbybothparties.

4.2ThirdPartyshallassistPartyAintheduediligenceprocessandprovideexpertopinionsonthefinancialandlegalaspectsofPartyB'sbusiness.
5.RepresentationsandWarranties
5.1PartyArepresentsandwarrantsthat:
a)IthasthelegalcapacitytoenterintothisContractandperformitsobligationshereunder;
b)IthasfullauthoritytomergeandacquirePartyB'sbusiness;
c)Itisnotawareofanymaterialadversechangeinthebusiness,financialcondition,orlegalaffairsofPartyB.
5.2PartyBrepresentsandwarrantsthat:
a)IthasthelegalcapacitytoenterintothisContractandperformitsobligationshereunder;
b)IthasfullauthoritytotransferitsbusinesstoPartyA;
c)Itisnotawareofanymaterialadversechangeinthebusiness,financialcondition,orlegalaffairsofPartyB.
5.3ThirdPartyrepresentsandwarrantsthat:
a)IthasthelegalcapacitytoenterintothisContractandperformitsobligationshereunder;
b)Itisactingingoodfaithandwithduecareinprovidingitsservicestotheparties;
6.RightsandObligationsofPartyA
6.1PartyAshallhavetherighttoterminatethisContractifanymaterialadversechangeoccursinPartyB'sbusiness,financialcondition,orlegalaffairs,orifanybreachoftherepresentationsandwarrantiesmadebyPartyBoccurs.
6.2PartyAshallhavetherighttoseekremediesforanybreachofthisContractbyPartyBorThirdParty.
7.RightsandObligationsofPartyB
7.1PartyBshallensurethatallinformationprovidedtoPartyAduringtheduediligenceprocessisaccurateandcomplete.
7.2PartyBshallcomplywithallapplicablelawsandregulationsinthetransferofitsbusinesstoPartyA.
8.RightsandObligationsofThirdParty
8.1ThirdPartyshallactingoodfaithandwithduecareinprovidingitsservicestotheparties.
8.2ThirdPartyshallnotdiscloseanyconfidentialinformationofthepartiestoanythirdpartywithoutthepriorwrittenconsentoftheparties.
9.LimitationofLiability
9.1TheliabilityofPartyBandThirdPartyforanybreachofthisContractshallbelimitedtotheamountoftheIntermediaryFee.
10.GoverningLawandJurisdiction
10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

11.Termination

PartyA,asthedominantparty,seekstoacquirePartyB'sbusinesstoenhanceitsmarketpositionandoperationalefficiency.Bytakingaleadingroleinthetransaction,PartyAaimstosecurefavorabletermsandconditions,andensurethattheacquisitionprocessisconductedinamannerthatalignswithitsstrategicobjectives.

4.3ThirdPartyrepresentsandwarrantsthatithasconductedathoroughanalysisofPartyB'sbusinessandthatthevaluationreportisbasedonreliableandup-to-dateinformation.
5.RightsandObligationsofPartyB
5.1PartyBshallhavetherighttoapproveordisapproveanymaterialtransactionorchangeincontrolofthebusinessthatcouldaffectitsequityvalue.
5.2PartyBshallhavetherighttoreceivetheagreed-uponpurchasepriceuponthecompletionoftheacquisition.
5.3PartyBshallhavetherighttoterminatethisContractifPartyAfailstomeetitsobligationsunderthetermsofthisContract.
6.RightsandObligationsofPartyA
6.1PartyAshallhavetherighttoappointarepresentativetotheBoardofDirectorsofPartyBinproportiontoitsacquiredinterest.
6.2PartyAshallhavetherighttoreceiveinformationonPartyB'sbusinessandfinancialperformanceasagreeduponintheContract.
6.3PartyAshallcomplywiththetermsoftheInvestmentAgreementandanyotheragreementsenteredintoinconnectionwiththeacquisition.
7.LimitationofLiability
7.1TheliabilityofPartyAforanybreachofthisContractshallbelimitedtotheamountoftheAdvisoryFeepaidtoThirdParty.
