ncetothedisclosingparty'sConfidentialInformation.Isobtainedfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality.9.GoverningLawandDisputeResolution9.1GoverningLawThiscontractshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].9.2DisputeResolutionMechanismAnydisputearisingoutoforinconnectionwiththiscontract,includinganyquestionregardingitsexistence,validity,interpretation,performance,breach,ortermination,shallbereferredtoandfinallyresolvedarbitrationinaccordancewiththerulesof[ArbitrationInstitution].9.3ArbitrationThearbitrationshallbeconductedin[Location]andthelanguageofthearbitrationshallbe[Language].10.AmendmentsandModifications10.1ProcedureforAmendmentsAnyamendmentormodificationtothiscontractshallbebindingonlyifitisinwritingandsignedbothparties.10.2AcceptanceofModificationsAnymodificationtothiscontractshallnotbeeffectiveunlessacceptedbothpartiesinwriting.10.3EffectiveDateofAmendmentsAmendmentstothiscontractshalltakeeffectonthedateofthelastsignatureofbothparties.11.TerminationofContract11.1TerminationConditionsThiscontractmaybeterminatedeitherpartyupontheoccurrenceofanyofthefollowingevents:Abreachofanymaterialtermorconditionofthiscontracttheotherparty,afterwrittennoticeandfailuretocurethebreachwithinareasonableperiod.Aneventofinsolvency,bankruptcy,orliquidationofeitherparty.Theexpirationorterminationofthiscontractforanyreason.11.2NoticeofTerminationAnyterminationofthiscontractshallbeeffectiveuponwrittennoticetotheotherparty,deliveredatleast[number]dayspriortotheeffectivedateoftermination.11.3ConsequencesofTerminationUponterminationofthiscontract,thefollowingshallapply:Allobligationsofthepartiesunderthiscontractshallcease,exceptforanyobligationsthattheirnaturesurvivetermination.Thebuyershallpayforallproductsorderedanddeliveredpriortotheeffectivedateoftermination.Thesellershallnotbeliableforanylossordamagesufferedthebuyerasaresultoftermination,exceptfortheamountofanyadvancepaymentsmadethebuyer.12.ForceMajeure12.1DefinitionofForceMajeure"ForceMajeure"shallmeananyeventorcircumstancebeyondthereasonablecontrolofaparty,whichpreventsorhindersthatpartyfromfulfillingitsobligationsunderthiscontract,includingbutnotlimitedtoactsofGod,naturaldisasters,war,civilunrest,governmentactions,andactsofterrorism.12.2ImpactonContractPerformanceIfaForceMajeureeventoccurs,theaffectedpartyshallnotifytheotherpartyimmediatelyandshallusereasonableeffortstominimizetheimpactofsucheventontheperformanceofitsobligationsunderthiscontract.12.3NoticeofForceMajeureTheaffectedpartyshallgivewrittennoticeoftheForceMajeureeventtotheotherpartywithin[number]daysoftheoccurrenceofsuchevent.13.MiscellaneousProvisions13.1EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthiscontract.13.2AssignmentofContractNeitherpartymayassignitsrightsorobligationsunderthiscontractwithoutthepriorwrittenconsentoftheotherparty.13.3Severability14.SignaturesandExecution14.1AuthorizationofSignatoriesEachpartyrepresentsandwarrantsthatthepersonsigningthiscontractonitsbehalfisauthorizedtodoso.14.2ExecutionofContractThiscontractmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.14.3EffectiveDateofContract第二部分：第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposesofthiscontract,a"ThirdParty"shallinclude,butnotbelimitedto,intermediaries,consultants,serviceproviders,suppliers,oranyotherentitythatisnotapartytothiscontractbutisengagedtoperformservicesorprovidegoodsinconnectionwiththeperformanceofthiscontract.15.2RoleofThirdPartyTheThirdPartyshallbeengagedeitherpartytoassistintheexecutionofthiscontract.ThespecificroleandresponsibilitiesoftheThirdPartyshallbeoutlinedinaseparateagreementoraddendumbetweentheThirdPartyandtheengagingparty.15.3ApprovalofThirdPartyBeforeengagingaThirdParty,theengagingpartyshallobtainthepriorwrittenconsentoftheotherparty,whichshallnotbeunreasonablywithheld.16.AdditionalTermsforPartyAandPartyBuponThirdPartyInvolvement16.1Communication16.2Responsibilities16.2.1PartyAResponsibilities:PartyAshallensurethattheThirdPartyhasaclearunderstandingofitsroleandresponsibilitiesunderthiscontract.PartyAshallprovidenecessaryinformationandaccesstofacilitiesasrequiredtheThirdPartytoperformitsduties.16.2.2PartyBResponsibilities:PartyBshallprovidefeedbacktotheThirdPartyandPartyAontheperformanceandanynecessaryadjustments.16.3CompensationandPayment16.3.1Compensation:16.3.2Payment:PaymentfortheservicesprovidedtheThirdPartyshallbemadeinaccordancewiththepaymenttermsagreeduponintheseparateagreement.17.LimitationofLiabilityforThirdParty17.1ScopeofLiability:TheliabilityoftheThirdPartyunderthiscontractshallbelimitedtotheperformanceofitsdutiesasspecifiedintheseparateagreement.TheThirdPartyshallnotbeliableforanydirect,indirect,special,orconsequentialdamagesarisingfromtheperformanceornonperformanceofitsduties.17.2Indemnification:17.2.1Par torshallbefinalandbindinguponbothparties,andjudgmentupontheawardrenderedthearbitratormaybeenteredinanycourthavingjurisdiction.10.ForceMajeure10.1DefinitionofForceMajeure"ForceMajeure"shallmeananyeventorcausebeyondthereasonablecontrolofaparty,includingbutnotlimitedtonaturaldisasters,wars,strikes,governmentactions,oranyothereventthatpreventsapartyfromfulfillingitsobligationsunderthiscontract.10.2ImpactofForceMajeureIfapartyispreventedfromfulfillingitsobligationsunderthiscontractduetoForceMajeure,itshallnotifytheotherpartyimmediatelyandshallbeexcusedfromsuchobligationsforthedurationoftheForceMajeureevent.10.3NotificationandWaiverAparty'sfailuretoexerciseanyrightprovidedunderthiscontractshallnotbedeemedawaiverofsuchright,andnosingleorpartialexerciseofanyrightshallpreventanyfurtherexerciseofthatrightortheexerciseofanyotherright.11.MiscellaneousProvisions11.1EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterofthiscontract.11.2ModificationsAnymodificationtothiscontractshallbeeffectiveonlyifitisinwritingandsignedbothparties.11.3SeverabilityIfanyprovisionofthiscontractisfoundtobeunenforceableorinvalid,theremainingprovisionsshallremaininfullforceandeffect.12.SignaturesandExecution12.1SignaturesThiscontractshallbeexecutedthepartiesonthedatefirstabovewritten,intwocopies,eachpartyretainingone.12.2ExecutionDateTheexecutiondateofthiscontractshallbe[ExecutionDate],whichshallbethedateofthelastsignatureeitherparty.12.3CounterpartsThiscontractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.13.AmendmentsandAddenda13.1ProcessforAmendmentsAnyamendmentstothiscontractshallbemadeawrittenagreementexecutedbothparties.13.2AcceptanceofAddenda13.3EffectofAmendmentsandAddenda14.FinalProvisions14.1GoverningLanguageThiscontractshallbedraftedinEnglishandshallbegovernedtheEnglishlanguage.14.2AssignmentTheBuyershallnotassignthiscontractwithoutthepriorwrittenconsentoftheSeller.14.3WaiverThefailureofeitherpartytoenforceanyprovisionofthiscontractshallnotbedeemedawaiverofsuchprovisionnoroftherightofeitherpartythereaftertoenforcesuchprovision.第二部分：第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposeofthiscontract,a"ThirdParty"shallincludebutnotbelimitedtointermediaries,consultants,suppliers,carriers,andanyotherentityorindividualthatisnotapartytothisagreementbutisengagedeithertheSellerortheBuyertoperformservicesorprovidegoodsrelatedtothecontract.15.2AuthorizationofThirdPartyInvolvementTheSellerortheBuyermayinvolveaThirdPartyintheperformanceofthiscontractwiththepriorwrittenconsentoftheotherparty.Suchconsentshallnotbeunreasonablywithheldordelayed.15.3ResponsibilitiesofThirdParties15.3.1EachThirdPartyshallperformitsdutiesinaccordancewiththetermsofthiscontractandanyspecificagreementsenteredintowiththeSellerortheBuyer.15.3.2ThirdPartiesshallprovideservicesorgoodsthatmeettheagreeduponstandardsandspecifications.15.3.3ThirdPartiesshallmaintainappropriateinsurancecoveragetoprotectagainstliabilitiesarisingfromtheirperformanceunderthiscontract.15.4RightsofThirdParties15.4.1ThirdPartiesshallhavether
