企業(yè)借款合同范本英文合同編號(hào)：__________本企業(yè)借款合同（以下簡(jiǎn)稱“本合同”）由以下雙方于合同簽訂日期在合同簽訂地點(diǎn)簽訂：借款人（以下簡(jiǎn)稱“甲方”）：甲方名稱：甲方地址：甲方聯(lián)系方式：出借人（以下簡(jiǎn)稱“乙方”）：乙方名稱：乙方地址：乙方聯(lián)系方式：1.DefinitionsandInterpretations1.1Definitions"Loan"meanstheamountofmoneyborrowedtheBorrowerfromtheLenderunderthisAgreement."Borrower"referstothepartythatreceivestheloan."Lender"referstothepartythatprovidestheloan."Interest"istheadditionalamountchargedtheLenderfortheuseoftheloan."Default"meansthefailureoftheBorrowertofulfillitsobligationsunderthisAgreement.1.2InterpretationsWordsinthesingularincludethepluralandviceversa.HeadingsareforconvenienceonlyanddonotaffecttheinterpretationofthisAgreement.2.LoanAmountandPurpose2.1LoanAmountTheLenderagreestolendtotheBorrowerthesumof[LoanAmount](the"Loan").2.2LoanPurposeTheLoanistobeusedtheBorrowerfor[specificpurposeoftheloan].TheBorroweragreesnottousetheLoanforanyotherpurposewithoutthepriorwrittenconsentoftheLender.3.InterestandFees3.1InterestRateTheinterestontheLoanshallbecalculatedattherateof[InterestRate]perannum.3.2FeeStructureTheBorrowershallpaytotheLenderthefollowingfees:[Listoffeesandtheiramountsorcalculationmethods].4.Repayment4.1RepaymentScheduleTheBorrowershallrepaytheLoaninaccordancewiththefollowingschedule:[Detailsoftherepaymentschedule,includingduedatesandamounts].4.2EarlyRepaymentTheBorrowermaymakeearlyrepaymentsoftheLoaninwholeorinpart.IftheBorrowermakesanearlyrepayment,itshallnotifytheLenderatleast[numberofdays]daysinadvance.TheLendermaychargeanearlyrepaymentfeeasspecifiedinthisAgreement.5.SecurityandCollateral5.1SecurityArrangementsTosecuretherepaymentoftheLoan,theBorrowershallprovidethefollowingsecurity:[Descriptionofthesecurityarrangements,suchasmortgages,pledges,orguarantees].5.2CollateralRequirementsTheBorrowershallprovidecollateralasspecifiedinthisAgreement.ThecollateralshallbevaluedatleastequaltotheoutstandingbalanceoftheLoan.TheLendershallhavetherighttoinspectandappraisethecollateralatanytime.6.RepresentationsandWarranties6.1Borrower'sRepresentationsTheBorrowerrepresentsandwarrantstotheLenderthat:(a)ItisalegallyincorporatedandvalidlyexistingentitywiththepowerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.(b)Ithasobtainedallnecessaryconsents,approvals,andauthorizationstoenterintothisAgreementandtoborrowtheLoan.(c)TheinformationprovidedtheBorrowertotheLenderinconnectionwiththisAgreementistrue,accurate,andpleteinallmaterialrespects.(d)ItwillusetheLoanforthepurposespecifiedinthisAgreementandwillnotusetheLoanforanyillegalorunethicalpurpose.(e)Itwillplywithallapplicablelaws,regulations,andordersinconnectionwiththeuseoftheLoanandtheperformanceofitsobligationsunderthisAgreement.6.2Lender'sRepresentationsTheLenderrepresentsandwarrantstotheBorrowerthat:(a)ItisalegallyincorporatedandvalidlyexistingentitywiththepowerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.(b)IthasthefinancialcapacitytomaketheLoanandtoperformitsobligationsunderthisAgreement.(c)Ithasobtainedallnecessaryconsents,approvals,andauthorizationstoenterintothisAgreementandtomaketheLoan.7.Covenants7.1Borrower'sCovenantsTheBorrowercovenantstotheLenderthat:(a)Itwillmaintainitslegalexistenceandgoodstanding.(b)ItwillusetheproceedsoftheLoaninaccordancewiththeLoanPurpose.(c)ItwillkeepaccurateandpleterecordsofitsfinancialtransactionsandwillmakesuchrecordsavailabletotheLenderuponrequest.(d)Itwillnotcreateorpermittoexistanyliens,encumbrances,orsecurityinterestsonitsassetsotherthanthosepermittedunderthisAgreement.(e)Itwillnotmerge,consolidate,ordissolvewithoutthepriorwrittenconsentoftheLender.7.2Lender'sCovenantsTheLendercovenantstotheBorrowerthat:(a)ItwillkeeptheinformationprovidedtheBorrowerconfidential,exceptasrequiredlaworaspermittedthisAgreement.(b)ItwillnotassignortransferitsrightsandobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheBorrower.8.EventsofDefault8.1DefaultEventsThefollowingeventsshallconstituteeventsofdefaultunderthisAgreement:(a)TheBorrowerfailstomakeanypaymentofprincipalorinterestwhendue.(b)TheBorrowerbreachesanyofitscovenantsorrepresentationsunderthisAgreement.(c)TheBorrowerbeesinsolvent,filesforbankruptcy,orhasareceiverappointedoveritsassets.(d)AnysecurityprovidedtheBorrowerbeesimpairedorinvalid.(e)TheBorrowerfailstoplywithanyapplicablelaws,regulations,orordersinconnectionwiththeLoan.8.2ConsequencesofDefaultIntheeventofanEventofDefault,theLendermay,atitsoption,takeoneormoreofthefollowingactions:(a)DeclaretheentireoutstandingbalanceoftheLoan,togetherwithallaccruedinterestandfees,tobeimmediatelydueandpayable.(b)Exerciseanyrightsandremediesavailabletoitunderthesecuritydocumentsorapplicablelaw.(c)TerminatethisAgreementanddemandthereturnoftheLoan.9.Remedies9.1Lender'sRemediesIntheeventofadefaulttheBorrower,theLendershallhavethefollowingremedies:(a)ToacceleratethematurityoftheLoananddemandimmediatepaymentoftheoutstandingbalance,togetherwithinterestandanyapplicablefees.(b)ToexerciseanysecurityinterestsorliensgrantedunderthisAgreement.(c)Toseeklegalorequitablerelief,includingbutnotlimitedtoinjunctivereliefanddamages.9.2Borrower'sRightsTheBorrowershallhavetherighttodisputeanyallegeddefaultandtopresentevidenceinsupportofitsposition.Intheeventofadispute,thepartiesshallattempttoresolvethematterthroughgoodfaithnegotiations.Ifthedisputecannotberesolvedthroughnegotiations,thepartiesmayresorttoarbitrationorlitigationasprovidedinthisAgreement.10.NoticesandCommunications10.1NoticeRequirementsAllnoticesandmunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeliveredhand,registered,orrecognizedcourierservicetotheaddressesspecifiedinthisAgreement.Noticesshallbedeemedtohavebeenreceivedonthedateofdeliveryifdeliveredhand,oronthedateofpostingifdeliveredregisteredorcourierservice.10.2CommunicationMethodsThepartiesmayalsomunicateeorotherelectronicmeansasspecifiedinthisAgreement.However,anynoticesormunicationsthatrequireasignatureororiginaldocumentshallbedeliveredinhardcopyasprovidedinthisSection.11.GoverningLawandJurisdiction11.1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction].11.2JurisdictionThepartiesagreethatanylegalactionorproceedingarisingoutoforrelatingtothisAgreementshallbebroughtinthecourtsof[Jurisdiction].Eachpartyirrevocablysubmitstothejurisdictionofsuchcourtsandwaivesanyobjectiontothevenueofanysuchactionorproceeding.12.Confidentiality12.1ConfidentialityObligationsThepartiesagreetokeepconfidentialallinformationdisclosedonepartytotheotherinconnectionwiththisAgreement.Suchinformationshallinclude,butnotbelimitedto,financialinformation,businessplans,andtradesecrets.Thepartiesshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.12.2ExceptionsTheconfidentialityobligationssetforthinthisSectionshallnotapplytoinformationthat:(a)Isorbeespubliclyavailablethroughnofaultofthereceivingparty.(b)Isknowntothereceivingpartypriortoitsdisclosurethedisclosingparty.(c)Isindependentlydevelopedthereceivingpartywithoutreferencetothedisclosedinformation.(d)Isrequiredtobedisclosedlaworacourtorregulatoryauthority.13.AmendmentandWaiver13.1AmendmentProcedureThisAgreementmaybeamendedormodifiedonlyawrittenagreementsignedbothparties.Anyamendmentormodificationshallbeeffectiveonlytotheextentspecificallysetforthinthewrittenagreement.13.2WaiverRightsNowaiverofanyprovisionofthisAgreementshallbeeffectiveunlessitisinwr
