rparty.5.ConfidentialityandNonCompeteClausesAnyThirdPartyengagedtheClientortheServiceProvidershallberequiredtoenterintoaconfidentialityagreementthatincludestermsatleastasprotectiveasthosecontainedinthisagreement.6.ManagementandOversightofThirdPartiesTheClientandtheServiceProvidershallretaintherighttomanageandoverseetheworkperformedanyThirdPartyengagedunderthisagreement,includingtherighttospecifythescopeofwork,setdeadlines,andmonitorthequalityofwork.7.CommunicationandCoordinationTheClientandtheServiceProvidershallappointaprimarypointofcontactforeachother,andshallensurethatanyThirdPartyisalsoprovidedwiththenecessarycontactinformation.8.IndemnificationThirdPartiesEachThirdPartyengagedtheClientortheServiceProvidershallagreetoindemnifyandholdtheClientandtheServiceProviderharmlessagainstanyclaims,damages,losses,orexpensesarisingoutoftheperformanceoftheservicestheThirdParty,totheextentsuchclaims,damages,losses,orexpensesarenottheresultofthenegligenceorwillfulmisconductoftheindemnifyingparty.9.AmendmenttothisAgreementAnyamendmenttothisagreementinrelationtotheengagementofaThirdPartyshallbeinwritingandshallbeagreeduponallpartiesinvolved.10.ModificationofScopeofServicesTheengagementofaThirdPartymaymodifythescopeofservicesasdefinedinthisagreement.Anysuchmodificationshallbeagreeduponallpartiesandshallbereflectedinanyamendmentstothisagreement.11.TerminationofThirdPartyEngagementTheClientortheServiceProvidermayterminatetheengagementofaThirdPartyatanytimeuponwrittennoticetotheotherparty,providedthatsuchterminationshallnotrelievetheThirdPartyofanyobligationsunderthisagreementthathavealreadyarisen.12.ContinuationofServicesIntheeventoftheterminationoftheengagementofaThirdParty,theClientandtheServiceProvidershalltakeallreasonablestepstoensurethecontinuityoftheservicesandtomitigateanypotentialdisruptiontotheproject.13.DisputeResolutionAnydisputesarisinginrelationtotheengagementofaThirdPartyshallberesolvedinaccordancewiththedisputeresolutionproceduressetforthinthisagreement.14.CompliancewithLaws15.AssignmentofRightsandObligationsTherightsandobligationsunderthisagreement,includingthoserelatedtotheengagementofThirdParties,maynotbeassignedanypartywithoutthepriorwrittenconsentoftheotherparty,exceptthattheClientmayassignitsrightsandobligationsunderthisagreementtoasuccessorinconnectionwithamerger,acquisition,orsaleofallorsubstantiallyallofitsassets.EndofPartII:ThirdPartyInterventionPostModification第三部分：其他補充性說明和解釋說明一：附件列表：1.MarketResearchProposal:Adetailedproposaloutliningthescope,methodology,anddeliverablesofthemarketresearchservicestobeprovidedtheServiceProvider.2.ConfidentialityAgreement:AseparateagreementbetweentheClient,theServiceProvider,andanyThirdPartiesengagedtoprotecttheconfidentialityoftheinformationsharedduringthecourseoftheagreement.3.WorkPlan:Adocumentoutliningthetimeline,milestones,andkeyactivitiesinvolvedinthemarketresearchproject.4.Budget:Adetailedbudgetspecifyingthecostsassociatedwiththemarketresearchservices,includingfeesfortheServiceProviderandanyThirdPartiesengaged.6.ProgressReports:PeriodicreportssubmittedtheServiceProvidertotheClient,providingupdatesontheprogressofthemarketresearchproject.8.DataSheets:Summarysheetscontainingkeydataandfindingsfromthemarketresearch.DetailedRequirementsandDescriptions:ConfidentialityAgreement:Theagreementshouldcoverthedefinitionofconfidentialinformation,theobligationsofthepartiestomaintainconfidentiality,andtheexceptionstoconfidentiality.WorkPlan:Theworkplanshouldberealistic,withclearmilestonesanddeliverables.Itshouldalsoincludecontingencyplansforpotentialdelays.Budget:Thebudgetshouldbeitemized,withabreakdownofcostsforeachphaseoftheproject.ProgressReports:Progressreportsshouldbesubmittedatregularintervals,providingupdatesonthestatusoftheprojectandanyissuesencountered.DataSheets:Datasheetsshouldbeconciseandeasytounderstand,providingkeyfindingsfromtheresearch.FeedbackForms:FeedbackformsshouldbedesignedtogatherspecificandconstructivefeedbackfromtheClient.說明二：違約行為及責(zé)任認定：1.FailuretoMeetDeadlines:IftheServiceProviderfailstomeettheagreedupondeadlinesforthedeliveryofservicesorreports,itshallbeconsideredabreachofcontract.TheClientmaywithholdpaymentfortheaffectedperi
