29、U1kD9fsQf6zuNc2TG0fgiJubV0TDkSn0NUxW6IMBLrerwSArNk1prlaA78i8CegDJzXseVNxeULqe2f3qbpzRy8ctnPxa第一章總則第一條為促進(jìn)公司業(yè)務(wù)快速發(fā)展,激勵(lì)公司中長(zhǎng)期戰(zhàn)略及規(guī)劃的達(dá)成,形成對(duì)公司核心員工的有效吸引、激勵(lì)和保留,XXXX有限公司(簡(jiǎn)稱“公司”)特此制定針對(duì)核心員工及其他符合激勵(lì)條件的人員(簡(jiǎn)稱“激勵(lì)對(duì)象”)的股權(quán)激勵(lì)計(jì)劃(簡(jiǎn)稱“股權(quán)激勵(lì)計(jì)劃”)。黃色部分填寫公司全稱。這一條寫的是目的,簡(jiǎn)明、扼要地闡述公司的激勵(lì)導(dǎo)向。我們這里所講的股權(quán)激勵(lì),將會(huì)區(qū)分為上市公司和非上市公司兩種,對(duì)于上市公司,2021年出臺(tái)了上

30、市公司股權(quán)激勵(lì)管理辦法,加上企業(yè)會(huì)計(jì)準(zhǔn)則第11號(hào)-股份支付,規(guī)則已經(jīng)相對(duì)清晰。對(duì)于非上市公司,目前還沒有統(tǒng)一的股權(quán)激勵(lì)的規(guī)則,所以相對(duì)來說設(shè)計(jì)可以更加靈活。第二條為實(shí)施股權(quán)激勵(lì)計(jì)劃,公司將搭建合伙企業(yè)形式的員工持股平臺(tái)(簡(jiǎn)稱“持股平臺(tái)”)。公司將與激勵(lì)對(duì)象簽署期權(quán)授予協(xié)議(簡(jiǎn)稱“授予協(xié)議”),授予激勵(lì)對(duì)象在未來一定期限內(nèi)以預(yù)先確定的價(jià)格和條件受讓本公司一定份額股權(quán)的權(quán)利(簡(jiǎn)稱“股權(quán)期權(quán)”或“期權(quán)”)。持股平臺(tái)一般為有限合伙企業(yè),激勵(lì)對(duì)象通過持股平臺(tái)持有公司的股權(quán),有限合伙是指一名以上普通合伙人(GP)與一名以上有限合伙人(LP)所組成的合伙企業(yè)。普通合伙人對(duì)外代表合伙企業(yè),而有限合伙人不執(zhí)行合伙事務(wù),不得對(duì)外代表有限合伙企業(yè)。所以普通合伙人可以通過較少的出資獲得合伙企業(yè)的控制權(quán),因此成為國內(nèi)股權(quán)投資基金和員工股權(quán)激勵(lì)常見的組織形式。在員工持股合伙企業(yè)中,通常由擬上市公司高管或控股股東擔(dān)任普通合伙人,被激勵(lì)對(duì)象擔(dān)任有限合伙人。一般來說,公司在股改前,不用單獨(dú)設(shè)立有限合伙,股改時(shí)一并設(shè)計(jì)即可,此處寫出來的目的,也是避免后期在股改時(shí),員工對(duì)不直接持有公司股權(quán)的不理解,所以此處進(jìn)行提前告知。第三條為了規(guī)范股權(quán)激勵(lì)計(jì)劃的管理機(jī)制,保障參與股權(quán)激勵(lì)計(jì)劃員工的合法
