1、Easyinfor戰(zhàn)略合作協(xié)議Strategy Cooperation Agreement甲方：天津易之訊數(shù)字技術有限公司北京分公司Party A: Tianjin Easyinfor Digital Technologies Co., Ltd.BeiJingOffice乙方： Party B:此合作協(xié)議由甲乙雙方通過友好協(xié)商于 年 月 日簽訂。This Agreement is signed by both two parties on 1 定義Definitiona) 乙方產(chǎn)品：指甲方設計進入甲方產(chǎn)品的乙方產(chǎn)品。由采購方下定單采購的產(chǎn)品。Party Bs product: is the P

2、arty B s product which is designed in the Party As designed product, esp. for the Party Bs product which is purchased by Buyer.b) 甲方產(chǎn)品：指甲方設計的產(chǎn)品包括但不限于手機和模塊等。Party As product: is the product designed by Party A, include but not limited cellular phone, module, etc.c) 采購方：向乙方下單采購的在甲方產(chǎn)品中使用的乙方產(chǎn)品的甲方或甲方客戶。B

3、uyer: Party A or Party As client who place order to Party B to order Party Bs product which product is designed in Party As product by Party A.2 協(xié)議目的Purpose甲乙雙方都希望通過忠實的合作， 建立、發(fā)展和保持一個長期的戰(zhàn)略合作關系來達 到提高產(chǎn)品質(zhì)量、 降低產(chǎn)品成本和縮短產(chǎn)品進入市場的周期的目的。 因此，雙方通過友 好協(xié)商簽訂本協(xié)議。Both parties wish to keep a long term strategy cooperati

4、on relationship to improve the product quality, lower down the cost and shorten the time to market cycle.3 合作方式Cooperation methoda) 在此合作協(xié)議下， 在與其他廠家在同等的品質(zhì)、價格、付款條件下，乙方產(chǎn)品將 由甲方優(yōu)先設計進入甲方產(chǎn)品中。戰(zhàn)略合作協(xié)議EasyinforParty A will set Party B s as first priority to design in even if Party B s product is at the same le

5、vel with other companys.b) 乙方將保證：Party B guaranty:i. 乙方承諾所提供的乙方產(chǎn)品的品質(zhì)完全滿足甲方及采購方的設計及生產(chǎn)要求。 對任何品質(zhì)問題， 乙方將承擔責任并采取及時有效的措施使采購方的損失降到 最低。Party B commit the Party B s product quality can meet Party A and Buyers design and production requirement. Party B will be responsible for Party A and Buyer s any cost due

6、to Party Bs product quality issue. Party B will take effective action to minimize the Party As lose.ii. 乙方承諾提供給甲方及采購方的價格在同類同質(zhì)的產(chǎn)品中具有競爭力。Party B commits to provide competitive price to Party A and Buyer.iii. 乙方承諾為采購方提供充足的供貨。 乙方不會因為乙方的原因而出現(xiàn)供貨不足 的問題。 在供貨短缺的情況下乙方將采購方的定單放到前三位的優(yōu)先等級， 優(yōu) 先保證采購方的供貨。Party B com

7、mits to provide enough products to Buyer. Party B will put Buyer as the first 3 priority customers if there is supply shortage.iv. 乙方承諾提供給甲方及采購方在甲方產(chǎn)品的設計和生產(chǎn)過程中的優(yōu)質(zhì)及時的服務、技術支持，以保證甲方和采購方的設計及生產(chǎn)的順利進行。Party B commits to provide just in time service and technical support to Party A and Buyer during the Party

8、 As products design and production.v. 任何由于乙方的品質(zhì)、 交期、價格及服務不能滿足采購方要求的情況乙方除了 要承擔相應的責任以外還會極大地影響乙方產(chǎn)品在新的甲方產(chǎn)品中的使用比 例。屆時，甲方會及時通知乙方采取必要的措施來進行改善和減少損失。If Party B s product has quality issue, delivery issue, and service issue Party B will take all related responsibility and it will impact Party Bs product desig

Party A will inform Party B to improve and reduce the lose.4 設計費Design in feea) 乙方以已經(jīng)收到的采購方的貨款(不含增值稅)為依據(jù)，將其中的3%作為甲方的設計費付給甲方。Party B will pay 3% as the Design In Fee to Party A according to the revenue amount (not include the VAT) Party B received from Buyer.b) 雙方在每季度的第一周內(nèi)核對并確認上季度乙方應

10、付給甲方的設計費。戰(zhàn)略合作協(xié)議EasyinforBoth parties check the payable design in fee data in the first week every quarter.c) 雙方約定此協(xié)議下的設計費從 年 月 日乙方收到的相關貨款開始計算。 Both parties agree the design in fee calculation from .d) 乙方承諾將于每季度的前四周內(nèi)將上季度的款項付到甲方的指定帳號： Party B commit to pay the design in fee to Party A in the first 4 w

11、eeks every quarter to Party As appointed account.5 保密條款Nondisclosure agreement雙方承諾對此合作協(xié)議的存在及協(xié)議的內(nèi)容嚴格保密。其他相關保密條款參照雙 方簽訂的保密協(xié)議來執(zhí)行。Both parties commit to keep confidence for the contract exist and the contract content. The other secrecy terms follow the NDA signed by both parties.6 政府法規(guī)，管轄以及爭議的解決Laws此協(xié)議受

12、香港法律的約束。任何外來的或與此協(xié)議有關的爭議、爭論、解釋、違 約、終止、 有效性等雙方將通過友好協(xié)商來解決。 任何雙方不能解決的爭論、 異議都 以香港的仲裁條例在香港國際仲裁中心解決。This agreement restricted by Hong Kongs law. Both parties will consult friendly to settle down the dispute, explanation, termination, validity. All dispute which can not be consulted by both parties need to

13、be settled by Hong Kong Arbitrage International.7 協(xié)議的生效、更改、有效期 Effective date, modification, expirationa) 此協(xié)議一式兩份。雙方各執(zhí)一份。兩份具有同樣的法律效力。This agreement has two original copies. Each party keep one original copy. The two copies has the same force and effect.b) 此協(xié)議從雙方簽字蓋章之日起生效。This agreement will be effec

14、tive from the date both parties signed.c) 此協(xié)議有效期兩年。This agreement will be expired two years after the effective date.d) 任何對此協(xié)議的更改都需要雙方友好協(xié)商并且雙方書面確認蓋章才能更改。Any modification of the agreement must be written approved by both parties.戰(zhàn)略合作協(xié)議Easyinfore) 如果在此協(xié)議失效前的兩個月前雙方均沒有提出異議，此協(xié)議將自動延長一年。 This agreement wil
