1、P remises Lease Con tract合同編號(hào)Con tract No.本合同雙方當(dāng)事人:The p arties to this con tract are:出租方(以下簡(jiǎn)稱甲方):The Lan dlord(here in after referred to asParty A “)_承租方(以下簡(jiǎn)稱乙方):,代表其將在中國(guó)設(shè)立的外商獨(dú)資企業(yè)(以下簡(jiǎn)稱”新公司”),其注冊(cè)資本為一萬(wàn)美元。The Tenant (here in after referred to as Party B “)on behalf of its WhollyForeig n In vested Ente
2、rp rise to be established in Chi na (here in after referred to asCo ) with “Newregistered cap ital of US$根據(jù)中華人民共和國(guó)合同法、中華人民共和國(guó)城市房地產(chǎn)管理法 及其他有關(guān)法律、法規(guī)之規(guī)定,在平等、自愿、協(xié)商一致的基礎(chǔ)上,甲、乙雙方就下列廠房的租賃達(dá)成如下協(xié)議:In accorda neewith the Con tract Law of the People sRe public of Chi na , the Prop ertyMan ageme nt Law of City Real
3、 Estate of the Peoples Republic of China and other relevantand regulations. Party A and Party B, on the basis of equality and mutual understandingandthrough frie ndly n egotiati on, have reached the followi ng agreeme nt on the lease of the p remises:第一條房屋的基本情況Chap ter 1Basic In formati on on the Pr
4、emises甲方廠房(以下簡(jiǎn)稱廠房”座落于-,總建筑面積為-平方米;該廠房平面圖參見(jiàn)附件Party A s p remises (here in after referred to as the Premises ”“)are located at - Road: total built- up area is - sqm. Please refer to Annex 1 for the plan of the Premises.該廠房應(yīng)已具備所有必要的硬件設(shè)施(包括水管道,電線及電話線)以供乙方使用。The Premises shall be equipped with all the n
5、ecessary hardware facilities (in cludi ng water pipes, po wer lines and phone lin es) in stalled in side the p remise to be used for Party B.,并且廠房在發(fā)生任何抵押或者其他類(lèi)型甲方向乙方和新公司陳述和保證其為廠房的唯一合法所有人 的擔(dān)保時(shí),乙方在本協(xié)議下的權(quán)利權(quán)益不受到任何損害。Party A represents and warrants to Party B and New Co that it is the sole legal owner of
6、thePremises and that, in the event of a mortgage or any other similar guarantees in connection with thePremises taking place, Party B srights and interests pursuant to this agreement shall not bedamaged in any manner whatsoever.第二條廠房的用途Chapter 2Use of the Premises該廠房用途為工業(yè)廠房,乙方不得任意改變廠房用途。The Premises
7、 should be used for industrial purpose. Party B should not change the use of thePremises at its own will.第三條租賃期限Chapter 3 Lease Period租賃期限為 - 年,自新公司獲得營(yíng)業(yè)執(zhí)照或項(xiàng)目批準(zhǔn)證書(shū)之日起計(jì)算。The duration of the lease period shall be years, starting from the day of issuance of NewCompany business license or Certificate of A
8、pproval.第四條租金Chapter 4 Rental4.1 該廠房第一到三年的租金為人民幣12 元 /平方米 /月,計(jì)人民幣元 /月 ,人民幣元 / 季,人民幣元/年。 之后,每三年商定的遞增不得超過(guò)%。For the first three years during the lease term, the rental of the Premises is RMB12/sqm/month. Thetotal rental is RMB/month, RMB/quarter and RMB/year. Thenegotiated increase in the rental should
9、 be no more than% for each subsequent period ofthree years.4.2年月日至年月日為免租期。The period fromto, shall be rental-free.第五條付款方式Chapter 5 Payment Terms租金按季結(jié)算,在租賃期內(nèi)由乙方于每季的第壹周交付甲方,先交后租。租金交款帳戶為:The rental shall be paid by Party B to Party A in the 1st week of every quarter of the year during thelease period.
10、Party A shall issue the official rental invoice to Party B within 7 days after the payment of the rental.The bank account for the rental payment is:戶 名:Name of beneficiary:開(kāi)戶銀行:Opening bank:第六條保證金Chapter 6 Security Deposit本合同簽訂后的 7 個(gè)工作日內(nèi),乙方應(yīng)當(dāng)向甲方支付總額相當(dāng)于 3 個(gè)月租金額的保證金,即人民幣Within 7 working days upon the
11、signing of this Contract, Party B shall pay to Party A a sum of threemonths rental as the security deposit, that is RMB乙方向甲方繳納的保證金應(yīng)作為其履行本合同所規(guī)定義務(wù)的擔(dān)保。如果乙方的行為違反合同規(guī)定的義務(wù)或者導(dǎo)致對(duì)廠房的損害,甲方有權(quán)從保證金中扣除相應(yīng)數(shù)量的金額作為補(bǔ)償。在合同終止日期后30 天內(nèi),甲方在從保證金中扣除乙方違反任何合同義務(wù)應(yīng)承擔(dān)的的補(bǔ)償、賠償或違約金后應(yīng)將保證金的余額無(wú)息返還給乙方。The security deposit shall be taken a

If Party B carries out activities that are against its obligations or result in anydamage to the Premises, Party A is entitled to deduct corresponding amount of compensation from the deposit. Within 30 days from the
13、expiration of the Contract, Party A shall return the balance ofthe security deposit to Party B without interest after making deductions from the security deposit for compensation for any breach of the contract by Party B.第七條維修養(yǎng)護(hù)責(zé)任Chapter 7 Maintenance Responsibilities安全和環(huán)甲方向乙方和新公司陳述和保證廠房和用于建筑的材料應(yīng)符合中
14、國(guó)有關(guān)法律法規(guī)關(guān)于消防、 保事宜的所有要求。且該廠房已獲得所有所需的政府強(qiáng)制性證書(shū)(包括,但不限于環(huán)保證書(shū),防火證 書(shū)及防雷證書(shū))Party A represents and warrants to Party B and New Co that the Premises and the materials used for the construction shall comply with all the requirements of the relevant Chinese laws and regulations concerning fire, safety and environ
15、mental issues. Party A has also obtained all the required mandatory certificates by the government (including, but not limited to EnvironmentalProtection Certificate , Fire Protection Certificate and Thunder Strike Prevention Certificate) for thePremises.租賃期間,甲方對(duì)廠房及其附屬設(shè)施每隔半年檢查一次,乙方予積極配合,正常的廠房維修費(fèi)由乙方
16、承擔(dān)。During the lease period, Party A will do an overall inspection on the Premises and its facilities once every 6 months. Party B should provide necessary support. Party B should be responsible for routine maintenance of the Premises.因乙方管理使用不善造成廠房及其相連設(shè)備損失的,則由乙方負(fù)責(zé)恢復(fù)原狀,并承擔(dān)賠償經(jīng)濟(jì)損失的 責(zé)任。Party B should be
17、responsible for the reinstatement works and compensation for the economic losses for the damage of the Premises and loss of its facilities due to the mismanagement of PartyB.在乙方正式接收廠房之前, 甲乙雙方應(yīng)對(duì)廠房進(jìn)行一次綜合檢查。 甲方應(yīng)對(duì)廠房存在的瑕疵負(fù)責(zé)修復(fù)。Before taking possession of the Premises, Party A and Party B should conduct a
18、comprehensiveinspection. Party A should be responsible for rectifying any defects of the Premises.第八條關(guān)于裝修和改變廠房結(jié)構(gòu)的協(xié)議Chapter 8 Agreement on the Decoration and Structural乙方不得隨意損壞廠房設(shè)施,如需改變廠房?jī)?nèi)部結(jié)構(gòu)和裝修或設(shè)置對(duì)廠房有影響的設(shè)備,需先征得甲 方的書(shū)面同意,相關(guān)費(fèi)用由乙方承擔(dān)。乙方將按照附于本合同的項(xiàng)目計(jì)劃進(jìn)行改建。甲方在此同意此 些改建。Party B should not damage the facilitie
19、s in the Premises. If structural change is necessary in the process of decoration or the installation of the equipment does damage to the Premises, Party B should get the prior written approval from Party A. The cost of such change should be borne byParty B. The structural changes that Party B will
20、carry out to the Premises are indicated in theproject attached to this Contract. Party A hereby gives its consent to such changes.第九條關(guān)于廠房租賃期間的有關(guān)費(fèi)用Chapter 9 Related Fees during the Lease Period of the Premises在廠房租賃期間,有關(guān)廠房及租金收入之稅務(wù)由甲方負(fù)擔(dān);以下費(fèi)用及因延期付款而產(chǎn)生的罰金(如 存在)應(yīng)由乙方支付:During the lease period, Party A shou
21、ld be responsible for the taxes levied on the rental income.Party B should be responsible for the following charges and the penalty, if any, on overdue payment: 1、 水、電費(fèi);Water and electricity bill 2、 通訊費(fèi);Telecommunication charges第十條租賃期滿Chapter 10 Expiry of the Lease Period租賃期滿后,本合同即終止,屆時(shí)乙方須將出租方廠房中的所有
22、設(shè)施恢復(fù)原貌完好退還甲方,除乙方 按照本合同第八條的規(guī)定在甲方同意的情況下對(duì)廠房結(jié)構(gòu)的改建。如乙方要求繼續(xù)租賃,則須提前三 個(gè)月以書(shū)面形式向甲方提出申請(qǐng),甲方在合同期滿前二個(gè)月內(nèi)書(shū)面答復(fù)乙方,如同意繼續(xù)租賃,則雙 方應(yīng)簽定新的租賃合同。如本租賃合同在租賃期滿后終止,乙方必須按時(shí)搬出其全部所屬物品,搬遷 后 30 天內(nèi)廠房里仍有余物,視為乙方放棄所有權(quán),由甲方處理。Upon expiry of the lease period, this contract is terminated. Party B should conduct reinstatement s installations in
23、 their original state exceptworks and yield up the Premises and all of the landlord for those structural changes made by Party B and approved by Party A as established in Chapter 8.If Party B wishes to extend the lease period, it should submit a written application to Party A 3 months before the exp
24、iry date. Party A will give Party B a written reply 2 months before the expiry date. If extension of the lease period is agreed, a new lease contract should be signed. If the lease contract is terminated upon expiry of the lease period, Party B should move out all its belongings in time. If there is
25、 still property remaining inside the Premises 30 days after the move, it is understood that Party B has forsaken its property right and Party A has the right of disposal.第十一條 因乙方責(zé)任終止合同的約定 s ResponsibilitiesChapter 11 Termination of the Contract due to Party B乙方有下列情形之一的,甲方有權(quán)終止本合同并收回廠房,由此造成甲方損失,由乙方負(fù)責(zé)賠
26、償:Party A has the right to terminate the contract, take back the Premises and ask for compensationsfrom Party B if Party B acts on any of the followings:1、擅自將承租的廠房向第三方轉(zhuǎn)租的;2、To lease the Premises to third parties at its own will;擅自將承租的廠房向第三方轉(zhuǎn)讓、轉(zhuǎn)借或擅自調(diào)換使用的;To transfer or lend the Premises to the third
27、parties, or exchange the Premises with the 3rdparty at its own will;3、擅自拆改承租的廠房結(jié)構(gòu)或改變承租廠房用途的;To change the structure or the use of the Premises at its own will;4、拖欠租金累計(jì)達(dá)叁個(gè)月;Rental payment is overdue for more than 3 months;5、利用承租的廠房進(jìn)行違法活動(dòng)的;To engage in any illegal activities within the Premises;6、 故意損
28、壞承租廠房的;To damage the Premises intentionally;第十二條 提前中止合同Chapter 12 Termination of the Contract before Expiry Date租賃期間,乙方提出終止合同,需提前 6 個(gè)月書(shū)面通知另一方,同時(shí)甲方?jīng)]收乙方相當(dāng)于三個(gè)月租金 的保證金,經(jīng)雙方協(xié)商后簽訂終止協(xié)議,在終止協(xié)議簽訂前,本合同仍有效。During the lease period, if Party B wishes to terminate the contract, it should inform the other party six
29、months in advance; the security deposit in equivalent to three-month rental shall be confiscated.After negotiation, a termination agreement should be signed. This contract is still valid before the termination agreement is signed.第十三條 違約責(zé)任Chapter 13 Liabilities for Breach of Contract租賃期間雙方必須信守合同, 任何
30、一方違反本合同的規(guī)定, 違約方應(yīng)向另一方支付年租金的 10% 作為 違約金。乙方逾期交付租金,甲方需書(shū)面通知乙方。如果此通知發(fā)出七天后,欠款還未支付,每逾期 一日,甲方有權(quán)按月租金的 0.1% 向乙方加收滯納金。 s any breachDuring the lease period, both parties should abide by this lease contract. If there contract from one party, this party should pay 10% of the total yearly rental to the other party
31、for compensation. If Party B delays on rental payment, Party A shall inform Party B in written. In case of late payment exceeding seven days after such notice, Party A has the right to charge penalty of 0.1% of the monthly rental from Party B for every day after the due date of the rental payment.第十
32、四條Chapter 14因不可抗力原因?qū)е聫S房毀損和造成損失的,雙方互不承擔(dān)責(zé)任。If the Premises are damaged or the loss of the Premises is caused by Force Majeure, neither party is responsible.第十五條Chapter 15本合同未盡事項(xiàng),由甲、乙雙方另行議定,并簽訂補(bǔ)充協(xié)議,補(bǔ)充協(xié)議與本合同具有同等法律效力。For issues not covered in this contract, Party A and Party B will negotiate amicably and
33、 sign a supplementary agreement, which shall have the same legal binding force as this contract. 第十六條 本合同之附件均為本合同之不可分割部分。Chapter 16 Annex to the contract shall be an indivisible part of this Contract合同附件為本合同的組成部分。本合同及其附件和補(bǔ)充協(xié)議中未規(guī)定的事項(xiàng),均按中華人民共和國(guó)有 關(guān)法律、法規(guī)和政策執(zhí)行。The annex is an integral part of this contra

For issues not specified in this contract or in the follow-up supplementary agreement, they should be resolved in accordance with the relevant laws s Republic of China.and regulations of the People第十七條Chapter 17本合同在履行中發(fā)生爭(zhēng)議,由甲、乙雙方友好協(xié)商解決。如雙方協(xié)商不成時(shí),該爭(zhēng)議應(yīng)提交管轄法院 進(jìn)行裁決。Any dispute in the implementation of this contract should be resolved by Party A and Party B through friendly negotiation. If the two parties fail to reach an agreement after negotiation, the dispute should be settled by the competent judicial c
