1、FINANCING FEE AGREEMENT 融資傭金協(xié)議THIS AGREEMENT en tered into this day of September, 2012 by and between A(“ Consultant ” ) having offices located in New York, and . 3、sultant as its authorized age nt to develop and secure debt financing of all or a porti on of the Compa ny Assets, in cludi ng ACCOUNTS RECEIVABLE / PURCHASE ORDERS / MACHINERY & EQUIPMENT / INVENTORY. Consultant will use its best efforts to secure and provide financing of the Company s Assets throu

5、e as requested by Con sulta nt or the proposed Len der or In vestor (“ Funding Source ” ). It rema ins the resp on sibility of the Compa ny to provide the docume ntati on requested on a commercially reas on able basis, un dersta nding that the timeli ness and receipt of such data is crucial to the d

6、evelopme nt of a prude nt lending facility or funding source for the Compa ny. Subseque nt to this period of time and based on the successful funding by a Con sulta nt Len der accepted and received by the Compa ny, the Compa ny will provide to Con sulta nt a Right of First Refusal (ROFR) on any addi

7、ti onal debt funding requireme nt for a period equal to the Initial Term of the original facility, that term is not to exceed a three year term. The Company agrees not to engage with another Financing Agent during the 120 Day period as detailed above. This agreement shall apply for any In vestme nt

8、made by a Funding Source duri ng a period of one year from the date of such in troducti on and any Investment made pursuant to any commitment made by, or any right, option or warrant to make an Investment gran ted to, a Funding Source withi n one year after the date of such in troducti on.鑒于，本協(xié)議按照顧問

The Company agrees to hold Consultant harmless from any and alclaims that may arise from Consultant

Furthermore, Consultant agrees to require its agents, assigns, and Consultant funding sources to not discl

16、ose any compa ny in formati on to any in dividual, compa ny, or en tity that might be a competitor of the Compa ny. Any compa ny in formati on provided by Con sulta ntto Consultant s Funding Sources is to be used only for the purpose of deciding if a LendingFacility or equity inv estme nt should be

The Compa ny agrees to provide to Con sulta nt the finan cial data that the Compa ny provides to a Con sulta nt Funding So

Accordingly, the Company agrees not to make direct orin direct con tact with any Con sulta nts fundXngppbthrosghCompa ny further agrees not to disclose the n ames of Con sulta ntCon sulta nt. Thes deal fundingsources to aithird

Consultant agrees to present each lending facility

22、or investment proposal it may develop to the Compa ny for discussi on and approval. 23、OMPENSATION :補償a) The Company agrees to pay Consultant a fee of Four PERCENT of the total Lending Facility (CREDIT LINE) developed by Con sulta nt and accepted by the Compa ny (“ Fee” ). The fee shall be based on the total of all facilities offered to and accepted by the Compa ny. This fee shall be

24、due and payable to Con sulta nt only upon the successful completi on and funding of a lending facility developed by Con sulta nt and accepted by the Compa ny. The entire fee shall be due and payable upon funding of a lending facility from Consultant lending source or the Company. Company agrees that

25、 the Consultant s lending source that funds alending facility for the Compa ny will be in structed through the use of an in termediary bank acco unt or escrow, or in struct ing the Len der to pay Con sulta nt e directly by wife irfeisfer to Con sulta nt from the in itial proceeds of the lending faci

27、Li ne in creases bey ond the in itial loa n facility within a Two (2) year period from the in itial fun di ng date, Con sulta nt shall be en titled to and receive THREE QUARTERS (equal to 75% of the Origi nal Commissio n Fee Perce ntage) commissi on (Fee) on the in creased amount as described above,

Upon the completio n of the funding, this fee shall be payable to Con sulta nt whether the loa n is draw n upon within 10 bus in ess days. The Borrower

33、each any Non-Disclosure Agreeme nt (NDA) previously sig ned with other pote ntial le nding sources. The parties further agree, if a dispute arises as to the terms and or breach of the terms of this Agreeme nt, jurisdicti on and venue

35、 shall occur in New York Coun ty. However, i n the eve nt injun ctive relief is reas on ably n ecessary or available to the Fin der with regard to payme nt of the Fee, Fin der may move and comme nce a proceed ing for appropriate injun ctive relief in any court of compete nt jurisdicti on. The parties further agree, the rights of the Parties under this Agreement are personal to that Party and may not be assigned or transferred to any other person, firm, co
